AMENDMENT TO HEAD COACH CONTRACT

This Amendment to the Head Coach Contract between the State University of Iowa (University) and Kirk
J. Ferentz (Coach) effective December 31, 2021, is attached to and incorporates by reference all of the
terms and conditions of the Head Coach Contract between the University and Coach effective February
1, 2016, the Amendment to Head Coach Contract effective July 1, 2017, and the Amendment to Head
Coach Contract effective August 1, 2019, except as modified herein.

The parties promise and agree as follows:

1. Term. Section 1 is amended to extend the term of the Contract to continue until January 31,
2030.

2. Compensation. Effective January 1, 2022, Section 3 Compensation, Subsection B Base Salary:


Departmental Funds shall be amended to read as follows:

B. University agrees to pay Coach a base salary of $500,000. Base salary includes shoe and
apparel endorsements, camp compensation, radio and television participations (includes
Learfield compensation at $150,000).

3. Supplemental Compensation. Effective February 1, 2022, Section 4 Supplemental


Compensation, Subsection A (1) is amended so that the first sentence reads as follows:

1) Effective for any football season during the Term beginning with the 2022 football
season, if the University of Iowa Football Team at the end of the season is ranked as a Top 25
team in the final AFCA Coaches poll, Associated Press (AP) poll or the College Football Playoff
ranking, Coach shall be paid a bonus based upon the final highest ranking as follows:
Top 25 $250,000
Top 20 $275,000
Top 15 $300,000
Top 10 $375,000
Top 5 $475,000
National Champion Runner-Up $625,000
National Champion $1,625,000

4. Supplemental Compensation. Effective February 1, 2022, Section 4 Supplemental


Compensation, Subsection A (3) is amended to read as follows:

3) If the University of Iowa Football Team is not ranked in the Top 25 or higher under
Supplemental Compensation, Subsection A(1), but participates in any bowl game other than a
“New Year’s Six” Game or Semifinal Playoff Game, Coach will be eligible to receive a $100,000
bowl bonus. If the University of Iowa Football Team participates in any of the games set forth

below, regardless of ranking, the Coach shall be paid the bonus associated with the highest
position attained:

“New Year’s Six” Game $250,000


Semifinal Playoff Game $375,000

In addition, if the University of Iowa Football Team wins the Rose Bowl, the Coach shall be paid
an additional $50,000 bonus.

5. Supplemental Compensation. Effective January 1, 2022, for any football season during the Term
beginning with the 2022 football season, Section 4 Supplemental Compensation, Subsection A (6) is
deleted in its entirety as the recurring annual incentive bonus set forth in A (6) will be eliminated and
the $500,000 will be converted from bonus to supplemental.

6. Supplemental Compensation. Effective upon signing, Section 4 Supplemental Compensation,


Section B Additional Compensation for Assistant Coaches Subsection 1 is amended and replaced with
the following:

1. Effective January 1, 2022, the University will fund a total salary pool in the amount of
$7,000,000 for the 10 on-field assistant coaches, a total salary pool in the amount of $1,200,000
for the head strength and conditioning coach and 4 assistant strength and conditioning coaches,
and a pool for salary increases for the Director of Football Operations, the Director of Recruiting
and the Director of Player Personnel in an amount equal to 10% of their current collective
salaries. Coach will have the ability to assign the individual amounts from the respective pools
with the approval of the Director of Athletics. Coach may also add additional football staff to
receive money from the respective pools subject to Athletic Department Human Resources
policies and approval from the Director of Athletics. This is in lieu of the salary pool increases
for the 2021 season under this section in the Amendment to Head Coach Contract effective
August 1, 2019.

For the future seasons during the term of this Contract, the University will fund an
average salary increase pool for the 10 on-field assistant coaches and Head Strength Coach
(collectively the “ Column B Participants”) in the aggregate amount as set forth in Section 1 of
Column B in the chart immediately following this paragraph and a separate salary increase pool
for the 4 assistant strength and conditioning coaches, Director of Football Operations, the
Director of Recruiting, and Director of Player Personnel (collectively the “Column A
Participants”) in the aggregate amount set forth in Section 1 of Column A set forth in the chart
immediately following this paragraph after any season in which the team finished with at least 7
wins, participated in a post-season bowl game and achieved a Graduation Success Rate of at
least 67.5% in the most recent calculation period. The University will fund an additional
aggregate amount to the respective salary increase pools for Column B Participants and Column
A Participants as set forth in Section 2 of the respective columns in the chart below after any
season in which the team achieved a final ranking in the AFCA Coaches poll, Associated Press
(AP) poll or the College Football Playoff ranking, with such amount being based on the final

highest ranking. The first such increases under this formula would be paid on February 1, 2023,
and on the first of February following each subsequent season. Coach will have the ability to
assign individual amounts from the respective aggregate pools with the approval of the Director
of Athletics. Coach may also add additional football staff to receive money from the respective
pools subject to Athletic Department Human Resources policies and approval from the Director
of Athletics.

If the 67.5% Graduation Success Rate is not reached, but all other criteria are met, the total percentages
in the table above shall be reduced by 2% for that year only.

7. Supplemental Compensation. Effective upon signing, Section 4 Supplemental Compensation, Section


B Additional Compensation for Assistant Coaches, Subsection 2 is amended and replaced with the
following:

2. On March 1, 2022, University will fund a one-time bonus pool of $500,000 for the 10
on-field assistant coaches, the head strength and conditioning coach and 4 assistant strength
and conditioning coaches the Director of Football Operations, the Director of Recruiting, and the
Director of Player Personnel. In order to be eligible to participate in this pool, the football staff
member must have been in that position with the football program for the 2021 season and still
be in that position on March 1, 2022. The Head Coach will have the ability to assign individual
amounts from the $500,000 pool with the approval of the Director of Athletics.

8. Supplemental Compensation. Effective upon signing, Section 4 Supplemental Compensation, Section


B Additional Compensation for Assistant Coaches, Subsection 3(d) is amended and replaced with the
following:

(d) Notwithstanding the foregoing, each Assistant’s contract shall terminate no later than
January 31, 2030.

9. Supplemental Compensation. Effective upon signing, Section 4 Supplemental Compensation,


Subsection C Recurring Supplemental Payment shall be amended to read as follows:

Beginning January 15, 2022, University shall continue to pay Coach annual supplemental
compensation in monthly payments (instead of quarterly payments) of $458,333.33 throughout the
term of this Contract:

Notwithstanding the foregoing, the foregoing monthly payments for a Plan Year (July 1 to June
30) shall be reduced by an amount equal to 200% of the annual compensation limit under Section
401(a) (17) of the Internal Revenue Code in effect for the fiscal year. The reductions shall eliminate
or reduce any monthly payments until such eliminations or reductions for the fiscal year equal 200%
of the applicable annual compensation limit.

10. Supplemental Compensation. Effective January 1, 2022, Section 4 Supplemental Compensation


Subsection D Longevity Incentive is increased to $1,000,000.

11. Supplemental Compensation. Section 4, Supplemental Compensation, Subsection E shall be


amended to clarify the terms of the deferred compensation payments and shall read as follows:

Coach shall be a participant in the University of Iowa Restricted Qualified Retirement Plan
(“Plan”). For each Plan Year (July 1 to June 30) during which Coach is employed with the
University under this Contract, the University shall contribute to the Plan the amount equal to
200% of his annual budgeted compensation paid in monthly installments by the University,
which is paid monthly during such Plan Year (with such annual salary capped at the annual
compensation limit under Section 401(a) (17) of the Internal Revenue Code in effect for such
Plan Year).

12. Termination by University. Effective upon signing, Section 11 Termination by University Without
Cause; Liquidated Damages first paragraph is amended to read:

This Contract may be terminated by the University at any time without cause. In such event,
Coach will not be reassigned to any other position within the Department of Athletics. Further,
in such event, University shall pay to Coach as liquidated damages, in lieu of any and all other
legal remedies or equitable relief, a sum equal to 100% of the annual guaranteed amount (base
salary and recurring supplemental payments} of this Contract for each year or portion thereof
(pro rata) remaining in this Contract.

13. Appendix C Paragraph 3 One-Time Bonus Pool, subsection 3(A) is amended to revise the paragraph
above the table to read as follows:

(A) In each year in which the team meets the academic and bowl criteria set forth in Section
4(B) of this Contract and is selected to play in a bowl with a $1 million payout or greater and
is ranked in the top 25 in the final AFCA Coaches poll, Associated Press poll, or College
Football Playoff ranking (bonus based on final highest ranking), a one-time bonus pool will
be provided:

All other terms and conditions of the Head Coach Contract, as amended, between University and Coach
shall remain in full force and effect.
