DEED OF SALE OF MOTOR VEHICLE

KNOW ALL MEN BY THESE PRESENTS:

This DEED, made and entered this 18th day of January, 2022, at Batangas City,
Philippines, by and between:

MANNY G. AGONIA of legal age, Filipino citizen, single and a

resident of Sta. Rita, Batangas City, hereinafter referred to as
the SELLER;

- and -

REYVIN G. ABDON, of legal age, Filipino citizen, married and a

resident of Nagtaluntong, Lobo, Batangas, hereinafter referred
to as the BUYER;

WITNESSETH THAT:

WHEREAS, the SELLER is the true and absolute owner of a motor vehicle, in
good condition, covered by Certificate of Registration No.306346003; said motor vehicle
being described as follows:

WHEREAS, the BUYER has agreed to purchase the above-described property

and the SELLER has agreed to sell the same to the BUYER subject to the terms and
conditions herein-below specified.

NOW, THEREFORE, for and in consideration of the total sum of EIGHT

THOUSAND (Php8,000.00) PESOS, Philippine Currency, to be paid in the manner
herein-below specified, the SELLER, hereby sells, transfers, and conveys unto and in
favor of the BUYER, his, heirs, executors, administrators or assigns, the above-
described motor vehicle in good condition, and to the latter’s satisfaction.

SELLER hereby warrants that said motor vehicle is free from any liens and
encumbrances and that SELLER will defend the title and rights of the BUYER from any
claims of whatever time or nature from third persons.

In the event that despite of the good joint efforts of herein PARTIES actively
working hand in hand for the issuance of the Certificate of Registration to the BUYER,
the SELLER shall immediately refund the whole amount of payment to the BUYER
together with 1% interest per month from the said date and upon full payment of such
refund computed from the date of the execution of this contract until full payment
thereof. Herein BUYER obligates himself to surrender the motor vehicle to the
SELLER.
 SELLER hereby commits to defend and indemnify the BUYER from and against
any and all claims, demands, or actions by any person and /or entity arising from,
connected with or resulting from the possession, use and operation of the above-
described motor vehicle, including without limitation from any accident, injury or damage
or any other cause, whatsoever, and such indemnity shall extend to all cost, counsel
fees, expenses and liabilities which the BUYER may incur with respect to any such
claim, demand or action.

IN WITNESS WHEREOF, the parties herein have hereunto set their hands at
City of Batangas this 18th day of January, 2022.
