Mada Ayu Habsari started her business in energy efficiency because she observed that waste of
energy consumption in building industry is still high. The company she established was focusing on
retrofitting of lighting system; replacing conventional lamp into LED; and street lighting with solar PV
integrated with LED street lighting.
Mada is also actively involved as member and board in associations related to energy efficiency, such
as; KADIN (Indonesia Chambers of Commerce and Industry - Renewable Energy and Environmental),
METI (Indonesia Renewable Energy Society), MASKEEI (Indonesia Energy Conservation and Efficiency
- Society), KOPETINDO (New and Renewable Energy Cooperative), Working Group for Energy Efficiency in the
Coordination Ministry of Maritime, Working Group for National Road Map Target for Solar PV in the Ministry of Energy
and Mineral Resources, Working Group developing Law on Renewable Energy (and Energy Efficiency) with DPR (The
House of Representative Republic Indonesia) Commission VII . She is also continuously active in Conference of Parties
(COP) delegation on behalf of KADIN.
With her experience in the Renewable and Energy Efficiency and extensive network, she is developing her business in
energy efficiency in building and public utilities; and the development of Solar Rooftop, HVAC system, Pump/Plumbing
System and Water Treatment. In Indonesia, there is very few women in this field of works, she wants to show that
women is also highly capable in this line of works

Prasetyoadi, IAI (Tiyok) is a professional architect and urban designer. He is the founding partner and
managing director of PDW (www.pdw.co.id), an award winning firm and Top 10 Indonesia Architects
specializing in urban design and architecture in Jakarta. Prasetyo is one of the Core Founder of Green
Building Council Indonesia (www.gbcindonesia.org) and committee members of World Green
Building Council Asia Pacific Network. In GBCI, he is responsible for the Council Development and
Liason with World GBC and other GBCs around the world. He is currently Director for International
Relations of Green Building Council Indonesia.
Prasetyo is also the Country Leader for CTBUH Indonesia since 2009. He is a professional member of IAI (Ikatan Arsitek
Indonesia) and Head of Green Building Department; and also IAI representative for Architect Regional Council Asia on
Green and Sustainable Architecture (ACGSA). He is also member of PIA (Planning Institute of Australia), IAP (Ikatan Ahli
Perencanaan Indonesia), associate member of SIA (Singapore Institute of Architects) and LEAD (Leadership in
Environment and Development) Fellow (www.lead.org). In May 2014, he is selected as architecture and city planning
reviewer of Jakarta (TABG-AP; Tim Ahli Bangunan Gedung Arsitektur dan Perkotaan), appointed by the Governor of
Jakarta.
Prasetyoadi is recipient of several scholarships; Leadership of Environment and Development (LEAD) in 2004 and
Australian Leadership Award in 2009 (in Green Building). He also won awards in design competitions and IAI (Indonesia
Architect’s Institute) in 2018 for Gran Rubina Building. He is establishing an Energy Efficiency Service Company and
serves as Commissioner since 2014; PT. Enertec Mitra Solusi.

Paul Butarbutar has more than 28 years of professional experience in diverse sectors, including
more than 22 years in the environment-related field, such as transport and energy related air
pollution, municipality solid waste, and climate change. His portfolio includes advisory services
to various institutions on climate financing policy/trust fund, carbon pricing, renewable energy
and energy efficiency policy/investment i.e. BAPPENAS - Indonesia Climate Change Trust Fund;
World Bank PMR - Market Readiness Proposal (MRP) Program for Indonesia - identifying suitable market
instruments; AusAID AIPEG - carbon pricing policy options and a pilot case study for the Cement Sector in
Indonesia; DFID/Oxford Management- low carbon support to Ministry of Finance (MoF) Indonesia; Ministry of
Environment and Forestry – MRV Guidelines, community-based forest investment; Ministry of Energy and
Mineral Resources – renewable energy and energy efficiency policy and regulation.
Capitalizing his experiences in climate related and renewable energy Paul than established his own company, PT
JJB Sustainergy Indonesia. He wants to focus his work on carbon pricing, renewable energy policy, investment,
and advocacy, as part of his dream to see significant contribution of renewable energy in the energy mix of
Indonesia and in the effort to reduce GHG emission. Serves as Senior Advisor in PT. Enertec Mitra Solusi.

Jatmika Adi Suryabrata is a lecturer at the Department of Architecture and Planning,
Universitas Gadjah Mada, Yogyakarta, Indonesia, since 1986 with special interests in Green
Buildings/Bioclimatic Designs. He is also a practicing architect specializing in high performance
buildings/green buildings, some of which have received multiple awards from ASEAN Energy
Award annual competitions. Since 2103 he has been a member of Architecture and Planning
Board in Jakarta (TABG) reviewing technical aspects of building permit documents.
In addition, he has been working with International Finance Corporation (IFC – World Bank Group) in the
developments and implementations of Indonesia’s National Green Building Codes as well as Mandatory Building
Codes in in a number of cities. Starting in 2020 he also works as consultant in Global Building Performance
Network (GBPN) as consultant to prepare policy roadmap’s baselines and targets for low carbon/green residential
buildings. Serves as Senior Advisor in PT. Enertec Mitra Solusi.

• Before join Enertec, He worked for 5 years in human resources field. one of the company
was for Holland American Lines which based in Seattle, United States of America. Beside
working at the head quarter as a human resources officer he responsible also to be on board
the ship, handling administration of crew report, crew documents, Vessel permit, Vessel
document, handling and coordinating with the customs officer for every country the vessel visit,
so far he was handling and got a clearance for a total 84 countries around the world.

Commercial Offer
The Offtaker shall provide Bank Guarantee (BG) from a reputed bank for an amount equivalent
to 3 months energy charges as a payment security to the Developer for the Tenure of the
contract.
Payment Guarantee
Bank Guarantee shall be returned at the end of the Tenure of the contract.
Bank Guarantee shall be provided by the Offtaker immediately after signing of the Final Legal
Agreements/PPA.
Plant Performance The Developer will get paid by the Offtaker only for the power generated by the Solar Plant.
and Related Risks Therefore, the entire risk of lower generation is borne by the Developer.

Commercial Offer
In case, one or more Solar Plant needs to be relocated or its generation suspended after its Commission Date, Offtaker shall
provide a notice of 6 months to the Developer and shall be responsible for bearing the costs on actuals arising from moving,
disassembling, and re-installing/ commissioning the Solar Plant. Developer will be responsible for providing detailed documentary
proof of the actual pre-agreed costs borne for such relocation/disassembling.
Further, if the Solar Plant has been relocated by Developer at the request of Offtaker, shall ensure that the generation at the new
Relocation, sale and
site is similar to that at the original site within a margin of 5%. In case of any shortfall beyond such permissible limits, Deemed
transfer
Generation shall apply.
Notwithstanding any interruption in generation of power during such relocation of Solar Plant, the Offtaker shall be liable to pay the
Developer as per Deemed Generation, during the period of interruption, for the affected Solar Plant.
Offtaker shall pay Deemed Generation charges to the Developer during the period of relocation till such time the relocated Solar
Plant starts generating Electricity.

• Additional Provisions
Both Developer and the Offtaker and their management and advisors agree to
Confidentiality keep the terms and existence of this proposal in strict confidence and not to use any information shared for the
Solar Plant project for any purpose other than evaluation of this offer.
To the extent that this Term Sheet is legally binding, it shall be governed by, and
Governing Law and construed in accordance with, Indonesian law. Any dispute, controversy or claim arising out of or in connection with this
Dispute Resolution Term Sheet, including any question regarding its existence, validity or termination, shall be referred to and finally resolved
by non-exclusive jurisdiction of court of the District Court of South Jakarta.
The terms of the proposed investment as set out in this Term Sheet (which
supersedes all other correspondence between Developer and the Offtaker) are indicative only and may require
Binding amendments. This Term Sheet is not intended to be legally binding with the exception of (i) this paragraph, and (ii)
paragraphs entitled, “Exclusivity,” and “Confidentiality,” which shall become binding immediately upon the execution of
this Term Sheet.

Annex II : Construction Work Plan
Proposed capacity of the Grid connected Rooftop Solar Plant Project is designed using Mono Crystalline Silicon PV modules. These PV
modules will be installed on metal sheet roof using MS / Galvanized steel structures having fixed tilt and orientation towards north to
maximize the generation with respect to the location of the solar plant. The DC to AC conversion is carried out using inverters. All of the
generated solar power will be distributed to the local bus bar for local load consumption within the factory. There will be no excess
power, unutilized solar power will be limited using zero limiter device. The use of net metering system (possible to export to the grid) to
be further discuss and determine under the government regulation of Indonesia.
PV MODULES
The PV Modules are offered with positive tolerance of rated power thereby ensuring improved generation. The supplied modules will
be PID resistant that will reduce the degeneration.
Annex II : Construction Work Plan
GRID TIED INVERTERS
The Grid Tied Solar Inverters may use string inverters, specially designed for Solar
Power application that automatically synchronizes the converted AC power to the
grid power without the need for any separate synchronizing equipment. With a host
of features, the state-of-the-art inverters are also provided with anti-islanding
protection, i.e. when the grid fails or when its voltage level or frequency goes
outside of acceptable limits, the inverter automatically and quickly disconnects it
from the grid. This ensures that in the event of a blackout, the grid tie inverter will
shut down to prevent the energy flowing into the power grid.
The module mounting structures are designed to install the Solar PV modules at the
desired / designed inclination as per the plant location. The structures are made up of
MS / Galvanized sections of Angle / Channel / Tubes or any other sections as per
requirement. Appropriate fasteners / clamps are used for fastening the modules with the
structures. Legs / posts of the structures may be grouted on the roof or using ballast
and designed to withstand the wind speed conditions at the Plant location as per
relevant Indonesian Standard (SNI) code for buildings/structures. The structures will be
designed using Structural Analysis and Design Software “STAAD Pro” and a
comprehensive design report will be submitted to the Offtaker.

CABLES
All cables are selected according to their current carrying capability, insulation and
mechanical characteristics and to ensure longer operating life and minimum voltage
losses under local climate conditions. DC cables between PV modules and String
Inverters, will be of 1-Core, 4 / 6 sq.mm, UV rated, Copper cables.
All other cables, except HT cables, will be of 1- Core, Aluminium or Copper cables of
appropriate sizes. HT Cables will be of 3-Core, Aluminium. High quality cables with
XLPE insulation shall be provided.
DC Cable AC Cable Termination
The module mounting structures will be grounded properly using adequate number
of earthing pits and suitable size GI strips/rod. All electrical equipment / metal parts
of the plant shall be earthed properly to ensure safety of the equipment and the
Plant. The Plant will also be provided with lightning protection system as required.
General practices and standards of the approving local authorities will be followed.
Power evacuation system is designed to evacuate the power generated from Solar Plant
to the Offtaker’s facility considering all the necessary safety, protections and statutory
norms of the local authority. LT Panels of required number and design are provided to
combine the outputs of multiple String Inverters. Combined AC power at LT level is then
directly connected to the Offtaker’s LT panel as new incoming feeder.
The Solar LT Panel is provided with necessary protections and Metering system to record the
generation output from the Solar Plant.

WORKFLOW
Notice to Proceed:
After Lease Contract Agreement between Developer and Offtaker, the Offtaker will issue the Notice to Proceed (NTP) to the Developer as
written notice to start the project execution of Solar plant’s construction. This NTP will allow Developer to proceed with the development of
submittals, ordering materials and any other preparation required to adequately start the Work
Site Survey:
Site locations will be visited, and a detailed survey will be carried out. Information, measurements, drawings will be collected for detailed
engineering. Locations of equipment, routes for cable laying, evacuation details will be finalized jointly along with the Offtaker.
Taking inputs from the Site Survey and meeting with the Offtaker, detailed Plant Layout Drawing will
be prepared indicating the locations of all major components including roads, rooms, etc., if
applicable, along with routes for cables, and other subsystems. Detailed Bill of Materials will be
prepared for procurement. Drawings and Specifications will be prepared as required for
procurement and installation work. This stage of the project will involve evaluation and appoint EPC
contractors. Manufacturing drawings and guaranteed specifications will be obtained from the
equipment’s vendors (Vendor) and manufacturing clearance will be given after due scrutiny and
approval of the documents.
Annex II : Construction Work Plan
Factory Inspection and Tests:
Major equipment will be inspected at the manufacturer’s works before despatch for quality, workmanship, and compliance. Vendor
shall carry out factory tests in presence of EMITS/ Offtaaker’s representative. Inspection may be waived for standard products
based on the test reports of the manufacturers.
Successful factory inspection or waiver will be followed by dispatch clearance. Materials will be packed
as per standard practices and identified with proper tags/labels for convenience of site personnel before
dispatch.
Project Manager will mobilize resources at site and deploy its personnel as per
requirement of the project and the implementation schedule.
Field quality checks and pre-commissioning tests will be carried out at this stage for all the equipment and sub-systems ensuring readiness
of the Solar Plant for Grid connection and final commissioning. Energization of the Breakers and Commissioning of the Solar PV Plant will
take place in presence of the local MEMR (Ministry of Energy and Minerals Resources) officials after obtaining due permissions for the
same. Commissioning Certificate will be issued by the concerned department of the MEMR. Site Acceptance Test (SAT) will be carried out
by Project Manager (EMITS) after stabilization of the Solar PV Plant.
Project Closure:
A pending work (Punch) list shall be prepared post commissioning along with the Offtaker after joint inspection of the work. Completion of
all tasks in this Punch List and successful completion of the Site Acceptance Test (SAT) will deem to be considered as Closure of Project. A
one-day training cum overview program will be conducted by as part of formal handover of the Solar PV Plant.

Annex III : Operation & Maintenance Plan
Unscheduled Maintenance:
For unscheduled maintenance, the Developer shall be responsible for response calls for
any unexpected outages as soon as possible after being notified by its own remote
monitoring or by Offtaker’s personnel
Qualified Technician:
The Developer will ensure that a qualified technician, suitably trained shall be available to
all scheduled and unscheduled calls
