THIS SERVICE AGREEMENT

THIS SERVICE AGREEMENT (“Agreement”) is made on this the

18th day of December 2021 at Pune, India.

BETWEEN
------------------------------------------------------------------------------- having
its office at -------------- ---------------------------------------------------- India,

hereinafter referred to as ‘Purchaser’ / ‘Service Seeker’ or

‘------------------’, which expression shall, unless the context otherwise
requires, include its permitted successors and assigns);

AND <***>, a Company incorporated under the Companies Act, 1956,

having its registered office at <***> (hereinafter referred to as ‘the
Service Provider’ which expression shall, unless the context otherwise
requires, include its permitted successors and assigns).
Each of the parties mentioned above are collectively referred to as the
‘Parties’ and individually as a ‘Party.

WHEREAS:

1. Purchaser is desirous to procure the ***** services.

2. In furtherance of the same, Purchaser undertook the selection of a
suitable Service Provider through a competitive process available on
*********** for implementing the Project and in this behalf dated
00/00/2021 .
3. The successful bidder has been selected as the Service Provider on the
basis of the bid response to undertake the execution of the Project.

NOW THEREFORE, in consideration of the mutual covenants,

promises, assurances, representations and provisions set forth herein, the
Parties hereto agree as follows:

1. In the case of providing the Services, it shall use reasonable endeavors

not to cause any unnecessary disruption to Purchaser's normal business
operations; this Agreement has been duly executed by it and constitutes a
legal, valid and binding obligation, enforceable against it in accordance
with the terms hereof, and its obligations under this Agreement shall be
legally valid, binding and enforceable against it in accordance with the
terms hereof to the Service Seeker;

2. Before you begin to use the services on the ***** we need to outline to
you for you to read and understand, the Terms and Conditions of your use
of the ***** and Service Seeking services.

3. The Service Provider/Vendor shall furnish an affirmative statement as

to the absence of, actual or potential conflict of interest on the part of the
Service Provider or any prospective subcontractor due to prior, current, or
proposed contracts, engagements, with the Purchaser/Service Seeker.
Additionally, such disclosure shall address any / all potential elements
(time frame for service delivery, resource, financial or other) that would
adversely impact the ability of the Service Provider to complete the
requirements as given in the application documents.

4. The Service Provider/Vendor is fully responsible for the services

performed by it or on its behalf.
(i) Nothing mentioned herein shall be construed as relationship of master
and servant or of principal and agent as between the Purchaser/Service
Seeker and the Service Provider/Vendor.
(ii) No partnership shall be constituted between the Purchaser/Service
Seeker and the Service Provider/Vendor by virtue of this Agreement nor
shall either party have powers to make, vary or release their obligations
on behalf of the other party or represent that by virtue of this or any other
Agreement a partnership has been constituted, or that it has any such
power.
(iii) The Service Provider shall be fully responsible for the services
performed by it or on its behalf.
(iv) The Service Provider shall not use the Purchaser’s name or any
service or proprietary name, mark or logo for promotional purpose
without first having obtained the Purchaser’s prior written approval.
