95% payment to be released within 15 days after submission of bills at site. 5% retention is applicable for a period of 6 months after completion of works at
site.PF&ESI in contractor scope.

Sub-Contractor should make arrangement of following documents for Gate pass of his workmen who will be coming for work at KEC site.

• Aadhar Card and Bank account number for the bank transfer of wages as per The Payment of Wages Act
• UAN number, if allotted earlier
• ESIC number, if allotted earlier. It is applicable at site which is under the purview of ESIC
• Without UAN number gate pass will not be processed
• Any one document out of Voter ID, Driving License, Electricity bill etc., for the address proof if the residence address is not as per Aadhar.
• Screening Form (To be filled by Site KEC), Photograph, Education certificates & Employment Certificates – if any.
• PF & Gratuity Nomination form to be filled up at time of joining

1. The Sub-Contractor shall observe all the provisions of relevant/applicable labour laws at all the time and shall also indemnify KEC against any claim
arising out of non- compliance of applicable labour laws by Govt. Authority or any workmen of Sub-Contractor which may be made under statutory Act/Rules
applicable to site.
2. The Sub-Contractor shall maintain all records, registers and file returns to the appropriate authorities as mandated under the applicable Acts and Rules
and a copy of the same with acknowledgment shall submit to Site KEC-IR/Admin on month to month basis.
3. The Sub-Contractor shall remain present along with all the statutory records as and when required for Internal/third party audit/Govt. Inspection.
4. The Sub-Contractor should engage educated workmen so that they can able to read & understand various safety signboards, labels and instructions
written in English/Hindi/Local language at various locations within site/client’s premises.
5. The Sub-Contractor should engage such workmen those possess minimum physical standard to carry out the assigned work.
6. Employment of Child labour is strictly prohibited and is a penal offence as per the Child labour (Prohibition & Regulation) Act 1986.
7. The Sub-Contractor shall not employ any person below the age of 18 years & his age should be between 19 to 50 years.
8. No female labour allow to work from 7PM to 6 AM
9. All the sub-contractor should ensure the following point and submit monthly compliance to enable timely submission to client along with RA bill
10. Wage payment to workers to be made on or before 7th / 10th of every month (whichever is applicable) irrespective of the payment not made by the
KEC.
11. Salary / Wages of all manpower engaged shall be done through Bank Payment only.
12.Wage slip to be given to each worker & acknowledge copy to be maintained.
13.Labour welfare fund twice in a year
14.Professional tax challan & return of each month
15.All statutory Returns to be filled and submitted in its due date. Copy to be handed over to Site KEC-IR/Admin in time.
16.Contractor who are complying PF/ESI in KEC code, should submit the Wage details by 5th or 6th of each month to enable to generate the PF/ESIC
challan in time. On failure of it, delay in remittance i.e., after 15th of month, the late payment interest and penalty will be recovered from the RA bill.
17.After clearance of Monthly Invoice from the user dept., the following documents to be submitted to Site KEC-IR/Admin for the verification of statutory
compliance of the previous month for IR clearance.

a. Photocopy of Attendance Register, Wage Register, Advance/Penalty Register, OT register, Leave Register etc., acknowledgement copy of bank transfer.
b. Professional tax challan, if applicable
c. Labour welfare fund deposition slip (June & December)
d. Copy of Full & Final settlement of workmen, if any

e. Original gate pass in case of absconding/left of labour to enable to submit it to client for cancellation

? Appropriate action will be taken by Site IR/Admin/Commercial in case of any non-compliance observed
? To ensure compliance of all the instructions / amendments given by Site KEC-IR from time to time

To maintain the higher productivity, The Sub-Contractor shall ensure that his workmen will report at least 15 minutes prior to shift time at workplace.

Terms of Delivery :
1.Price

The above contract price is a fixed price Contract without any idle charges till completion of the works irrespective of variation in prices/ foreign exchange
fluctuation in currencies / freight and input cost of raw material except for statutory variation, new levies and or any variation in scope.The unit prices &
amount shall be as per the attached Bill of Quantities. All transportation, loading & unloading charges are included in the unit rates.

The quantity indicated in the order is only approximate. You will be paid actual quantity of work executed and approved by KEC/PMC / Client. The prices
mentioned are for the delivery of finished product and completed work as required and approved by KEC CIVIL BU, PMC & CLIENT. Quantity of work will
be measured as per IS-1200.

2.TAXES & DUTIES & ESCALATION:

The prices are exclusive of GST and the same shall be reimbursed to you on provision of tax invoices and the document evidences. All other taxes, duties
and Cess are inclusive in your price.

Any variation in taxes/duties due to statutory revisions during the period of the Contract shall be reimbursed by us against documentary evidence. However
statutory variations, if effected after the contractual delivery period as specified in the Contract hereof and in case the delay is not attributable to KEC, it
shall be borne by you.
TDS shall be made as per statutory requirements from bills. Necessary certificate will be provided by our accounts department on monthly/quartely basis.

Note: Sub-contractor shall abide by the GST laws and comply to it. It is the responsibility of the sub-contractor to submit all the GST payment proof
including copy of GST return filed to the principal contractor against the payment paid for previous month to disburse next payment on time
-In case of denial of tax credit to us due to non-payment of GST or non-submission of GST return or incorrect details submitted by you, the corresponding
amount incl INT and penalty will be recovered from you.

3.VARIATION IN SCOPE:
During the time of execution our site Management may vary the quantities for any extent as per the situation during the tenure of the contract for which the
rates will be operated strictly as per price mentioned in BOQ. For all the new items rates will be agreed upon by both of us before starting such works.

4.LABOUR LAWS :
You are requested to implement all Labour laws of the state and central governments and other concerned authorities. KEC CIVIL BU will be indemnified
against payment / damages that may result on account of non-compliance of the above by you. You will maintain all records that are required to be
maintained under Labour laws enforce from time to time. You shall cover your workmen under PF Act and the necessary documentary proof for the same
shall be submitted to KEC CIVIL BU's site office. Labour license for the workers engaged at site shall have to be arranged by you.

5.SAFETY :
The subcontractor shall strictly adhere to the safety measures/procedures/rules as mentioned in the KMRL and KEC SHE [Safety. Health, Environment]
manual. The subcontractor agrees to deploy his manpower/labours for all the training related to Safety, Environmental, Health and others necessary for safe
working in the Project without any extra cost to us. All costs towards the training of subcontractors manpower/ labour shall be borne by KEC. Any fines/
penalty imposed by KMRL towards failure by your labours on non-compliance / implementation of SHE shall be recovered at any given point of time from
your invoices/advances.

6.Quality of work:
Contractor shall be responsible to execute the job with high degree of quality as per the specification and in line with the latest code of practice as per the
instruction of the Project manager.
a)If the quality of the work being executed by you falls below the expected standard laid down by us, in such cases, in the interest of the timely completion
of the project and to maintain the high quality of work, we reserve the right to delete your scope of work, or, the entire balance work to be executed by you,
and get such works executed by other agencies, at your risk and costs.

7.RETENTION:
5% retention is applicable and the same shall be released after completion of 12 mmonths defect liability period.

DEFECT LIABILTY PERIOD:

The total defects liability period shall be twelve months from the date of completion of works.
During the defects liability period you shall rectify, repair or redo defective portion at free of cost. Defect Liability shall commence from the date of practical
completion certificate from client / KEC.

8.FACILITIES TO BE PROVIDED BY KEC

a.Providing Water & Power at site at a single point, further distribution will be under contractor's scope. However, back up power for critical jobs shall be
arrange by the contractor.
b.Provide space for stores. However KEC will not be held responsible for any loss or damage due to any reason whatsoever and the materials are to be

safeguarded by you at your own cost. Any damage to the materials issued by KEC due to Contractors negligence will be on Contractors account.
c.KEC will provide arrangement for Labour accommodation on availability basis. Lighting shall be arranged from your end along with maintenance.
d.Labour License & CAR policy are in KEC’s Scope

9.CONTRACTORS OBLIGATION:

a.Neither this WO, nor any right or obligation hereunder may be assigned, in whole, or in part, by the Contractor without the prior written permission of
Purchaser.
b.All the Confidential Information or data supplied by Purchaser to the Contractor in connection with this WO shall remain the property of Purchaser. If the
confidential information of the Purchaser is disclosed by the Contractor to an unauthorized third party, the Contractor agrees to indemnify Purchaser from
and against the same.
c.Indemnify the Purchaser from and against all actions, suits and proceedings by the third party for the acts/omissions of the Contractor and all costs,
charges, expenses, losses, damages, duties, taxes, penalties, levies, and all other liabilities which the Purchaser may be liable to pay, incur or sustain as a
result of performance or nonperformance, observance or non-observance by the Contractor of any of the terms and conditions of this WO.
d.If the Contractor fails to deliver the services as per the Terms and Conditions herein the Contractor shall indemnify the Purchaser for all losses/ damages
suffered by the Purchaser. The Purchaser shall be at liberty to purchase the Material from any other supplier at risk and cost of Contractor.
e.Contractor shall, at their expense, promptly repair at replace free of cost to Purchaser at Project Site any item of the Materials:
i)which may not comply with the technical specifications or the representations and warranties made herein; or
ii)which may be of defective or incorrect design; or
iii)which under normal and proper use and maintenance proves defective in workmanship or.
iv)which does not attain the minimum guaranteed performance parameters stated herein.
or.
v)In case the work completed does not attain the minimum performance guarantee parameter stated herein after rectification the work shall be rejected at
the risk and cost of the Contractor and the Contractor has to rectify the work within time period specified by Purchaser at Contractor cost. In the event of
such rejection, the Purchaser shall be entitled to the use of service in a reasonable manner till such time of necessary rectification by the Contractor.
f.Contractor shall execute the work strictly as per instruction of KEC site Engineers and as per good engineering practice.
g.Contractor shall provide his own quality and Supervision Engineers, Labour, equipment’s, tools & tackles in adequate numbers to complete the work as
per the given schedule. Any failure in the schedule, you have to mobilize required manpower/ Technical person to make up the lost time at no extra cost.
Plant / Equipment, tools and tackles will not be removed from the site of work without the prior permission of KEC/ Client/ PM consultant.
h.You shall make your own arrangement for stores and site offices at site at designated location identified by KEC. No bamboo or hazardous hutment/shed
will be allowed and facilities shall be with proper sanitation facility.
i.You shall make your own arrangement for Transportation of you Labour and Staff.
j.You shall abide by & maintain all quality formats and documentation as issued by KEC Engineers as per project quality requirement as well as CPWD
standard Formats & Norms
k.Supply of power & water shall be made at a designated location near the contractors work area. Contractor shall make his own arrangement for the
distribution of power and water lines within his area of work.
l.You shall arrange your own Security for your men, material & plants.
m. Final cleaning and handing over in your Scope.
N.Contractor shall be responsible for compliance of statutory requirements such as Workmen compensation, Provident Fund, ESIC, Insurance of its
manpower, labour and equipment etc., other labour laws etc. and law of land applicable. Contractor shall provide proof of such compliances to designated
officer of OCL/KEC.

10.FORCE MAJEURE
Any delay or impediment in the fulfillment of its obligation by either party by reason of force majeure, such as acts of nature like floods, earthquake,
epidemics, and acts of war and transport strike shall constitute excusable delay and no compensation or idle time payment shall be made for such delays,
but extension of time for such period shall be granted by us after examining the merit of the case for such each individual happenings.

11.Risk Purchase:In case the Contractor fails to complete the work as per WO on time or rectify the defects within a reasonable period as per the WO, the
Purchaser is free to get the work done from an alternative source at the risk and cost of the Contractor.

12.SEVERABILITY
If any of the terms and conditions of this WO shall become unenforceable for any cause or reason whatsoever, the ensuing lack of enforceability shall not
affect the other provisions hereof, and in such event the parties hereto shall endeavour to substitute forthwith such other enforceable provision as will most
closely correspond to the legal and economic contents of the said terms and condition.

13.NOTICES
All notices, communication, statement, request or correspondence under this WO shall be in writing and in English Language. All notices be served, either
by hand delivery or by send by the same by registered post, courier addressed to either party at the address stated herein or such change and in providing
the services of such notice, it shall be sufficient to show that the same has been received by the notified person.

14.ARBITRATION & JURISDICTION

a) In the event of any dispute arising or difference out of the performance or the interpretation of this WO, the Parties hereby agree to make every effort to
reach an amicable settlement.
b) Any dispute, controversy or claim arising out of or relating to this WO or the breach, termination or invalidity thereof shall be settled by reference of
dispute to Sole Arbitrator to be appointed by the Chief Executive Officer or the Managing Director or the President of the Purchaser. The Arbitration shall be
conducted in accordance with the Arbitration and Conciliation Act, 1996. The place of arbitration shall be Mumbai, India. The language used in arbitral
proceedings shall be English.
c) This WO shall be construed in accordance with and governed by the laws of India. The parties hereby expressly submit themselves to exclusive
jurisdiction of the courts in Mumbai, India.

15.SUBCONTRACTING:
The Contractor shall not sub-contract or assign the whole or part of their obligations under this WO without the Purchaser's prior written consent and such

consent if given, shall not in any way whatsoever relieve the Contractor from any liability or obligation under this WO.

16.ALTERATION(S)/AMMENDMENT(S):
Any alteration(s)/amendment(s) requested by Purchaser or by Contractor after this WO has been signed shall become effective only by mutual consent and
confirmation in writing by both the parties.

17. Undertaking: The Subcontractor agrees to furnish an Undertaking containing the following:
"It is confirmed by the sub contractor that any claim/dispute arising out of the above work shall be resolved in terms of agreement and shall not be raised
before KMRL and also shall not make any claim against KMRL before any forum/court."

18.TERMINATION OF CONTRACT:
If, your progress is consistently found to be below the accepted schedule; or if the quality of work being executed by you falls below the expected standards
laid down by us, in such cases, in the interest of timely completion of the project and to maintain the high quality of work, we reserve the right to delete any
part of the scope of work, or, the entire balance work. The scope thus taken away from you, shall be executed by other agencies at your risk and cost.

Please return the duplicate copy of this WO duly signed and stamped by the authorized signatory as a token of your acceptance for our reference and
records.
