4. After the elapse of at least one month between the date of last debt
validation session and authorizing the report –presented by the
liquidator to indicate the liquidation process is brought to an end-
by the company's general assembly or the partners group
5. The Department of Amendments in the Investment Services
Complex shall inform the representatives of Customs Authority,
Tax Authority and the National Organization for Social Insurance
located in the Complex that the Company is under liquidation.
Secondly: the Second Stage (completing the Liquidation):

1. The liquidator shall submit the minutes of meeting of partners
group (or the general assembly) including the approval of the
partners and contributors – with the majority stated in the Articles
of Incorporation or in the Statute – on the report conducted by the
liquidator indicating the result of the liquidation process, attached
to it the following documents:
a) Final account of liquidation authorized by the liquidator in
pursuance of the professional criteria observed in the preparation
of financial statement (Liquidation Balance Sheet).
b) A declaration by the liquidator acknowledging completing the
liquidation process, acknowledging fulfillment of all company’s
obligations, distributing the liquidation dues –in case it exists –
towards partners’ or contributors, opening an escrow account in a
bank to deposit an amount of money to face any liabilities the
company might not fulfilled yet and to fulfill the bank obligations.
c) A prove of publication as per the procedures mentioned previously
in part "Firstly (3)" and the end of specified dates.
d) A declaration by the liquidator and partners’ or shareholders
acknowledging full liability for the liquidation process

2. The Investment Services Sector shall deliver the liquidator a letter

of approval upon liquidating the company, the letter is addressed to
the competent Commercial Register and stating that GAFI has no
objection against delisting the company from the Commercial
Register according to the liquidator request and the approval of the
partners group.
3. Delisting the Company from the Commercial Register.
Thirdly: Procedures to be conducted by the liquidator from the

Research and License Department:
1. Participate in the inventory of the company's assets and matching
with the Zone's and Custom's records.
2. Submit certificate of quittance from (Tax office – Insurance office
– etc…) attesting the nonexistence of due payments from the
company.
3. Return the location vacant (after disposing the assets) or return
buildings and constructions to the Zone where the respective
Department will cancel the Operation of Activity Decree and
informing the competent bodies.
4. Publish in the Investment Gazette

Provisions and standards of projects establishment in private free zones
First: Main available fields and activities

Second: Conditions for establishment of industrial projects under the system of private free zones
1. In case there is no suitable site for the project activity inside the public free zone, as well the required site for the
private free zone might have influential factor on the projects' economic aspects, such as the necessity of its existence
beside sources of raw materials (areas of raw extraction or centers of assembling certain crops) or necessity to be
beside certain port or land road for considerations related to raw or products transportation like their huge size or
weight or quick damage
2. The project shall be Joint Stock Corporation or Limited Liability Company
3. Approval on establishing a project under the system of private free zones as branch in the following cases:
- Foreign companies where projects, in that case, are committed to submit the main company's registration in the

5. Permanent labor in the project shall not be less than 500 workers at the end of the first year of operation (submit a
pledge to acknowledge the former)
6. Percentage of project's products for export shall not be less than 75% except for ready-made garments and furnishings

provisions and limits issued by a decree from the relevant minister

Building Conditions:
- Full separation between the project's location and any other activities in terms of location and financial
- Height of fences that surround the zone shall not be less than 3 meters and not adherent to the factory buildings
- The project should have one gate for goods' exit and entry including, one gate for personnel and the other opened in
case of emergency
- Prepare suitable rooms for customs and GAFI representatives beside the main gate of the zone
- Shipment, loading and unloading for equipment and goods shall be done inside the private free zone not outside it
- The project shall abide by conditions of industrial security, civil defense and firing applicable in GAFI
- The project should provide medical clinic
Exceptions for establishing industrial projects under the system of private free zones, without abiding by minimum
conditions of private free zones, in the following cases:
1. The zone, where the project is established, is targeted for increasing investment
2. The project's shareholders include a famous company
3. Labor intensive project
Provided that the projects fulfilled the following percentage of the settled conditions:
• 50% of the minimum capital
• 50% of the minimum investment costs
• 50% of the minimum area
• 75% of labor number
It is required to implement 100% of the conditions of industrial projects established under the system of private free
zones with maximum three years. Cancelling the project will be considered, in case of project's violation.

Third: Conditions required for establishment of service projects under the system of private free zones:
1. Project's issued capital shall not be less than 5 million American dollar (in accordance to what required by the project's
activity). In case of projects of marine transport and navigation agency, their investment costs shall not be less than 10
million American dollar or its equivalent foreign cash authorized before Egyptian banks
2. Projects of marine transport and navigation agency starts to possess or rent at least one ship. Operation of service
activities and navigation agency will be limited to serving possessed ships only, taking in consideration abiding by all
conditions and controls of maritime transport sector affiliated to Ministry of Transportation.
3. Obtaining approval of relevant bodies such as:
- Maritime Transport Sector affiliated to Ministry of Transportation / River Transport Authority
- Civil Aviation Authority - Egyptian Airports Company
- Egyptian General Petroleum Corporation .. etc
4. Positive security clearance for foreign shareholders and partners in the project (if existed)
5. Title deed for the project's site if required
6. Administrative headquarters of service projects don't benefit from free zones' privileges and exemptions (except for
marine services projects in case of practicing the activity through the headquarter)
7. Petroleum services projects should manage its dealings from abroad or with free zones' projects or exempted
companies working under the umbrella of Egyptian General Petroleum Corporation
8. Reassurance activity is allowed for practice under the following controls:
- The project is established under the form of Joint Stock Company
- Minimum issued capital shall not be less than 12 million dollar
- Percentage of the company's money investments inside the country shall not be less than 75% of the total money
