Severally and jointly undertake to agree with you as follows:

1) In the event that The Company shall fail to pay, according to the terms agreed upon between
you and The Company any sum payable to you, including 1% ta’wid per month (compensation
fee) on overdue payment in respect of goods and/or services duly and properly supplied by you
to The Company pursuant to any order, we will upon notification by you pay such sum to you,
including 1% ta’wid per month (compensation fee) on all overdue accounts.

2) Our liability hereunder shall not be discharged in whole or in part or otherwise affected in any
way by and indulgence or forbearance shown by you to The Company.

3) This guarantee shall be a continuing guarantee to you for all monies which are now or may from
time to time be owing or remain unpaid by The Company to you.

4) That this personal guarantee is not subject to any conditional precedent as to our liability and
we hereby agree that we are liable to make payment upon receipt from you the notification of
our liability.
 5) Our liability herein shall not be affected and/or impaired by any dispute by The Company,
regarding the amount owing to you whether such dispute raised prior to or subsequent to
commencement of legal proceedings by you against The Company.

6) This guarantee shall not be limited in time and shall be valid and binding on us unless we have
given you notice if termination as to future transactions effective from the date receipt by you
of the said notice of termination. Our liability for this guarantee that may have accrued prior to
the date receipt by you of the said notice of termination shall not in any way be affected or
impaired for any reason whatsoever.

7) Agreed and undertake to pay ta’wid (compensation fee) of 1% per month upon all overdue
payments payable by The Company.

8) All costs including costs of solicitor – client basis shall be paid by us in the event you enforce
your rights to obtain payment against The Company and/or against us under this guarantee.

9) This guarantee shall be binding and shall not be deemed to be revoked notwithstanding any
change in the constitution, management or legal constitution of The Company whatsoever or
any change of name or insolvency and/or winding up of The Company.

10) Proof of your account statement and/or relevant documents shall be proof of our liability under
this guarantee.

11) In the event of our fully discharges of any liability to you under this guarantee by full payment
of all sum owing with ta’wid (compensation fee) and costs, we are entitled to be surrogated to
your remedies against The Company.

12) This guarantee shall be binding on our heirs, executors and administrators.

13) Any notice required to be given by one party to the other under this guarantee shall be
sufficiently served by sending the same registered post addressed to the addressed shown
above and shall be deemed to be received by the party.
