YAVA LABS Sponsorship Agreement

The purpose of this document is to set forth in writing the terms and conditions of the agreement
reached between YAVA LABS, hereinafter referred to as "SPONSOR" and Ibrahim Sobhi
Ismael Emilegy, hereinafter referred to as “ATHLETE”.
By responding to this offer, you have accepted the sponsorship terms and conditions and your
agreement is complete and active.
Sponsorship requirements are as follows.
1. Agreement Period.
This Agreement shall commence on date of execution for a term of 1 year, with a starting date of June
1st, 2021 and an expiration date of May 31st, 2022.
a). Compensation: SPONSOR will pay ATHLETE $12,000.00 per year during the length of the
agreement based on satisfactory completion of all demos, expos/shows, appearances and requirements
outlined in this document. Payments will be received monthly in the amount of $1000. Additionally,
ATHLETE will receive YAVA LABS supplements every month.
b). Competition Compensation: The SPONSOR will cover the ATHLETE’S travel expenses for 4
competitions per year. The exact competitions and the total dollar amount covered will be discussed
on a per competition basis.
c.) Product: ATHLETE to receive monthly supplies of YAVA LABS supplements.
d.) Events: ATHLETE’S travel and accommodation expenses to be covered by SPONSOR.
2. Definition of Certain Terms.
The following terms have the following meanings when used herein:
a). "Endorsed Product": shall mean products and services designed and sold by SPONSOR.
b). “Expos/Shows”: shall mean events the SPONSOR chooses to attend or has designated the
ATHLETE to attend.
c) .“Appearances” : shall mean events the ATHLETE chooses to attend that have been pre-approved
by the SPONSOR.
d). “Penalties”: shall mean that payment will be removed from ATHLETES compensation by
SPONSOR
e). “Completed”: shall mean that demo, expo/show or appearance has been authorized by SPONSOR
and a demo report for supplied by SPONSOR has been submitted to the regional or national sales
manager for verification.
3. Penalties
Transportation penalties: ATHLETE may be penalized at SPONSORS discretion for missed
transportation organized by SPONSOR when transportation has been organized in conjunction with
Demos, Expos/Shows and Appearances. ATHLETE shall also be penalized for applicable fees due to
missed transportation.
 4. Contract Territory:
All countries worldwide.
5. Exclusivity:
For the life of this agreement, ATHLETE agrees to represent SPONSOR exclusively in the sports
nutrition/supplement/natural foods/vitamin industry. Further, ATHLETE must obtain SPONSOR’S
permission in writing to participate in any activity/event relating to these industries if SPONSOR is
not present.
6. Use and Endorsement of Endorsed Product.
ATHLETE agrees that he shall use exclusively Endorsed Product in training for and competing in any
future competitions during the Agreement Period. SPONSOR shall provide ATHLETE with the
sponsorship offering as outlined above for personal use in competition, training and recreation during
the Agreement Period. During the Agreement Period, ATHLETE shall promote and recommend
Endorsed Product exclusively to other athletes and to the public. ATHLETE must wear clothing with
approved logo provided by SPONSOR.
(a). Wearing ‘YAVA LABS’ apparel is required when attending any venue related to the sports
nutrition/fitness industry; this includes but is not limited to gyms, retail stores, shows, and
fitness/bodybuilding related events.
SPONSOR must appear on all of ATHLETE’S sponsor lists, as well as appearing in all text pertaining
to your name. ATHLETE further agrees that Endorsed Product may not be modified or otherwise
decorated.
7. Indemnification
a). Indemnification by ATHLETE: ATHLETE shall hold SPONSOR harmless from any liability or
expense (including legal fees and costs) arising from any injury to or damage to ATHLETE or any
Athletes and from any injury caused to others by them, during competition or training. This shall
include, without limitation, any liability or expense arising based upon SPONSOR'S alleged
negligence or strict product liability, except when resulting from the willful misconduct of SPONSOR.
b). Indemnification by SPONSOR: SPONSOR shall hold ATHLETE harmless from any liability or
expense (including legal fees and costs) made by third parties against ATHLETE with respect to
claims arising from the manufacture, sale and/or use of SPONSOR products, except when resulting
from the willful misconduct of ATHLETE.
8. "Employer/Employee Relationship: 
SPONSOR agrees that ATHLETE’S relationship with SPONSOR shall be that of an independent
contractor and nothing contained in this Agreement shall be construed as establishing an
employer/employee relationship between SPONSOR and ATHLETE or any Athlete."
9. Confidentiality.
All parties, including but not limited to ATHLETE and SPONSOR, agree to keep all terms of this
agreement, especially financial arrangements, strictly confidential.
10. Demos, Expos/Shows and Appearances.
All events will be scheduled by YAVA LABS executive and 48 hours’ notice must be given for the
cancellation of any event or related transportation. All ATHLETE events must be approved by
SPONSOR. Expo/Show dates will be given at least 2 weeks in advance so the ATHLETE can plan for
the shows in their personal schedule. ATHLETE will be penalized $2000 against compensation for
incomplete or unattended demos, expos/shows or appearances.
 11. Promotion.
The SPONSOR will require the ATHLETE to be prepared at least 4 times a year for photo
shoot/promotional services. The SPONSOR will notify the ATHLETE 12 weeks in advance, during
which the ATHLETE is required to submit photo updates upon SPONSORS request.
a). Demo/event promotion: ATHLETE is responsible for self-promotion for all demos, and
SPONSOR is responsible for providing materials to ATHLETE for demo promotion.
b). Social Media: ATHLETE is responsible for maintaining personal Facebook page with updates at
SPONSORS request.
c). Web postings: ATHLETE agrees to post a minimum of 2 posts per week on websites , blogs,
social media platforms, forums where YAVA LABS products are represented. ATHLETE agrees to
maintain a posting presence on at least TWO (2) websites. ATHLETE is required to send copies of all
posts to his Athlete/Talent Manager as and/or a report in order to receive monthly compensation.
12. Terminating Agreement.
SPONSOR has the right to terminate this Agreement if the ATHLETE is involved in activities and/or
behavior deemed inappropriate. The SPONSOR also has the right to terminate this Agreement if it is
determined by the SPONSOR that the ATHLETE is not upholding the standards set in sections 4, 5,
and 8-12 of this agreement. Termination of this agreement by SPONSOR is effective immediately.
ATHLETE has the right to terminate this agreement with a 90 day notice in writing to the sponsor.
Upon such termination by the ATHLETE, SPONSOR shall retain the right to continue using any
materials and the ATHLETES likeness for up to 12 months past termination.
13. Entire Agreement.
This Agreement constitutes the entire understanding between SPONSOR, and aforementioned
ATHLETE. Upon its execution, this Agreement cannot be altered or modified except by an agreement
in writing signed by both parties, and shall supersede all prior negotiations, understandings and
agreements, whether oral or written, and such prior agreements shall thereupon be null and void and
without further legal effect.
