WHEREAS:

1. The Licensor is the exclusive Organizer of MISS INTERCONTINENTAL ® (hereinafter referred to

as the ‘Contest’) [advised to a later date].

2. The ND is the local organization of the country and is desirous of selecting and dispatching a

delegate from the Country to participate in the 50 MISS INTERCONTINENTAL® Contest.

NOW TO AGREE AS FOLLOWS:

In consideration of the Licensor/Organizer accepting the Delegate selected by the ND and providing
him with the benefits referred to in Clause 4 hereof. The ND hereby agrees to select the Delegate
from the Country to participate in the 50. MISS INTERCONTINENTAL ® Contest as a contestant.
ND has to provide the delegate with a changeable return ticket (round trip air transportation) between
Home Country and Host Country.

1) The Delegate so selected:

1a. must be natural female; and

1b. must be a resident of the Territory/Country for a period of 6 months minimum with
proof in this case required; and

1c. must have been selected from a female beauty competition conducted in the Territory
or alternatively must have been nominated by the ND with approval of the Licensor;
and

1d. shall have attained the age of 18 years and not older than the age of 27 years on or
before 1st October 2022; and

1e. must be able to have a reasonable knowledge of and be able to communicate in

English in addition to her native language; and

1f. Tattoos are only permitted if not visible when wearing swimwear, or are to be hidden
with cosmetics, and

1g. possess all the qualities of a beauty, i.e. poise, personality, charm, strong facial
features and perfect figure (Body); and

1h. must be co-operative and willing to abide by the directions and advice given by the
authorized staff of the Organizer;

2) If the candidate selected initially by the ND cannot participate in the contest for any reason
whatsoever, the ND shall forthwith send a replacement. The terms and conditions of the
Agreement shall apply in all respect to that replacement. The term the ’Delegate’ whenever used
in this Agreement shall mean the candidate from the Territory or his replacement, as the case may
be.

3) In consideration of the foregoing, the Organizer hereby agrees to accept the Delegate as a
contestant in the Contest upon the terms and conditions herein contained.

4) The Organizer shall furnish the Delegate with resort style accommodation (two Delegates will
share a room) and the Organizer shall have the sole right to determine the Roommate. Breakfast,
Lunch and Dinner will be provided by the Organizer. All meals will be standard meals.

 Local transportation from the date that the Delegate arrives in Host Country, but not earlier than
one of the dates to be specified by the Organizer pursuant to Clause 7(b) to the conclusion thereof
marked by the election of ‘Miss Intercontinental (herein referred to as the ‘Winner’)

The ND hereby undertakes warrants and agrees that it shall:

5a. Provide or cause the Delegate to bring the following items with him to the Contest:
- A wardrobe adequate for all activities in relation to the Contest including but not limited to
publicity, rehearsals and appearance which wardrobe must include the minimum:
two (2) long evening gowns, three (3) cocktail dresses, one (1) business outfit, one
(1) national costume, one (1) swimsuit as well as appropriate footwear and accessories
for those outfits;
- All clothing, toiletries, footwear and articles for her daily use; and
- At least 300 USD to cover Delegate’s incidental expenses.
- Pay a registration fee of 1500 USD after MIO is countersigning the contract and returning
the contract to ND and after receiving the Invoice.

- Return this Agreement duly signed by the responsible person referred to in Clause 11
hereof which Agreement must reach the Licensor on or before 4 weeks of receiving this
document but not later than MARCH 10, 2022 and;

5b. Explain the contents of the official Entry Form and Registration Form (these
documents being collectively referred to as the ‘Documents to the Delegate’s parent(s) or
guardian in the event that the Delegate is a minor, (i.e. a person under 18 years of age,
such a person is hereinafter referred to as ‘Minor’) and

5c. Return the Documents duly signed by the Delegate and where appropriate by the
Delegate’s parent(s) or guardian in the event that he is a Minor when he signs the same
together with the following, in high resolution and without any other persons on the Photos:

i) Three (3) color prints in full length (head to toe, one in swimsuit)
ii) Three (3) close up head and shoulders color photo of the Delegate.

All photos must be in high resolution and reach our office before __1. August 2022___/ 50 edition

6) In all activities to be organized by the ND in the Territory for the purpose of selecting and
dispatching the Delegate to the Contest be it promotional or otherwise and in all publicity efforts or
materials in relation thereto, the ND:

6a. Must not associate itself with the Organizer or Licensor in any manner (provided for
under Clause (f) hereunder); and
6b. Must not lead the public into thinking that the Organizer or Licensor are in any way
being or endorsing or is a party to the ND’s aforesaid activities; and

6c. Must not by any act or default bring or tend to bring the Organizer or Licensor into
Disrepute, ridicule or contempt; and

6d. Must not use the trade marks logos for trade names of the Organizer or Licensor or

those of the companies associated with or affiliated to the Organizer or Licensor unless prior

consent has been given in writing; and

6.e. Must not use the logo of the Contest in all advertising and promotions of the Contest
and a copy of all the material it appears on has been forwarded to the Organizer on or
before the World Final; and

6.f. Must at all time indicate clearly and unequivocally that the major purpose of the ND’s
activities is to select and dispatch the Delegate to the Contest.

The Contest title must take the form of:

Miss Intercontinental ___Brazil______ or to be named as winner or 1st runner up within

the national competition in case the winner is committed already to any other contest.

7) The ND further undertakes that it shall use its best endeavors to:

7a. Procure or cause the Delegate to arrive at the Official Host Country on the date(s)
to be specify by the Organizer. In the event that the Delegate requires additional nights
Accommodation due to early arrival or late departure, it will be the responsibility of

ND to make payment for the extra nights prior to the arrival of the Delegate in official

Hotel, unless other arrangements have been made with the Organizer and confirmed

in writing; and

8) The ND hereby declares and acknowledge that:

8a. The choice and arrangement of the Delegate’s accommodation, meals and local
transportation under Clause 4 hereof shall be in the absolute and unfettered discretion of

the organizer;

8b. Time is of the essence of the performance by the ND of its obligations under each of the
Clauses 5(a), 5(c);

8c. The property and all copyright in the photographs and slides
above shall given to the Organizer upon receipt by it and the ND cannot ask for the

return of the same under any circumstances.

8d. The Organizer is entitled to the sole and exclusive rights to record, produce, reproduce,
broadcast, televise and/or videotape all or any part(s) of the Contest in which the Delegate

shall participate. The Organizer shall have the rights to and exploit any and all the products

arising there from without the prior consent of, nor payment to the ND of the Delegate.

8e. The Organizer shall have the unfretted rights and discretion at all times to do any of the
following things;

i) To reject without stating any reason the application of the Delegate in which event the
Organizer shall not be obligated to accept a replacement;
ii) To withdraw the Delegate from the Contest at any stage without stating any reason in
which event the Organizer shall not be obligated to accept a replacement
iii) To cancel, postpone or bring forward the schedule date of the Contest.
iv) In the case of dispute or following the election of the Winner or the Runner-ups or other
titleholders, the Organizer may withhold any award of title or prizes until the dispute is
settled. The Organizer has absolute discretion to award such title and/or prize to the other
contestant(s) in the Contest.

9. The Organizer / Licensor shall not be liable under any circumstances for any loss or damage
sustained by the ND as result of or arising out of the exercising by the Organizer or Licensor of
any right or discretion referred to in this Agreement.

11. In the event that the ND is in breach of any of the terms, condition warranties or undertakings
herein, the Licensor may in their absolute discretion, terminate this Agreement forthwith and
without notice to the ND.

12. Any notice or other communications to be given under this Agreement shall be sent to the parties
at the address set below:

13. This Agreement shall be governed by and construed in accordance with the law of Panama and
the ND hereby submits to the non-exclusive jurisdiction of the court in Panama.
