DEED OF ABSOLUTE SALE

OF A MOTOR VEHICLE

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF ABSOLUTE SALE (the "AGREEMENT") is made and executed at

QUEZON CITY, this day of 23 December 2021, by and between:

ROWELL JAE R. MATIBAG, Filipino, of legal age, married to Mariz Sharmaine D.

Matibag, and with address at B14 L29 Matthew St, Francisco Homes 2, Brgy. Graceville,
San Jose Del Monte Bulacan, hereinafter referred to as the SELLER

-and-

GILBERT Z. MENDOZA, Filipino, of legal age, married to Jinky Marie S. Mendoza, and
with address at 642 A Calabash Rd. Sampaloc, Manila, hereinafter referred to as the
BUYER

WITNESSETH:

WHEREAS, the SELLER is the registered owner of a motor vehicle (the "Motor Vehicle")
as shown by Certificate of Registration No. 39340532-0, a copy of which is hereto
attached as Annex "A" and specifically described as follows:

WHEREAS, the SELLER desires to sell the Motor Vehicle to the BUYER and the
BUYER desires to buy the same from the SELLER.

NOW THEREFORE, for and in consideration of the foregoing premises and mutual
covenants herein contained, the SELLER hereby absolutely and unconditionally, sells,
assigns, conveys and transfers upon the BUYER, and its successors and assigns, the
Motor Vehicle described above, as follows:

1. Purchase Price. The purchase price for the Motor Vehicle shall be One Million
Three Hundred Fifty Thousand Philippine Pesos (₱1,350,000.00).

2. Payment. The BUYER shall make a down payment of One Million Fifty Thousand
Philippine Pesos (₱1,050,000.00), the receipt of which is duly acknowledged by the
SELLER. Thereafter the BUYER shall pay Twelve (12) monthly installments of equal
amounts of Twenty-Five Thousand Philippine Pesos (₱25,000.00).

Installment payments shall be paid every 23rd day of the month, except when said
date falls on a weekend or legal holiday then the installment payments shall be due
on the next business day.
 3. Transfer of Title. The ownership will transfer to the BUYER upon actual or
constructive delivery of the Motor Vehicle.

4. Warranties. The SELLER hereby warrants and represents that:

a. The Motor Vehicle is free from any liens and encumbrances;

b. The SELLER is the full and absolute owner of the Motor Vehicle with the
requisite right, power and authority to sell and covey the same to the BUYER;

c. The SELLER will defend that title and rights of the BUYER from any claims of
whatsoever kind and nature;

d. The BUYER shall fully hold and have peaceful possession of the Motor
Vehicle upon delivery thereof.

IN WITNESS WHEREOF, the parties have hereunto affixed their signatures on the date
and place first stated above.

1. ROWELL JAE R. MATIBAG, with the following competent proof of identification:

Driver's License with number N04-14-016337 which expires on 08/31/2025.

2. GILBERT Z. MENDOZA, with the following competent proof of identification:

Driver's License with number N04-08-013652 which expires on 05/15/2022.

All known to me to me and to me known to be the same persons who executed the
foregoing DEED OF ABSOLUTE SALE and they acknowledged to me that the same is
their free and voluntary act and deed.

IN TESTIMONY WHEREOF, I have hereunto set my hand and affixed my notarial seal
