MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement (MOA) made and entered into this ____ day of _______________ at

duly represented herein by its ____________________, _____________________________, hereinafter
referred to as TRANSPORTER with DENR TRANSPORTER CERTIFICATE No. ____________________

And

_____________________________, a firm duly organized and existing under and by virtue of the laws of
the Philippines, with principal office address at ______________________________________________,
duly represented herein by its ____________________, _____________________________, hereinafter
referred to as TSD Facility with DENR TSD CERTIFICATE No. __________________________

-WITNESSETH THAT-

WHEREAS, the GENERATOR is a corporation engaged in ______________________________ and in the

normal course of operation generates Hazardous Waste.

WHEREAS, GENERATOR is willing to engage the services of the TRANSPORTER / TSD FACILITY to transport
and treat industrial waste oil generated subject to the terms and conditions hereinafter set forth;

NOW THEREFORE, for and in consideration of the foregoing premises and of the following agreement and
mutual covenants herein provided, the parties hereunto do hereby agree as follows:

1 SCOPE OF WORK AND UNDERTAKING:

1.1 GENERATOR hereby appoints TRANSPORTER / TSD FACILITY to handle the transportation and the
treatment of the GENERATOR’S industrial waste at treatment facilities of the TRANSPORTER /
TSD FACILITY
1.2 TRANSPORTER / TSD FACILITY accept the appointment bestowed upon it by the GENERATOR
1.3 That the TRANSPORTER / TSD FACILITY acknowledges that it shall have full and exclusive
responsibility and liability under the law over all its hazardous and toxic waste materials pulled
out or withdrawn from the premises of the GENERATOR for violations or accidents resulting from
negligence of the said TRANSPORTER / TSD FACILITY or for failure of the said TRANSPORTER / TSD
FACILITY to treat all hazardous and toxic waste it has contacted to transport and treat;
1.4 The GENERATOR shall undertake to have the industrial waste placed in leak free, secured and
properly labeled containers which are in appropriate condition for safe transport.
1.5 The TRANSPORTER / TSD FACILITY warrant the transportation and treatment system it uses in
compliance with the requirements and regulations of the DENR-EMB as well as applicable local
ordinances and other laws.

2 CONDITIONS AND TERMS:

 For and in consideration of the full satisfactory and faithful performance by the TRANSPORTER / TSD
FACILITY of its duties as defined herein, agrees:
2.1 The GENERATOR shall furnish Permit to Transport (PTT) and secure Waste Manifest Form (WMF)
from DENR-EMB HWMS website for every hauling
2.2 The GENERATOR shall furnish a transport order and/or gate pass to the waste TRANSPORTER /
TSD FACILITY prior to the withdrawal of the wastes.
2.3 TRANSPORTER / TSD FACILITY will secure requisitions from PEZA (if within PEZA zone), of the
waste to be transported
2.4 Within thirty (30) days upon treatment, a Certificate of Treatment (COT) shall be issued by the
TRANSPORTER / TSD FACILITY;

3 EFFECTIVITY AND DURATION OF AGREEMENT:

This Agreement shall remain valid unless revoked by either party at any time provided that a written
notice by either party shall be served at least thirty (30) days in advance from intended date of
termination. Since this Agreement shall be use in the application for a permit to transport from the
DENR-EMB.

4 OTHER TERMS:

The TRANSPORTER / TSD FACILITY guarantees to maintain full confidentiality of any kind of
information it has learned about the GENERATOR’S operation including the terms of this Agreement
and hereby agrees not to disclose the same to any party without prior consent from the GENERATOR.

ACKNOWLEDGEMENT

BEFORE ME, a Notary Public personally appeared the above-named persons known to me and to me

known to be the same persons who executed the foregoing instruments and they acknowledged to me

that the same is their free, voluntary act and deed.

This instrument refers to the Memorandum of Agreement consisting of two pages including this page

where the acknowledgement is written signed by the parties and their instrumental witnesses.
