 Mr.Kumar’s Company, Investiboom has an outsourcing contract with M/s. Super Technologies.
Assured of the outsourcing assistance from M/s. Super Technologies, Investiboom has got a new
contract worth Rs.70 crore. If the Partnership with M/s. Super Technologies is dissolved, then
Investiboom would not be able to execute its new contract and suffer huge losses.
 Mr.Kumar does not want to take any of the liabilities of M/s. Super Technologies, as he incurred no
liability, and Mr.James was always the only working partner of the Partnership Firm.
 Investiboom is paying royalty to M/s. Super Technologies for the use of its mobile app. Mr.Kumar
wants to acquire exclusive intellectual property rights for the app used by his company, Investiboom.
 Mr.Kumar knows that Mr.James has amazing talent in the field of software technology, and that no one
can run M/s. Super Technologies more efficiently and profitably. However, Mr.Kumar wants to be
consulted in decision making of M/s. Meta Technologies as he is a majority shareholder.
