RULES AND INSTRUCTIONS FOR


CORPORATION LAW
[SY 2021-2022]

1. These Rules shall be effective on Tuesday, 08 February 2022.

2. Recitation and lecture on subject proper start on 08 February 2022.


(a) The Course Outline (with Case Lists) will be used during the entire semester.
(b) Only cases with a ü and are in bold letters are assigned for recitations.
(c) Assignment for Tuesday, 08 February 2022: Chapter 1 on 1. The Revised Corporation
Code; 2. Definition and Essence of the Corporation; 3. Four Corporate Attributes; 4. Tri-
Level Corporate Existence; and 5. Tri-Level Corporate Relationship

3. Bases for Computing Final Grades in the Course: MID-TERM GRADE 30%
RECITATION/QUIZZES 40%
GROUP WORK
FINAL EXAM GRADE 30%
Before students take the Final Examinations, they will be shown their Mid-Term Exam grades and
Recitation/Quizzes/Group Work grades, so they can individually determine exactly what they need to obtain
in the Final Exams to earn a desired final grade for the course.

4. Rules on Recitation
(a) Students will be called randomly every class.
(b) If you are called and you are absent without valid excuse and you do not have available cuts, you will
receive a 65% for that supposed recitation. If you are called and you are absent without valid excuse but
you have available allowable cuts, you will receive a 75% for that supposed recitation.
(c) The accepted excuse to remove a 65% recitation grade will be on a case-to-case basis, and a maximum
of two (2) instances during the entire semester.
All excused for absences should be covered by written explanations, and shall be considered on their
individual merits. Such excuses to be valid must be submitted immediately at the next meeting after the
absence; otherwise, such excuses shall receive no consideration at all.
(d) You are encouraged to ask questions in class; you may also write down queries and place them on the
desk at the start of the session. There is no such thing as a stupid question in the course. For other

5. Treatment of the Course


As a general rule, proper names, dates and places are not important in reciting the facts and law of
cases assigned, but more importantly the rationale and the principles behind the law and ruling bear more
weight. Present a simple story in class before tackling the legal issues. Facts and law relating to other
discipline of law, such as remedial law, except when necessary to understand Corporation Law principles,
should not even be discussed during recitations.
