DUBAI HOTEL APARTMENTS – FRACTIONAL INITIATVE

FACT SHEET/ SUMMARY TERMS*

• Individual ownership certificate for each fraction:

Extract: “on completion of the sale [the Purchaser] will receive a certificate of
fractional ownership for its fraction in the form of a statement which will be evidence
of ownership for The Land Department purposes”

• Guaranteed net return for 10 years:

- 7% over 10 years, OR
- 5% over 10 years where Buy-Back Option is selected

Extract: “Guaranteed Return means an amount equal to [five percent (5%]/[seven


percent (7%)] of the Purchase Price as defined in and payable under the SPA, such
Purchase Price being net of any administration, registration or other fees.”
“Guarantee Period means the period of ten (10) years from the Commencement Date
to the expiry of the Initial Term”

• After 10 years, Owner is entitled to a Revenue Share

Each fractional Owner is entitled to a fixed entitlement (as per percentages provided
by Developer)

Extract:
“Owner’s Revenue Share = [50% x Y – D] x E
where:
Y= Gross Pooled Revenue
D= Deductible Expenses
E= Owner’s Entitlement”
Revenues for all hotel apartments are pooled. Deductible expenses are limited to those
incurred in respect of the operation of the Pooled Units and the fractional scheme.

“Owner’s Return means (i) for the Initial Term, the Guaranteed Return and (ii) for the
remainder of the Term means the Owner’s Revenue Share”

• Up to 7 nights Free Stay per year for 10 years allocated on seasonal rotation
basis

Extract: “Owner Occupancy Periods shall be allocated by the Manager in its discretion
on a seasonal rotation basis, with the Owner’s allowance to be used between the
period of 1 October to 30 April in four (4) of the Operating Years comprised in the Initial
Term, and between the period of 1 May to 30 September for the balance Operating
Years comprising the Initial Term. In each Operating Year, the Manager shall notify
the Owner of the annual “blackout dates”, being peak period dates where the Owner
will not be entitled to use of any Owner Occupancy Period and for which reservations
for Owner Occupancy Periods in that year will not be accepted, together with the
applicable seasonal period.”

• Buy-back option after 10 years at original purchase price

Extract: “The Parties have agreed to the buy-back of the Owner’s fractional Interest in
the Unit following the expiry of the Initial Term, on the terms and conditions of this
clause 10.3 (Buy-Back Option). Such re-purchase by the Manager shall be for a total
inclusive amount equal to the Purchase Price as defined in and paid by the Owner
under the SPA (Buy-Back Price) and the Owner shall be responsible for payment of
any applicable taxes and for payment of all land department or other governmental
authority transfer fees in connection with the re-purchase/transfer. The Manager shall
(or shall procure that its nominee shall) purchase, and the Owner shall sell, the
Fractional Interest for the Buy-Back Price. The Owner and the Manager shall attend to
the formalities of transfer and registration of the Fractional Interest in the name of the
Manager or its nominee, to take effect from the date of expiry of the Initial Term. Upon
the Expiration Date (being the expiry of the Initial Term), this Agreement shall
automatically cease and determine without the need of notice, court or other order.”
