HEREINAFTER “THE PROJECT” （大写）

PACKAGE NO.: CASUAL LABOURS/WORKERS SUPPLY

Re- Letter of Award (“LOA”)

With reference to the above subject, we, Huashi (Malaysia) Sdn. Bhd. (hereinafter referred to as
“the Contractor”) are pleased to award you, Evernew Equation (M) Sdn. Bhd. (hereinafter
referred to as “the Sub-Contractor”), the sub-contract of supply of labors for 24 months
provisional contract period with provisional contract sum of XX Million Five Hundred Twenty
Five Thousand Eight Hundred Only （RM XX.00）.
就上述劳务人员的供应事宜，华西（马来西亚）有限公司(以下简称发包方 ）决定将劳务
供应分包合同授予 EVERNEW EQUATION (M) SDN. BHD.公司（以下简称分包方)，合同
金额暂定为 RM xxx ,暂定工期 24 个月。

1. Requirements in the Main Contract 主合同要求
1.1. Brightcon Sdn. Bhd. (hereinafter “the Employer”) has awarded the construction work
of the Project to the Contractor. .
业主已经把加冕人行天桥项目的施工合同授予了发包方。

1.2. The Sub-Contractor shall fully observe, perform and comply with all the provisions and
requirements of the Main Contract in regard to the Sub-Contract Works that the
Contractor is obliged to observe, perform and comply with as if all the same were
severally set out herein.
分包方应全面遵守发包方与业主签订的主合同里针对本分包的所有要求。

2. Subcontract Agreement 分包合同

2.1. This LOA shall work as a formal agreement legally binding the Contractor and the Sub-
Contractor.
本授标函将作为正式合同，对双方都有法律约束力。

2.2. The Subcontract by no means creates any direct employment relation between Contractor
and the workers/labors. For avoidance of doubt, the Subcontractor is the actual employer
of the workers/labors
不管如何解读，本分包合同都不会造成发包方与劳务人员有直接的雇佣关系，换
句话讲，分包方是劳务人员的直接雇主。

3. Scope of Sub-Contract Works 分包工作范围.

The Subcontractor shall Supply Workers/Labors To The Contractor for the project, details
of which are briefly described in the Appendix-2 BOQ/tender documents. The execution of
the Sub-Contract Works shall in compliance with all terms and conditions herein and any
local regulations.
分包方将按附件-2 的工种规定，向发包方供应劳务人员，并按照本分包合同条款及当
地法律法规执行本分包合同。

4. Site Staff & Contact Address 现场管理人员及联系地址

4.1. The Sub-Contractor shall appoint one (1) site representative to execute this subcontract
on behalf of Subcontractor.
分包方应指定一名驻工地代表，执行本分包合同。

4.2. The Subcontractor confirms that the site representative has been fully authorized to
receive any contractual documents and correspondence and further to make decision in
relation to subcontract works on behalf of Subcontractor.
分包方确认，其现场代表已经被完全授权，代表分包方接收与分包合同有关的合
同文件及往来信函，并进一步被授权做决定。

4.3. Meanwhile, the Subcontractor confirms that any contractual documents and

 correspondence can be emailed to: XXX. Any document sent to XXX is deemed to have
reached Subcontractor.
同时，分包方确认，合同文件及往来信函可以邮件发送到：XXX，发送到 XXX 的
文件视为已经送达了分包方。

4.4. Any change (if there is any) to site representative and email box should be notified to
Contractor in timely manner.
现场代表或邮箱如有变化，应及时通知发包方。

5. Responsibility of Sub-contractor 分包方责任 (此条纯劳务分包专用)

5.1. To select and supply healthy labors/workers to Contractor as per Appendix-2 BOQ and
make sure that all workers/labors are legally qualified for the work at the construction
site during the subcontract period ( such as valid CIDB card, Work Permit, License, ID
card, Passport). Any penalty by authorities due to default of this clause shall be born by
Subcontractor, and Contractor shall also charge Subcontractor 30% of the amount of
penalty as extra loss to Contractor.
挑选并按附件-2 里的要求供应身体健康的劳务人员，并确保所有劳务人员在分包
合同期间的工作合法性（例如合格的 CIDB 证，工作签证，身份证，护照等），违
反本条规定造成政府的罚款由分包方承担，此外，发包方将对分包方收取政府罚
款金额的 30%的费用，作为此事对发包方造成的损失的赔偿。

5.2. To replace at his own cost any workers/labors who are not qualified for the work
assigned by Contractor or expelled by Contractor for their bad performance at site.
及时免费替换不胜任工作或工作表现不好而被发包方辞退的劳务人员。

5.3. To make sure that all workers/labors abide by any site regulation and requirement (such
as Safety Regulation, House-keeping Regulation, Site Management Regulation) and
follow any instruction by Contractor.
确保所有的劳务人员遵守现场的规章制度（例如安全制度，文明施工制度，现场
管理制度），并听从发包方的指令。

5.4. To pay the worker/labors full salary in accordance with local law.
按当地法律规定满额支付劳务人员工资。

5.5. To bear and pay any taxes, SOCSO contributions and any other legal responsibility as
employer of the workers/labors.
给劳务人员支付作为雇主应当支付的当地社保费，税收等。

5.6. To indemnify Contractor from any loss or harm due to his own default in execution of
this subcontract.
确保发包方不会因为分包方违约给发包方造成的如何损失和损害。

6. Responsibility of Contractor 发包方责任 (此条纯劳务分包专用)
6.1. To properly assign work to and manage the workers/labors at site in accordance with
local law.
正确安排劳务人员工作并按当地法律进行管理。

6.2. To put the workers/labors under proper insurance against injury/incident within boundary
of construction site.
确保劳务人员在工地范围内的工伤保险。

6.3. To pay subcontractor certified amount due in accordance with this subcontract.
按本分包合同规定支付分包方劳务款。

6.4. To inform subcontractor in timely manner any problem arising from site performance of
the worker/labors.
如劳务人员有任何问题，及时通知发包方。

7. Sub-Contract Sum 分包金额

7.1. The Sub-Contract Sum is Ringgit Malaysia: Two Million Five Hundred Twenty Five
Thousand Eight Hundred Only (RM 2,525,800.00). Detailed breakdown of the
Subcontract Sum is as per the attached Appendix-2 to this LOA.
分包合同金额 2,525,800.00 马币,单价详见附件 2。

8. Salary & Wages To Workers/Labors 工人工资发放

8.1. The Sub-Contractor undertakes and agrees to fully pay wages/salary to the workers
/labors supplied to Contractor under this subcontract in a timely manner, otherwise, the
Contractor may, but not legally obliged to, directly pay the outstanding wages to
workers/labors on the Sub-Contractor’s behalf in an attempt to avoid any disturbance to
the Main Contract/Contractor. Any cost incidental thereto shall be added with an
additional 20% being the Contractor’s management fees and the total amount derived
therefrom shall be deducted from any payment due to the Sub-Contractor.
分包方承诺并同意及时满额支付其按本分包合同给发包方供应的工人工资，否则
发包方将直接介入此事并有权支付分包方工人的工资，并对分包方收取垫付工资
额的 20%作为发包方的管理费，以便避免工资问题对主合同/发包方造成任何的影
响。垫付的工资额及管理费将从分包方的应付款项里扣除。

9. Bills of Quantities (BOQ)

9.1. Bills of quantities in the Appendix is provisional and actual quantities shall subject to re-
measurement.
附件中的工程量为暂定量，具体工程量按实调整。

9.2. The unit rate in the BOQ shall remain unchanged for the whole contract period or

 extended period
工种单价在整个合同期间或合同延期期间保持不变。

9.3. Contractor shall confirm the attendance of work for every worker/labor on daily basis
and payment to subcontractor shall be calculated based on such confirmation.
发包方每天对劳务人员的出勤进行统计确认，对分包方的结算将据此统计来计算 。
(此条纯劳务分包专用)

10. Term of Payment 付款条件

10.1. Submission of application of claim: on/before 25th of each month, or the application
shall be postponed to next month .
分包方提交支付申请时间：每个月 25 日前,否则顺延到下个月申请支付。

10.2. Verification of application: 10 working days from submission.

发包方审核时间：从收到申请资料的 10 个工作日内完成。

10.3. Time of Making payment: 60 days from the date of verification and receipt of valid
invoice from Subcontractor.
支付账期：审核完成并收到分包方合格发票后的 60 天内支付。

10.4. The final payment shall be made to Subcontractor within one (1) month from provision
of valid invoice and signing of Settlement of Final Account by Subcontractor when
subcontract is officially closed.
最后一笔付款在分包合同关闭时分包方签订了《最终结算书》后的一个月内支付。

11. Omission, Increase and Novation 劳务人员的增减或转包

11.1. The Sub-Contractor is not allowed to assign or novate or transfer any of its rights,
interest, benefits, obligations and liabilities under this LOA to any other entities without
the Contractor’s prior written consent.
未经发包方书面同意，分包方不能将本授标函中属于分包方的权利、利益、义务
或责任转让给任何第三方。

11.2. Contractor may from time to time reduce or increase the number of workers/labors to
satisfy the need of works progress at site by serving a notice to/informing Subcontractor
in advance. In such case, Subcontractor shall fully cooperate with Contractor at no extra
cost except for payment for confirmed attendance of work of workers/labors.
发包方根据现场工程进度需要，可以提前通知分包方增加或减少劳务人员的数量 ，
分包方应积极配合，且不能提出除出勤工资外的任何额外费用。

12. Suspension/Termination and Indemnity 合同暂停/终止和免责

12.1. Contractor has the right to suspend or terminate the subcontract in accordance with the

 need of site work at any time provided that a notice of such intention is sent to
subcontractor in advance, or, the Subcontractor is properly informed in advance by
Contractor. Such suspension or termination shall not entitle Subcontractor to claim any
extra cost expect for the cost of attendance of work certified by Contractor.
发包方有权根据现场的需要暂时中止或终止本合同，但要提前通知或告知分包方 ，
分包方除了得到工人已出勤的工资费用外，不能提出额外费用的要求。

12.2. The Sub-Contractor shall indemnify the Contractor from all claims, actions, damages,
liabilities, out-goings, losses, costs, expenses incurred and/or suffered in respect of any
non-compliance, breach or default of any provision of this LOA or Sub-Contract Works
or any parts thereof by the Sub-Contractor, save and unless the same is due to
negligence, fraud and default by the Contractor.
分包方应保障发包方免受索赔，诉讼，损失，费用赔偿等（包括律师等法律费
用）除非是由于发包方的疏忽和过失。

13. Settlement of Dispute 争议的解决

13.1. This LOA (sub-contract) shall be governed by and construed in accordance with the law
of Malaysia. Any dispute arising from execution of this subcontract shall be settled with
the following means and principles:
i) Firstly, through friendly negotiation, or/otherwise;
ii) Secondly, mediation through third party, or/otherwise; and
iii) If the aforesaid fails to resolve the dispute, either party may refer the dispute to
arbitration at the Asian International Arbitration Centre (“AIAC”) located at Kuala
Lumpur in accordance with the AIAC arbitration rules, and the arbitration shall be
the final and binding to the two parties.
本分包合同由马来西亚法律管辖。履约过程中，如出现争议，双方应先友好协商
解决；协商不成则由第三方调解解决；调解不成则提请吉隆坡仲裁中心仲裁解决 ；
仲裁结果为最终结果，对双方都有法律约束力。

14. Languages of this LOA 合同语言

This LOA is written in both English and Chinese ， and should there be any conflict in
interpretation of any words ， expression and terms herein due to the two language, the
English version shall prevail.
本授标函由中英文两种语言书写，如因两种语言含义上的不一致导致对里面的任何单
词、表述和条款的理解上发生冲突，则英文版本为准。

15. Others 其他
The Appendix 1-ACKNOWLEDGEMENT, Appendix 2-BOQ and Appendix 3-
DECLARATION ON SAFETY OF PRODUCTION, Appendix-4 Anti Corruption
Announcement shall form integral parts of this LOA.
本授标函附件 1-分包方确认书,附件 2-工程量清单以及附件 3-《安全生产声明》,附件
4《廉洁声明》将作为本授标函的一部分。

This LOA is sent to you in triplicate. Please signify your acceptance of the LOA by signing and
stamping the attached Appendix 1-ACKNOWLEDGEMENT, Appendix-2 BOQ, Appendix-3
DECLERATION ON SAFETY OF PRODUCTION, and return us three Original (3) copies with
one (1) copy for you within 7 days from the date of this letter, failing which this LOA shall be
considered null and void.
本授标函一式三份，收到该授标函后，请于 7 天内在附件-1 承诺书上签字盖章，确认接受，
并于 7 天内送还我司三份原件，贵司保留 1 份，过期后本授标函将视为无效。
