LEAVE AND LICENSE AGREEMENT

This Leave and License Agreement is made and entered in at Mumbai on


______ day of ________________, 2020 B E T W E E N Mr. PARVEZ GULAM
RASOOL KHAN age of 50 years, having Pan No. ___________________, residing
at Flat No. 801, 8th Floor, C-Wing, Meadow Park Chs. Ltd., Aqsa Masjid Road,
Off. S. V. Road, Jogeshwari (W), Mumbai 400102, hereinafter called and referred
to as the "Licensor/Owner" (which expression shall unless it be repugnant to the
meaning or context thereof shall mean and include his heirs, executors,
administrators and assigns) of the One Part.

A N D M/S. ZILLION AATA through its Proprietor Mr. Tauheed Israr Sayyad
aged of 21 years, having Pan No. GKRPS4080K, having Gala at Zillion Avenues,
Shop No. 12, Near Shalimar Hotel, S. V. Road, Jogeshwari (West), Mumbai
400102 hereinafter called and referred to as the "Licensee" (which expression
shall unless it be repugnant to the meaning or context thereof shall mean and
include his heirs, executors, administrators and assigns) of the Second Part.

WHEREAS the Licensor owned and sufficiently entitled to the commercial


premises being GALA NO. 3 & 4, MP ESTATE, BEHIND AGARWAL
INDUSTRIAL ESTATE, OPP. SURAT SINGH ESTATE, OFF. CAPT.
GAJANAN SAMANT MARG, JOGESHWARI (W), MUMBAI 400102,
hereinafter called and referred to as the "Said Gala Premises".

AND WHEREAS the Licensee is in need of Commercial accommodation and


request the Licensor to allow them to use in their Gala for the purpose of storing,
packing, distribution and trading Wheat Flour and other food products and the
Licensor hereby grants that the License to the Licensee to use in their Gala for a
period of 11 (Eleven) months on the terms and conditioned mentioned below.

NOW THIS INDENTURE WITHESSETH AS UNDER:

1. That the Licensor is the owner of GALA NO. 3 & 4, MP ESTATE,


BEHIND AGARWAL INDUSTRIAL ESTATE, OPP. SURAT SINGH
ESTATE, OFF. CAPT. GAJANAN SAMANT MARG, JOGESHWARI
(W), MUMBAI 400102.

2. That the Licensor hereby grants the License to the Licensee to use in their
Gala for period of 11 (Eleven) months commencing from 03-01-2020 to
09/12/2020.

3. The Licensee on execution of this agreement shall deposit with the


Licensor a sum of Rs. ___________/- (RUPEES ________________________
______________________ ONLY) by cheque's Cash as security
deposit/guarantee for the due performance and observance of the terms
and condition of this agreement. This deposit shall bear no interest
whatsoever. The Licensor shall be entitled to any claim he may have
against the Licensee under this agreement. The deposit or balance thereof
shall be returned only at the time of the Licensee vacating the said Gala
and in the Licensee satisfying the Licensor that all obligations under this
License are fulfilled that the bills towards Electricity / Telephone bills and
any other bills and dues etc. have been paid or provided for in the event of
the termination or expiry of this agreement as stated herein, the Licensor
forthwith return the said deposit against the delivery of vacant and
peaceful possession of the gala by the Licensee to the exclusive possession
of the Licensor.

4. That the Licensor shall pay a sum of Rs. 27,500/- (Rupees Twenty Seven
Thousand Five Hundred Only) by cash/cheque tot he Licensor as and by
way of monthly compensation for the use and occupation of the said
premises on 10th of English Calendar every month of this agreement.
5. Upon execution hereof, Licensor has permitted the Licensee, to enter upon
the said Premise as a Licensee only.

6. That the Licensee shall also pay the Electricity charges, Telephone Bills,
Internet Bills, any other Bills (if any) to the society or to the concerned
authorities from time to time and outgoings i.e. maintenance bill of the
said Gala shall be paid by the Licensor.

7. That Licensee shall fully responsible for any Government obligations of


Income Tax Profession Tax, GST, TDS, Sales Tax, Service Tax, VAT/Excise
Duty, Profession and/or any kind of services Tax/Govt./Semi Govt. or
any Tax relating to his business and/or in the event of any professional
breach by the licensee, under no circumstances the Licensor shall be held
responsible in any manner whatsoever.

8. The Licensee will not be allowed to borrow any type of Finance or


Mortgage against the said GALA NO. 3 & 4, MP ESTATE, BEHIND
AGARWAL INDUSTRIAL ESTATE, OPP. SURAT SINGH ESTATE,
OFF. CAPT. GAJANAN SAMANT MARG, JOGESHWARI (W),
MUMBAI 400102.

9. It is expressly agreed that the Licensor shall be deemed to have the


ultimate control and full control of possession of the said premises and the
Licensee shall not claim any rights by way of sub-tenancy or any other
rights in the manner whatsoever in the said premises.

10. It is agreed that the Licensee is occupying the said premises on the basis of
Leave and License, it does not create any right, title or interest in the said
premises by way of sub-tenancy or tenancy or otherwise.

11. The Licensee will keep and maintain the said premises, in proper order
and condition at his own costs and upon the termination of the License
will leave the same in same condition, as it was on the date hereof
(reasonable wear and tear and loss or damage by fire, rains, accident,
irresistible force or act of God accepted).
12. The Licensee is hereby allowed to bring his own furniture/fixtures in the
said premises. However he will remove the same at the time of expiry of
this Agreement without damaging any portion of the said premises.

13. That the Licensee has before signing of this Agreement satisfied with the
working of electrical, fittings and fixtures pertaining to the said premises.
He agreed that he will maintain them well and shall be responsible for
their return in full working condition at the time of repossession of the
said premises on termination of this Agreement.

14. That the Licensee will not make any structural alteration / repairs /
modification in the said premises without the written consent of the
Licensor.

15. The Licensee shall not be entitled to enter induct any third party to use the
said premises or allow use of the said premises by any third party, as the
License is personal License, granted by the Licensor to the Licensee.

16. It is the express intention of the parties hereto that this Agreement shall be
a mere License and the Licensor shall at all times ahs free and
unobstructed access to the said premises at all reasonable times and
Licensor shall be deemed to be in exclusive possession thereof, the use and
occupation thereof by the Licensee being permitted for the purpose of
using the said premises on the terms and conditions, conditioned in this
License.

17. The Licensor and the Licensor's authorized representatives have full
liberty to inspect the said Premises at any reasonable hour of the day after
giving prior notice to the Licensee and Licensor shall be entitled to enter
upon the said Premises at any time thereafter to view the condition thereof
and to effect any such repairs as the Licensee is required to do pursuant to
its covenants in that behalf herein contained.
18. That the Licensee shall not claim any right to tenancy nor try to create any
evidence in his favour in respect of the said premises to him on Leave and
License. In the event of breach of these conditions, this Agreement will
automatically stand as terminated.

19. It is agreed that the Licensee is occupying the said premises on the basis of
Leave and License, it does not create any right, title or interest in the said
premises by way of sub-tenancy or tenancy or otherwise the License
hereby granted to the Licensee is a revocable and non-transferable one,
which is to be terminated on the expiry of 11 (Eleven months) as stated
hereinabove or earlier, subject to the terms and conditions hereinabove
stated.

20. The Licensee shall not store or permit to be stored any inflammable,
combustible or prohibited articles in the said premises or any part thereof
nor he shall to be done or permit any calculated to increase the risk of or
invalidate the insurance or likely to damage the said premises or any part
hereof and case of any breach or non-observation or any of the conditions
and covenants herein mentioned, he shall not only be liable to eject but he
shall also be responsible for the consequent damages and compensation.

21. That the Licensee will at all time observe and perform in accordance with
the bye-laws for the time being in force by the Society and/or concerned
authorities.
22. It is hereby agreed by the Licensee that immediately on the termination of
this Agreement the Licensee shall vacate the said premises without let or
hindrance under section 24 of the Maharashtra Rent Control Act, 1999, Act
18 of 2000 with special reference to sub-section (2) & (3) of Section 24
thereof.
23. The Licensee will not allow in either male or female of doubtful or of
immoral reputation character nor deal in narcotics / Liquor / drugs or an
unlawful activities whatsoever it is which is prohibited by the
Government.
24. That the Licensee shall not do anything which is not permissible or
prohibited under law or is in contravention of bye-laws, rules and
regulations or any orders of Central/State or Local authorities. Also shall
not store any narcotic such as liquor, Bhang, RDX, Crackers or any type of
fire arms etc. which is prohibited by any laws of the government and the
Licensee shall not allow any people of immoral reputation or allow any
immoral business in the said premises. The Licensee also agreed not to do
any act, deed or thing which would constitute breach of the rules and
regulation and the bye-laws of the society. In case of any complaint or
pressure of the society and if any illegal/immoral activities are found to be
carried out in the said premises or if breach of any terms and conditions,
then the Licensor is entitled to take the action against the same.
25. That so long as the Licensee is in permissive occupation of the said Gala,
he undertakes to comply with and satisfy all regulations bye-laws rules
and condition as may be in force from time to time and to execute all such
works as may be required by any public authority local or maharashtra
administration or of the Central Government.
26. On the expiration or earlier determination of this agreement the Licensee
shall handover the vacant and peaceful possession of the said premises to
the Licensor.
In case, if the Licensee for whatsoever reason fails to handover
the peaceful possession of the said Gala on the expiration of this
agreement. Then the time being the essence the Licensee hereby
unconditionally agrees to pay the Licensor, the liquidated damage of Rs.
1000/- (Rupees One Thousand Only) per day of the delay till such time the
vacant possession of the said premises is handed over to the Licensor, in
addition to the monthly compensation. This agreement shall be without
prejudice to the other rights and remedies and action available to the
Licensor against the Licensee. This payment/penalty does not absolve the
Licensee of his obligation to vacate the premises promptly on the
termination of the license.

27. The Licensee hereby has agreed to undertake and agreed that without the
prior written consent of the Licensor he will not obtain / get / transferred
any mobile / Landline / Telephone / Internet Connection / Food License,
FSSAI, Fire Bridage NOC / Trade Certificate / Udyog / Udyam Aadhar /
GST Number and Gumasta License and/or any other license relating to his
business at the said premises and he will not obtain any Financial loan
from individual or any institutions / Banks, Credit/Debit Card or any
other such legal documents showing the address of the said premises.

28. That the Licensee shall be responsible for clearing the dues of B.M.C. i.e.
Gumasta License or any other license toward the said premises and such
paidup bills shall be delivered to the Licensor upto the License period.
29. Any indulgence shown by the Licensor will not amount to waiver of his
rights.
30. Both the parties hereto acknowledge that this Agreement supersedes all
prior communication between them including oral or written proposals.
31. The Licensee will also conduct his business from the said premises at his
own risk and consequences and will not held the Licensor responsible for
any loss/profit made by him during the course of his business there at.
32. All the job contracts undertaken by the Licensee during the course of this
Agreement will be duly fulfilled by him only and for which the Licensor
shall not be held responsible.
33. Stamp Duty and Registration charges and other expenses regarding this
Agreement will be shared equally between both the parties.
34. Both the parties are at liberty to terminate this Agreement prior to the
expiry by giving 01 (one) month's written notice to other party.
35. The original copy of the Leave and License Agreement will be retained by
the Licensor and a duplicate copy of the same shall be handed over the
Licensee for his record.
36. This Agreement shall be subject to the exclusive jurisdiction of Courts at
Mumbai.
