Subject: Employment with Enterprise Resource Consulting

Dear Mr. Achyutha Gopalakrishna,

With reference to the discussions and subsequent interview you had with us, we have
pleasure in appointing you as a Software Test Engineer, or in such capacity as the
Company shall, from time to time, determine on the following Terms & Conditions.

Please report for work on or before 22 nd Feb 2007. At present your place of posting is
Bangalore. In case you do not report on the above date without intimation, your
appointment stands cancelled.

You will be on probation for a period of six months from the date of joining. After
completion of your probationary period, if in the opinion of the Company, you are found
suitable for the post in which you are appointed, you may be confirmed.

On commencement of employment, you shall receive Rs. 1,91,400/- per annum as


compensation as per Annexure.

The compensation package offered to you is strictly confidential and should not be
discussed with any other employee under any circumstance. ANY BREACH OF
CONFIDENTIALITY WILL RESULT IN YOUR EMPLOYMENT GETTING
TERMINATED WITHOUT NOTICE.

Statutory Deductions like Profession Tax, Income Tax, ESI etc., will be effected as per
the existing rules.

Your Salary will be reviewed only after the completion of One Year. Increments will not
be automatic, but will be subjected to, and on, the basis of effective performance and
results during the period. Increments may or may not be applicable on change of your
status from probation to confirmation.

Leave whilst on probation, you will be entitled to 07 days Casual Leave and 10 days Sick
Leave in a calendar year on a pro-rata basis, depending on your date of joining.
Privileged Leave of 15 days will be admissible only after your confirmation. If, for a
period of EIGHT consecutive days, you absent yourself without permission or intimation,
or overstay your leave, you shall be deemed to have voluntarily resigned from the
services of the Company and your name shall be struck off the Company roster.

OTHER WORK: Your position is a whole time employment with the Company and you
shall devote yourself exclusively to the business of the Company. You will not take up
any other work for remuneration (part-time or otherwise) or work in an advisory capacity
or be interested, directly or indirectly (except as a share or deposit holder, etc.) in any
other trade or business during your employment with the Company without the written
permission of the Company.

Notice Period: During the period of probation, in the event of your resignation, you will
be required to give 30 days notice to ensure smooth transition/ hand over of duties,
without loss to the company. In cases where adequate notice is not given, salary for the
period of shortfall will be deducted while carrying out the full and final clearance. Also,
during the period of probation, the company may terminate your services without
assigning any reasons, but with a minimum two weeks notice, or salary in lieu thereof.
However the management reserves the right to waive off or reduce the notice period
required to be given by the employee, based on special circumstances of each case.
Subsequently, on confirmation, either side will have to give one months notice. In the
event of requisite period of notice not being given, either side will liable to compensate
proportionately to the extent of salary and allowances due for the period of shortfall in
notice period.
