The following are the terms and conditions of the offer:-


Your Total Target Compensation will be INR 1,400,000.00 /- ( Fourteen Lakh Only). The Annual salary break-up is presented
in Annexure A along with Joining Benefits and other benefits applicable to you and your family. In addition, you will be eligible
fo r Gratuity, Mediclaim and Group Personal Accident Insurance benefits as per the company policy. The duly signed
appointment letter will be issued to you on the first day of your joining at Birlasoft only upon submitting your valid testimonials
and related joining formalities.

You shall be governed by the terms and conditions of service during your employment with Birlasoft as per existing HR
policies and those that may be amended from time to time.

"Please note that Birlasoft (India) Limited has merged with KPIT Technologies Limited ("KPIT") in accordance with a scheme
of amalgamation ("Scheme") approved by the Mumbai bench of the National Company Law Tribunal pursuant to its order
dated 29 November 2018. KPIT's name has changed to Birlasoft Limited with effect from 8 February 2019 pursuant to the
approval of the Registrar of Companies (Pune). During the course of your employment with the Company, you will be subject
to terms and conditions set out in this offer letter and the Company's policies, practices and procedures, as notified to you,
from time to time."

As a token of your acceptance of the above terms and conditions of the offer, please sign the duplicate copy of this letter and
indicate the date on which you can begin your employment with us.

3. Certain figures mentioned in this Letter of Offer, including financial information have been subject to rounding-off
adjustments. In certain instances,
1. the sum change of such numbers may not match exactly to the total figure given; and
2. the sum of the numbers in a column or row in certain tables may not match exactly to the total figure given for
that column or row.

Additional Notes to Offer Letter

Salary Review: You will be considered for salary review as per the company's policies effective from time to time.

Validity: This offer is valid for a period of 7 days from the date of issue. Also, the company has made the offer of employment
on the basis of the bonafide statements and facts provided by you. At the time of employment or during employment if the
company finds the information provided to be false or misleading, it reserves the right to take appropriate disciplinary action
against you which also includes termination of employment.

In case you decide to end your employment with the Company or the Company terminates your services for any reason before
you complete one year of employment with the Company,

1. the company retains the right to recover from you any expenses incurred by it in connection with your recruitment
including, but not limited to, fees paid to consultant, joining benefits paid to you (if any), etc. and
2. the company retains the right to recover from you any expenses incurred by it for processing any visa/ work permit for
you and/or any of your family members.

Notice Period: This appointment may be ended by either side with a notice period of 90 days or pay in lieu of notice. The
discretion to accept pay in lieu of notice rests with the Company and you will be bound by any such decision, which will be
taken based on work exigencies and you therefore may be required to work through the notice period. In case an employee
resigns of his/her own will, The Company reserves the right to release the employee prior to the notice period of 90 days,
taking into consideration business needs and work exigencies and the Company will not be liable to make any payment to the
employee in lieu of the notice period. The Company also reserves the right to recover the period costs of any specific
expenditure incurred, either on processing a visa/ work permit or for any specific training given for an assignment and where
you are unable, for any reason, to fulfil your part of the obligation, either to travel or to complete the assignment.

Assignments & Deputations: You may also be assigned and /or deputed to any other location for fulfilling the company's
business needs. This could include client locations, group companies, or a subsidiary and any other location as a
representative of Birlasoft Limited or its group companies.

Arbitration: All disputes arising out of or in connection with this Agreement shall be settled through mutual negotiation failing
which, shall be referred to arbitration in pursuance of the Arbitration and Conciliation Act, 1996 by a panel of three arbitrators
one appointed by each side and the third by the two arbitrators. The award rendered by the arbitrators shall be final and
binding upon both parties concerned. The place of arbitration shall be Pune. The language of the arbitration shall be English.
The cost of arbitration shall be initially borne equally by the parties. However upon the award being given, the prevailing Party
shall be reimbursed all the costs incurred by it towards arbitration by the other Party.

Brief Note on Variable Performance Incentive:-

1. VPI will be paid twice in a financial year, once after the mid-year review (H1 period) alongwith salary of November and
then after the H2 appraisal period along with the salary of May.
2. In H1, VPI will be paid at 40% of the annual eligibility
3. At the end of the financial year, VPI will be calculated on annual eligibility. In case the annual payout is more than 40%,
H1 VPI paid will be adjusted against the total payout. In case the annual payout is less than 40%, H1 VPI paid will not
be recovered.
4. Your first year VPI payout will be calculated based on your joining month, complete details of which will be available in
the Personnel policy handbook.
5. For candidates joining in the middle of the H1 / H2 period, VPI eligibility will be prorated for the number of days in the
respective appraisal period. This is subject to their joining date as in a person needs to be part of appraisal process
6. The Respective SBU Head will decide & distribute the VPI Kitty to the employees.
7. In case employee's last working date with the organization falls before the last date of the appraisal period (30th Sept
for H1, 31st March for H2), the VPI for that appraisal period in which the employee has been relieved will not be paid.
8. If the employee's last working date is the last day of the appraisal period, he will be paid VPI for that appraisal period.
9. All other terms of the VPI policy will be as per the HR Personnel handbook available on joining.

5. Bachelors Degree along with Certificate and Marksheets
6. Masters Degree along with Certificate and Marksheets
7. Diploma along with Certificate and Marksheets
8. Secondary and Higher Secondary certificates
9. Previous employers relieving letter/experience certificate
10. Previous employers appointment letter
11. Two Photographs (as per US visa specifications 50 x 50 mm, 80% face, grey/white background)
12. Name Change Documents (If applicable)
13. Provident Fund Number

Please note that absence of proofs of date of birth would result in exclusion from Company Insurance Coverage, Gratuity,
Provident Fund etc.

Background verification will be conducted at the time of induction and at any time during your tenure with Birlasoft Limited. All
are expected to provide the relevant data during induction for closing background verification successfully.
