Please note that this contract includes only minimum requirements and should be used
only when the construction is simple (renovation, repairs) and if the supplier is known
and has already worked with us.
Draft contract has to be sent to Logistics and Resources mobilisation department, Geneva.
In addition, as each country has its own regulations, a legal adviser (either local or Ge-
neva) must go through the contract to see if it is written according to local law.
It is possible to add additional articles according to needs from the comprehensive con-
struction contract available in Logistics standard CD-Rom or provided by Geneva (called:

1. This Contract is made between:

International Federation of Red Cross and Red Crescent Societies,

Represented by Mr.Paul Emes, Head of Delegation Georgia
(hereinafter called “the Federation” )

and

Company Name:

Represented by Mr. , Director (hereinafter called "The Contractor")

2. By this contract The Contractor is obliged to carry out rehabilitation works in Site name collec-
tive centre as described in the attachment#1 which is an integral part of this contract. The
Federation is obliged to pay the Contract fee for the works carried out for the Federation as
specified in the terms of payment that are an integral part of this contract.

3. CONTRACT SUM
The total contracted fee for the above mentioned work USD $0.00 (in words) shall be paid by
the Federation to The Contractor as per the TERMS OF PAYMENT. The price includes all appli-
cable duties, taxes and VAT, incidental expenses like transport and installation, insurance's,
storage, etc. The Federation is holding back 10% out of the total contracted sum (Retention fee)
for two months after the date of handing over the project, as guarantee for quality of workman-
ship or materials used by The Contractor in order to be able to repair or correct any possible de-
fects.

4. GENERAL TERMS AND CONDITION OF CONTRACT


This Contract is complete and comprehensive. The Contractor shall subject to the provision of
the contract provide all materials for permanent and temporary works, transport to and from and
in or about the site. The Contractor shall obtain all required documents to conduct construction
work. The Contractor shall provide security for the site during works and shall be responsible for
labour requirements, their insurance and shall take full responsibility for the adequacy, stability

and safety of all site operations and methods of construction in compliance with the legislation of
Georgia.

The Contractor shall use at least 30% of qualified and non-qualified IDP labour where possible.

Except where expressly varied in this contract, the Federation General Terms and Conditions
attached hereto will apply.

5. CLERK OF WORK
The Federation shall appoint a clerk of work to safeguard Federation's interests on site. The
clerk of work shall not unduly interfere with the work and any major changes to the scope of work
the clerk of work deems necessary shall be given in writing to The Contractor and shall be
signed by the Federation.

6. WORKMANSHIP AND MATERIALS


All materials and workmanship shall be in accordance with the Federation instruction. The Fed-
eration and any person authorised by the Federation shall at all times have access to the works
and places where work is being prepared in order to be able to control quality and progress of
the works.

7. COMMENCEMENT OF WORK AND DELAY


Commencement of work shall be immediately upon signing of the contract. All works shall be
completed before date 2001 Any delay after this date without a reason accepted by the Fed-
eration will cause a penalty to The Contractor as per immediate retaining of Retention fees or
termination of contract. The Contractor shall inform the Federation in writing on causes of any
delay or anticipated delay.

8. ALTERATIONS, ADDITIONS AND OMISSIONS


The Federation shall order any changes to any part of the work that may in their opinion be
necessary for the completion of the work. Such changes may include additions, omissions, sub-
stitutes, alterations or changes in quality or quantity. The ordered changes shall be in writing.

9. DISPUTES
Any disputes between the Federation and The Contractor shall be resolved amicably by negotia-
tion. If such disputes not solved within 60 days article 12 of Federation General Terms and
Conditions shall apply.

10. TERMINATION OF CONTRACT


The Federation may terminate the contract at any time when The Contractor has failed to exe-
cute his duties according to this contract i.e. due to excessive delays, poor workmanship, poor
quality materials, etc.
The Contractor agrees to compensate the federation for any costs or expenses incurred due to
the termination of this agreement and the hiring of a substitute contractor. Federation is entitled
to retain any sums owed under this Article from payments already owed to The Contractor.

11. CERTIFICATE OF PAYMENT


The Federation shall issue a certificate of payment to The Contractor for each term payment.
The certificate shall be issued upon inspection and acceptance of the work performed, exceed-
ing in quantity the work covered by previous payment.

12. COMPLETION CERTIFICATE


The Federation shall issue a completion certificate to The Contractor upon completion of the
works. The certificate shall be issued after final inspection and acceptance of works. All works
shall comply with the Georgian Construction Standards or other relevant International Construc-
tion standards.

13. TERMS OF PAYMENT


All payments shall be made in equivalent sum of Georgian lari using exchange rate of
the National Bank of Georgia on the day of payment.

Payment should only be made after specified works are satisfactorily finished in accor-
dance with Attachment 1 and certified in accordance with Article 11.

Total contract fee: USD $0,00 shall be paid in accordance with the terms of payment pro-
vided in this Contract as follows:

a. MOBILISATION FEE - Upon signing of the contract and shall not exceed 30% of the Total
Contract fee.

b. PROGRESS PAYMENT shall be made when 30% of specified works are finished in accor-
dance with the Attachment#1

USD $0,00

c. PROGRESS PAYMENT of 30% shall be made when all specified works are finished in accor-
dance with the Attachment#1 and construction wastes are removed from the site.

14. RETENTION FEE


Payment of remaining 10% shall be made when no defects found after four weeks from comple-
tion date and the quality of workmanship and materials are satisfactory. If any defects found
they should be fixed by The Contractor within the reasonable period of time defined by The
Federation.
