Quezon City. This award is being made with reference to your final negotiated offer dated

The following terms and conditions shall form part of this Letter of Award/Notice to Proceed that unless and
until a formal agreement is prepared and executed, shall constitute a binding contract between
SUBCONTRACTOR NAME and, referred herein as
the CONTRACTOR, effective as of the date hereof.

1. CONTRACT SUM

The Contract Sum for this award shall be Lump Sum in the amount of PHILIPPINE PESOS: exclusive of
Value Added Tax (VAT) and other necessary duties, fees, and taxes.

The Contract Sum shall be fixed and firm for the entire duration of the contract and shall not be revised
unless there will be approved additive or deductive variation orders as instructed by the CONTRACTOR.

In case there shall be works to be performed in addition to what has been originally awarded, the Work
Authorization Order (WAO) shall be tendered by VIC but should only serve as an acknowledgement of the
authenticity of the extra works to be performed.

The extra works should only commence upon agreement of cost between the SUBCONTRACTOR and the
CONTRACTOR and the issuance of Letter of Award/Notice to Proceed.

2. CONTRACT DURATION/MILESTONE DATES

The duration period to complete the works for this contract package is Ten (10) Calendar Months and as
agreed upon by the CONTRACTOR and the SUBCONTRACTOR.

Day One (1) will commence after the issuance of the construction drawing approved by Philippine Children
Medical Center and upon the availability of site for you to start the works, whichever is later.

In case there are Government permits (Building Permit or Plemorandum of Agreement or any form of
government requirements) that needs to be secured prior to execution of work or may hamper execution of
works, the CONTRACTOR and the SUBCONTRACTOR shall convene to establish reckoning date of the
start of the work or Day 1 of the contract period.

It is understood that time is of the essence for this project, the SUBCONTRACTOR shall pay VIC liquidated
damages equivalent to one tenth of one percent (1/10 of 1%) of the contract price for each and every
calendar day of delay including Sundays and legal/special non-working holidays but not to exceed ten
percent (10%) of the Total Contract Sum.

Ten Percent (10%) of the delay on the schedule shall authorize VIC to assist you or take-over the balance
of work entirely, and the costs incurred to complete shall be chargeable to your
account, whether the schemes or materials to be used to complete the scope of works is the same as your
materials and schemes, or, the use of other system/materials approved by the Design Consultant. This
provision will not apply if the causes of delays are not due or attributable to the SUBCONTRACTOR.

3. CONTRACT DOCUMENTS

The parties hereby agree and confirm that the following documents, drawings and letters shall constitute as
integral parts of the Contract and shall collectively referred to as the "Contract Documents":

a. This Letter of Award (LOA)/Notice to Proceed (NTP)

b. Contract Drawings and Specifications

c. Bid Clarification Form

d. Bills of Quantities

e. Technical Documents

f. All other additional documents agreed and submitted as tender documents, including
correspondences and documents duly signed by the Owner and the Contractor including agreements
made during the clarification and negotiation meetings.

The terms and conditions stated in this LOA and NTP shall govern in the event of any inconsistency
between the terms and conditions stated in the Contract Documents.
