LETTER OF INTENT

Dear Sir,

We at express our intent to purchase your property located at _____________________, containing

approximately _______________sq meters.

We propose and abide by the following terms and conditions described below:

a. The purchase price shall be _________________________________ (P__________) per square

meter.

b. Earnest money in the amount of ________________________________________________________

(P_______________) shall be paid immediately upon acceptance of this offer, which shall form part of
the Total Contract Price. The receipt of the earnest money shall absolutely prohibits the SELLER from
offering the property for sale to third party and shall give the BUYER the exclusivity to buy the said
property.

c. The BUYER must be given at least 3 to 6 months Pre-selling

d. The remaining balance of

e. Construction and Development shall be made upon payment of 80% of the Total Contract Price

f. Upon full payment of the total price, the SELLER shall sign and execute a DEED OF ABSOLUTE
SALE in favor of the BUYER. The SELLER shall likewise execute and/or deliver any and all
documents, including but not limited to original copy of Transfer Certificate of Title, Tax Declaration,
and all other documents necessary for the transfer of ownership from SELLER to the BUYER.

g. In case of failure of the BUYER to comply with any of the forgoing terms and conditions the
SELLER shall have the option to cancel or rescind this agreement without need of Court Order.

h. In case of unreasonable cancellation of agreement of the SELLER, the BUYER shall demand a full
refund of the paid amount plus damage without need of Court Order.

This letter shall not constitute a binding agreement but merely reflects the current interest of both parties.
