Definition 定 義：
Beneficial Owner 實 益 擁 有人：
a. In relation to a corporation (if fulfils any of the following criteria): means an individual who, 就 法 團而 言 指 符 合以下任 何
一項 說 明 的 個 人：
– owns or controls, directly or indirectly, including through a trust or bearer share holding, 25% or more of the issued
share capital of the corporation; or 直 接或 間 接 地 擁 有 或 控 制（包括 透 過 信 託 或 持 票 人 股 份 持 有）該 法 團已發 行 股本 的
25% 或 以 上；或
– is directly or indirectly, entitled to exercise or control the exercise of 25% or more of the voting rights at general
meetings of the corporation; or 直 接或 間 接 地 有 權 行 使 在 該 法 團 的 成員 大 會上 的 投 票 權的25% 或 以 上；或 支 配 該 比 重
的 投 票 權 的 行 使；或
– exercises ultimate control over the management of the corporation; or 行 使 對 該 法 團 的 管 理 最 終 的 控 制 權；或
– if the corporation is acting on behalf of another person, means the other person.（ 如 該 法 團 是 代 表 另一人行 事）指 該
另一人。
b. In relation to a partnership (if fulfils any of the following criteria): means an individual who, 就 合 夥 而 言 指 符 合以下任 何
一項 說 明 的 個 人：
– is entitled to or controls, directly or indirectly, 25% or more share of the capital or profits of the partnership; or 直
接或 間 接 地 有 權 攤 分 或 控 制 該 合 夥 的 資本 或 利 潤 的25% 或 以 上；或
– is directly or indirectly, entitled to exercise or control the exercise of 25% or more of the voting rights in the partnership;
or 直 接或 間 接 地 有 權 行 使 在 該 合 夥 的 投 票 權 的25% 或 以 上；或 支 配 該 比 重 的 投 票 權 的 行 使；或
– exercises ultimate control over the management of the partnership; or 行 使 對 該 合 夥 的 管 理 最 終 的 控 制 權；或
– if the partnership is acting on behalf of another person, means the other person.（ 如 該 合 夥 是 代 表 另一人行 事）指 該
另一人。
c. In relation to a trust (if fulfils any of the following criteria): means an individual who, 就 信 託而 言 指 符 合以下任 何一項 說
明 的 個 人：
– is entitled to a vested interest in 25% or more of the capital of the trust property, whether the interest is in possession
or in the remainder or reversion and whether it is defeasible or not; or 有 權 享 有信 託 財產 的 資本 的 既 得 權 益 的25%
或 以 上 的 任 何 人，而 不 論 該 人 是 享 有 該 權 益 的 管有 權、剩 餘 權 或 復 歸 權，亦 不 論 該 權 益 是 否 可予廢 除；或
– the settlor of the trust; or 該 信 託 的 財產 授 予人；或
– a protector or enforcer of the trust; or 該 信 託 的 保 護 人 或 執 行人；或
– an individual who has ultimate control over the trust. 對 該 信 託 擁 有最 終 的 控 制 權 的 個 人。
d. In relation to a person other than (a) to (c) (if fulfils any of the following criteria): means an individual who, 就不 屬(a)至
(c) 段 所 指 的人而 言 指 符 合以下任 何一項 說 明 的 個 人：
– ultimately owns or controls the persons; or 最 終 擁 有 或 控 制 該 人 的 任 何 人；或
– if the person is acting on behalf of another person, mean the other person.（ 如 該 人 是 代 表 另一人行事）指 該 另一人。

Intermediate Owner 中 介 控 股 公司：

Intermediate Owner is an entity or legal arrangement (e.g. Trust, Foundation etc.) that sits between the entity and the
Ultimate Beneficial Owner in the ownership structure. 中 介 控 股 公司 是 指 在 股 權 架 構 中，處 於 公司 和 最 終實 益 擁 有人 之 間 的
控 股 公司 或 法 律 安 排（如 信 託 基 金、基 金 會 等） 。
Key Controller 主 要 管 理 人：
Key Controller is an individual who is elected or appointed to exercise direct control over the entity, by participating in the
governance or senior/executive activities of the business. Key Controller typically sets the strategic direction of the entity. It
can be a corporate entity. Key Controllers include: 主要管 理 人 是指 被 選舉或 委任 參 與公司的 管 理或 高級行 政 架 構，對 業務 行
使 直 接 決 策 權 的人 士 。主 要管 理 人一 般 會 制 定 公司 的 策 略 方 針 。主 要管 理 人可為 一 間 法 人 團 體 。主 要管 理 人包 括：

• Executive Director 執 行 董 事
• Chairman of the Board 董 事會 主 席
• Chief Executive Officer (CEO) 行 政 總 裁
• Chief Financial Officer (CFO) 財 務 總 監
• Sole Authorised Signatory per account 戶口唯 一 授 權 簽 署人
• Managing Partner 執 行 合 夥人
• Powers of Attorney 受 權 人
