UNIONBANK CORPORATE CREDIT CARD

1. GRANT OF CORPORATE CREDIT CARD LINE – UnionBank, hereinafter referred to as the “BANK” agrees to make
available to the COMPANY a credit line for the purpose of the issuance of Corporate Credit Cards herein after referred
to as “CARDS” to its nominated employees herein after referred to as “CARDHOLDERS”.

2. AVAILABILITY OF THE CORPORATE CREDIT LINE – The Line shall be available to the Company subject to the
existing credit policies (as may be amended from time to time) and periodic credit review by the Bank. The Bank
reserves the right to cancel the Line at any time warranted as determined by the Bank, by giving thirty (30) calendar
days prior written notice provided however that the Company’s Cardholders shall not use the Cards upon receipt of the
notice. The cancellation of the Line is without prejudice to the liability of the Company to pay the Bank the outstanding
balances of all its Cardholders.

3. ISSUANCE OF CARDS TO CARDHOLDERS AND KNOW YOUR CUSTOMER (KYC) – The Company shall provide
the Bank the following documents for the purpose of the issuance of Cards to its Cardholders

a. Undertaking specifying the names and credit limits of each Cardholder and duly signed by the Company’s
Authorized Representative as indicated in the Company’s Secretary’s Certificate.

b. Individual Cardholder Application Form duly accomplished by the Cardholder and signed by both Cardholder &
the Company’s Authorized Representative.

c. The Company shall be responsible for conducting face-to-face contact and gathering of the minimum required
information or identification documents (IDs) in accordance with existing laws, rules and regulations of the Anti-
Money Laundering Council (AMLC) and Bangko Sentral ng Pilipinas (BSP) as part of the know-your-customer
(KYC) procedures. The Company warrants that it has a reliable and acceptable customer identification system
and training program in place. The Company shall handle the distribution of the corporate credit cards to the
cardholders. The Company shall designate an authorized representative/s who shall safeguard and guarantee
the integrity of the entire process by authenticating all signatures found in all documents, and by ensuring that
all corporate credit cards are distributed to the intended cardholders.

The Bank shall conduct training program to the Company’s authorized representatives on the KYC process,
which shall include the gathering of the required information, conduct face-to-face contact with the customer
and to ensure compliance with the Bank’s credit card opening requirements. For this purpose, the Company
shall ensure the attendance of its authorized representatives in the training program or presentation that may
be conducted by the Bank’s authorized representatives. In this regard, the Company or its authorized
representatives shall certify that they will be performing face-to-face contact and know-your-customer
procedures (KYC) with their cardholders, including the signing of the Corporate Card Application Form -
Employee form in the presence of the Company’s authorized representatives. The Company shall guarantee
the authenticity, accuracy, completeness and due execution of all the information stated in the Corporate Card
Application Form - Employee form and shall ensure submission to the Bank of said form within the period of
thirty (30) days from the date of credit card application, together with a clear copy of at least one (1) valid
government photo-bearing ID of the employee. The Bank shall rely on the information, documents, and IDs
provided by the Company.

The Client shall turn over all identification information and/or documents within a period not exceeding ninety
(90) days to the Bank for risk assessment purposes over the customer.

4. CARDHOLDER CREDIT LIMITS – The Company shall have the discretion to determine the amount of Credit Limit to
be assigned to its Cardholders provided that the aggregate credit limit of all active Cardholders do not exceed the
approved Line. The Credit Limit shall be expressed in local currency (Philippine Peso), inclusive of Cash Advance limit,
which will be the maximum allowable outstanding balance at any given time. The Company hereby agrees that the
Bank reserves the right to approve or deny authorization if a Cardholder exceeds the assigned Credit Limit. In addition,
the Bank will automatically charge a Cardholder with an Over limit Fee if it authorizes a transaction or if overlimit is
caused by system-generated interest and charges from the balances. The excesses may be brought about by a retail

transaction, Cash Advance or accumulated finance/late charges billed on the Card Account. The amount exceeding the
Credit Limit shall become due and demandable without prior notice and the credit privileges shall be suspended
immediately without prior notice pending full settlement thereof.

5. RIGHT TO REFUSE – The Bank reserves the right to refuse the issuance of a Card to a Cardholder.

6. LIABILITY OF THE COMPANY - The Company assumes full responsibility for all charges incurred through the use of
the issued Cards to its Cardholders including but not limited to the interest, all non-refundable fees and the full annual
membership fee, and other charges including installments, whether made in the Philippines or abroad. All charges made
in currencies other than Philippine Pesos shall automatically be converted to the billing currency (Philippine Pesos) on
posting date at the prevailing exchange rate selected by Visa International from the range of rates available in the
wholesale currency markets for the applicable Processing Date, which rate may vary from the rate Visa International
itself receives; or the government-mandated rate in effect for the applicable Processing Date plus a 2% spread
representing processing of transactions in foreign currencies, which amount represents the Company’s payment to the
Bank for its payment on the behalf of the foreign currency necessary to discharge the amount/s due to foreign Merchant
Affiliate/s. The sales/charge slips signed by the Cardholder each and every time a purchase is made through the use
of the issued Cards shall constitute and be considered and construed by the Company as the written Application
required by CB Circular No. 1389 to enable the Cardholder to purchase the foreign exchange necessary for all non-
trade Card Transactions using the Card.

7. ANNUAL AND REPORT FEES - The Company shall pay the Bank an Annual Membership Fee and Expense
Management Report Fee for every Card issued to its Cardholder. These fees shall continue to be billed to the Company
as long as the Cardholder Account(s) is/are active. All paid fees are non-reimbursable even if the Card privileges have
been cancelled or terminated.

8. THE CARD - The Card issued to the Cardholder remains the Bank’s sole property and it is not transferable. At the
Bank’s sole discretion, it may suspend, terminate or cancel the Card privileges in the Philippines and abroad at any
time for any reason with or without cause and without need for prior notice to the Company or the Cardholder. The
Bank shall be held free and harmless from any loss suffered by the Company or the Cardholder by any reason of the
suspension, termination or cancellation. Continued use of the issued Card(s) in case of termination or non-issuance of
replacement Cards shall be deemed as fraudulent. If for any reason the Card is revoked, all privileges shall be
terminated and the entire obligation shall become due and demandable. The Bank shall be held free and harmless from
any liability due to any dispute that may arise from the refusal or failure to replace the card for whatever reason as
advised by the Bank. Advice to replace the card maybe in any medium, but not limited to the following: telephone, email,
writing, and SMS.

9. VALIDITY OF CARD - The Card is accepted worldwide and shall remain valid until the last day of the Month indicated
thereon unless earlier terminated, voluntarily cancelled or returned by the Company or Cardholder. Cards shall be
automatically replaced one month before the last day of the month indicated on the latest card. The replacement of the
card shall be at Bank’s sole discretion. If a card is not replaced, the whole obligation becomes due and demandable
and the Company shall return the card, cut in half, to the Bank.

10. TERMINATION - The Company may at any time notify the Bank of its intention to cancel the Corporate Credit Card
Line or terminate the use of Cards by giving a notice in writing via regular mail, postal mail, email, facsimile or via
telephone, and by returning a Card or all Cards, cut in half, to the Bank. The Line or Cardholder Account shall be
cancelled only after receipt of the Bank of all Card(s) cut in half, and after full payments of all fees, charges and liabilities
outstanding on the card amount incurred by the use of the Card but not yet reflected in the

Statement of Account. The Company shall be responsible for settling off outstanding balances on the Card and shall
keep the Bank indemnified for all costs (including legal fees and Charges) and expenses incurred in recovering such
outstanding balances. On the other hand, the Bank may at any time and for any reason terminate the Line and the use
of the Cards, without prior notice to the Company or the Cardholder. Upon such recall, the Company shall immediately
cut the Card(s) in half, surrender the same to the Bank, and at the same time settle in full the outstanding liabilities.

The Line shall be deemed closed only after full payment of all the liabilities. The Bank shall not be liable to refund to
the Company the annual membership fees or any part thereof in the event of termination of the Line.

11. LOST AND STOLEN CARD - In the event that a Card is lost or stolen, the Cardholder shall immediately report the loss
to the Bank by calling the 24-hour Customer Service Center at telephone number indicated at the back of the card
carrier or email at customer.service@unionbankph.com. The Lost Card Protection feature absolves the cardholder from
any financial liability in case the Card is used for fraudulent purposes but only from the time the loss was reported to
the Bank. The Bank can charge the Cardholder a Lost Card Replacement Fee of Php 400.00 to cover the processing
of the replacement card.

12. FEES AND CHARGES

a. Cash Advance - All Cash Advances made through the use of the Card, whether via-over- the-counter or thru
an automated teller machine (ATM), shall be subject to an interest rate of 2.9% per month (34.8% per annum)
computed from transaction date until full settlement of the amount, and a service fee per availment of 6.0% of
the transaction amount or Php300.00 whichever is higher. For ATM transactions, certain banks - local and
overseas, charge an access fee for cash withdrawals. The amount of access fee may vary depending on the
ATM network (local or overseas) and shall form part of the cash advance amount. This additional fee will be
charged to my card account. For over-the- counter transactions, an additional transaction fee of Php500.00
shall be charged on top of the service fee. The Bank has the option to set a cash advance limit and a daily cash
limit for all Cash Advances. ATM Cash Advances and corresponding interest/service charges and transaction
fees shall be for the Card Account whether the Card may have been lost and used by another person unless
the Card was reported lost. The Lost Card Protection will apply.

b. Interest Calculations - At every billing cycle, the Company has the option to pay the outstanding balance in full,
the Minimum Amount Due or any amount in between. No finance charges will be imposed if the billed amount
in paid in full on or before the Payment Due Date. However, if the Company does not pay the outstanding
balance of a Card in full, it is considered to have borrowed from or availed of a credit line and the Card Account
will be billed a finance charge with an interest of 3.5% per month (42% per annum). In this case, the finance
charge shall cover the Average Daily Balance (ADB) of individual transactions (i.e. retail, fees, installments,
balance transfers) from previous statement computed from posting dates to the current statement cut-off date,
plus interest on all transactions in the current billing cycle computed from posting dates to current statement
cut-off date, less interest credit (based on 3.5% monthly rate) on payments computed from posting dates to
statement cut-off date. The Company understands that in addition to the applicable service fee, any cash
advance a Cardholder shall avail will bear interest from the date of availment to the date of full settlement at a
rate specified by the Company. Any finance charge incurred from 90 days and above the Payment Due Date
will have a separate computation. The Company agrees to pay the Bank interest on its obligation at a per annum
rate determined and subject to change from time to time by the Bank and advised through the monthly
Statement of Account.

c. Other Fees – The Company agrees to pay such other fees relating but not limited to processing of cash
payments, use or maintenance of the cards, additional features or privileges that may be added to the Card,
that may be imposed by the Bank as maybe required or warranted under the circumstances as determined by
the Bank, upon notice to the Cardholder. The Company understands that the amount of said fees may be
revised from time to time as the Bank may deem necessary.

The Company agrees to pay and/or shoulder the applicable Value Added Tax (VAT) or any other relevant tax
as may be imposed, arising from or connected with the credit card transactions contemplated herein.

13. STATEMENT OF ACCOUNT - The Bank shall provide the Cardholder monthly Statements of Account enumerating the
outstanding obligations of each Card Account. In case a Cardholder does not receive the said Statement, he/she shall
immediately inform the Bank thereof. In the absence of any report of non-receipt of the Statement of Account prior to
the regular due date as contained in the notice of approval of the Corporate Credit Line application, the Cardholder is

deemed to have received the same. The Bank shall charge a Statement of Account Reprinting Fee of Php300.00 per
statement. In the event of any error appearing in a Statement of Account, the Company or Cardholder hereby agree
to notify the Bank of said error immediately and in writing. If no error is reported within twenty (20) calendar days from
Statement Date, the Company agrees and confirms that the Bank can conclusively consider the Statement of Account
as true and correct. The Statement of Account shall form an integral part of this Agreement.

If the Cardholder chooses to have its Statements of Account sent via-email to its duly designated e-mail address, the
Company will hold itself responsible for its confidentiality. The Company will likewise hold the Bank free and harmless
from any liability from any unauthorized access or viewing of a Statement of Account to the given e-mail address. For
this purpose, the Bank’s advice that they sent the Statement of Account via-email as shown in its e-mail confirmation
registry shall be final and conclusive on the Company, and agrees not to dispute the receipt of a Statement of Account
sent by the Bank via-email at its request.

14. EXPENSE MANAGEMENT REPORT – The Bank shall provide the Company and Cardholder access to an online
Expense Management System provided by Visa International. Similar to the Statement of Account, the System
enumerates all usages and outstanding obligations of each Cardholder. The Company and the Cardholder shall hold
themselves responsible for its administration and confidentiality and will likewise hold the Bank free and harmless from
any liability from any unauthorized access, changes or viewing of any account or details in the System.

15. PAYMENT OF CHARGES – The Company agrees to pay the Bank all Cardholder usages and charges on or before
the Payment Due Date stated in the Statement of Account. If the Payment Due Date falls on a Saturday, Sunday or
Holiday, the Payment Due automatically becomes the last working day prior to the scheduled Payment Due Date. The
Company understands that if it pays in check, said check should be cleared on or before payment Due Date for it not
to incur finance and late charges. The Company is aware that Regional clearing checks or Out-of-town checks are not
acceptable modes of payment. If a check payment is returned by the Bank for whatever reason, the Company shall pay
the Bank a fee of Php 1,000.00 per returned. The Company shall have the option to pay: (i) a minimum amount of
either (a) Php 500.00 or 5% of its Total Outstanding Balance, whichever is higher, plus any amount in excess of Credit
Limit or past due amounts; (ii) a maximum amount equivalent to the full amount of the Total Outstanding Balance or (iii)
an amount in between. The Company shall also pay the Bank a monthly installment amortization (if applicable) for the
“Lights Installment Plan” (0% and Regular Installment) that its Cardholder transacted with the Bank’s merchants directly
or through installment plans directly offered by the Bank to the Cardholder. In case of default in the payment of its
obligation, the right to use the Card shall automatically be revoked. In addition to interest charges, the Company shall
be liable to pay (a) a Late Payment Charge of 6% computed using the Minimum Amount Due or Php 500.00, whichever
is higher; (b) an Overlimit Fee of Php 500.00; and (c) a Certification Fee of Php 100 per Certification Letter. In case of
payment default, the Bank reserves the right to revoke the Line or Card privileges and to demand full settlement of its
obligation.

In the event that Cardholder intends to dispute a transaction/s in the Statement of Account, the Company hereby agrees
to notify the Bank immediately in writing within twenty (20) calendar days from the Statement Date. Should the dispute
require the retrieval of original documents from the Bank, the Bank can charge a Retrieval Fee of Php 200.00 per
transaction slip in the event that the dispute is invalid.

16. INTEREST CALCULATIONS - At every billing cycle, The Company has the option to pay the Cardholders outstanding
balances in full, the Minimum Amount Due or any amount in between. No finance charges will be imposed if the
Company pays the billed amount in full on or before the Payment Due Date. However, if the Company does not pay an
outstanding balance in full, it is considered to have borrowed from or availed of a credit line and will be billed a finance
charge with an interest of 3.5% per month (42% per annum). In this case, the finance charge shall cover the Average
Daily Balance (ADB) of individual transactions (i.e. retail, fees, installments, balance transfers) from previous statement

to the applicable service fee, any cash advance a Cardholder shall avail will bear interest from the date of availment to

the date of full settlement at a rate specified by the Bank. Any finance charge incurred from 90 days and above the
Payment Due Date will have a separate computation. The Company agrees to pay the Bank interest on a Cardholder’s
obligation at a per annum rate determined and subject to change from time to time by the Bank and advised through
my monthly Statement of Account.

17. OTHER FEES – The Company agrees to pay such other fees relating but not limited to processing of cash payments,
use or maintenance of the card, additional features or privileges that may be added to the Card, that may be imposed
by the Bank as maybe required or warranted under the circumstances as determined by the Bank, upon notice to the
Cardholder. The Company understands that the amount of said fees may be revised from time to time as the Bank
may deem necessary.

The Company agrees to pay and/or shoulder the applicable Value Added Tax (VAT) or any other relevant tax as may
be imposed, arising from or connected with the credit card transactions contemplated herein.

18. SET-OFF – In case of default of the Company, the Bank is hereby authorized to set-off the amount due from the
Company’s current/savings account or any other accounts or assets the Company has with the Bank and to apply the
same in payment of such obligations.

19. ASSIGNMENT AND WAIVER – The Company hereby agrees that the Bank may assign, discount or otherwise transfer
part or all its rights and/or obligations under the Card without the need to notify or seek my consent.

20. DISCLOSURE – The Bank may at all times acquire, exchange and/or release information obtained from the Corporate
Credit Card Account to any third party and hereby holds the Bank free and harmless from any liability that may arise
from such disclosure. Furthermore, the Company authorizes the bank to investigate the information provided by me
from whatever sources it may consider appropriate. The Company understands that falsifying any of the information is
sufficient ground for legal action and the cancellation of its application or Line.

21. LIMITATION OF, AND EXCLUSIONS FROM, LIABILITY - In any action arising from this Agreement or any incident
thereto which the Company or other party may file against the Bank, the Bank’s liability shall not exceed One Thousand
Pesos (Php 1,000.00) in Philippine currency or the actual damages proven, whichever is lesser. The Bank shall be
under no liability to the Company or its employee(s) in respect of any loss or damage arising directly or indirectly from:
a. Any loss or damage howsoever incurred or suffered by an employee by reason of the Bank’s refusal or the
refusal of other financial institutions or third parties to allow a Card Transaction or to accept the Card or the PIN
or to provide Cash Advance up to the Credit Limit or at all;
b. Refusal of any merchant Affiliate of member institution of VISA International to honor the Card;
c. Any defect or deficiency in the goods or services supplied to the Company or its employee by any Merchant
Affiliate or, where applicable, for any breach or non- performance by a Merchant Affiliate or a Card Transaction;
d. Malfunction of any ATM or disruption of communication systems;
e. Exercise by the Bank of its right to demand and procure the surrender of the Card prior to its expiry date,
whether such demand and surrender are made and/or procured by the Bank or by any other person or ATM.
f. Exercise of the Bank right to terminate the Corporate Credit Card Line or a Card Account pursuant to Clause
10 hereof.
g. Any injury to the Company’s credit character and reputation rising from the termination of the Corporate Credit
Card Line, any request or demand for the surrender of the Card, or the refusal of any person to honor or accept
the Card;
h. Any misstatement, misrepresentation, error or omission in any Statement of Account;
i. Any dispute between a Cardholder and any Merchant Affiliate or financial institution or any other person. The
Company’s liability to the Bank shall not be adversely affected by any such dispute or by any counterclaim or

j. right of set-off which the Company may have against such Merchant Affiliate or financial institution or other
person.
k. Any loss or damage that may be incurred or suffered by the Company or Cardholder due to the acts or omissions
of service providers engaged by the Bank.

22. CHANGE OF TELEPHONE NUMBER/S, ADDRESS AND OTHER CONTACT DETAILS - The Company shall
immediately notify the Bank in writing of any change in, office address number/s (both landline and mobile number) and
email address of the Company or its Cardholder/s. Notices sent to the mailing address of record shall be binding even
if it did not receive the same, should the Company fail to notify the Bank of any new address. In case the chosen mailing
address is not accessible through postal mail or delivery, The Bank has the option to use my alternate addresses.
Under Republic Act 8484, The Company is hereby required to notify the Bank of any change in the place of employment,
business, residence or contact numbers.

23. AMENDMENT - The Bank have the right to change, alter, revise or modify this Agreement anytime and the Company
will be notified of such changes. It is understood that the Company accepts the changes, alterations, revisions or
modifications if its employee(s) continue to keep and use the Card(s) notwithstanding the lapse of seven (7) days from
the receipt of such notification.

24. SEPARABILITY CLAUSE - In case any portion of this Agreement is declared invalid or unenforceable, the portion not
otherwise affected shall remain valid and binding

25. BINDING EFFECT – The Company hereby confirms that in addition to the foregoing Terms and Conditions, it
unconditionally agrees to be bound by all laws, rules regulations, terms and conditions, and official issuances applicable
on the matter, relating to Credit Card Line, Cardholders and its features, benefits and programs, now existing or which
may hereinafter be enacted, issued or enforced. All the Terms and Conditions herein stated have been read and
understood by the Company as evidenced by the signature of its Authorized Representative/s and its Cardholders on
the application form, at the back of the Card and/or charge/sales slip.

26. ATTORNEY’S FEES AND VENUE - If the Bank needs to refer a case to a collection agency or through an Attorney-at-
Law, The Company shall be liable to pay the cost of collection and/or attorney’s fee equivalent to 25% of the unpaid
balance and the cost of litigation and judicial cost as applicable. The law of the Republic of the Philippines shall govern
this Agreement and the exclusive venue of all suits to enforce this Agreement shall be in the proper courts in Pasig
City, Philippines to the exclusion of any other venue.
