SECTION - III

Salient Features of Daikin Centrifugal Chillers

 R-134a Refrigerant

All Daikin centrifugal chillers use R-134a instead of R-123 refrigerant, which is still being used by
a few manufacturers. R-134a offers the following distinct customer benefits.

 Positive Pressure Design

R-134a chillers operate with the entire system above atmospheric pressure at all times.
In the event of a small leak, refrigerant escapes from the chiller to the atmosphere, which
allows easy detection and repair. With R-123, air leaks into the system, making leak
detection and repair a difficult task.

 No Purge Unit
Even with the best and newest purge units, some refrigerant will be discharged to the
atmosphere. Purge units, with their compressor, tanks and piping can be high maintenance
components.

 No Annual Lubricant Maintenance

Annual oil maintenance is required with low-pressure designs, increasing owning cost. When air
and moisture seep into a negative pressure machine, the acid and corrosion that can form must
be removed periodically. Daikin’s positive pressure design does not require this maintenance.
Under normal operation, the oil charge and filter are good for the life of the unit.

 No Vessel Heating Blankets

When negative pressure chillers are expected to be inoperative for a long period of time,
during winter shutdown for example, it is common to apply an electric heating blanket to the
evaporator in order to raise the refrigerant pressure above atmospheric. In other words,
try to force it to behave like a Daikin R-134a unit. The initial and operating costs of these
blankets are not necessary with a Daikin chiller.

 No Refrigerant Availability Issue

R-134a is considered a solution to refrigerant environmental issues because it does not
have a phase-out date. R-123 cannot be used in new equipment after the year 2020. History
has shown us that a practical refrigerant phase out occurs well in advance of the
Montreal Protocol’s mandate. Since R-123 has been primarily used only in chillers and
only since 1995, there is a limited quantity available for recycling to meet service needs to
2030. It is already capped in the United States and will be reduced to 0.5% by 2020 for
service use only until 2030. It is considered highly unlikely that the phase out dates will be
extended.

 Lower Health Risk with Refrigerant R-134a

R-134a is listed as an “A1” refrigerant as defined by ASHRAE Standard 15, which means that it
has the lowest toxicity and flammability rating. R-123 is rated as “B1”, which means it is toxic to
humans and also carries a low flammability rating. In the event of a refrigerant release, the
likelihood of personnel risk is lower with R-134a.

 Smaller Equipment Rooms

As a general rule, the physical size of an R-134a positive pressure chiller will be smaller
than a negative pressure chiller, reducing equipment room size. R-123 requires a much larger
refrigerant flow rate than R-134a, with a subsequent increase in component size. Also,
Equipment room ventilation requirements are greatly reduced when compared to chillers
with open drive motors, which reject heat directly into
the room ambient air.

 Gear Drive Advantage

 Lower Vibration
A gear-driven compressor runs at higher impeller
rotational speeds but tends to have less vibration than
the larger, much heavier, direct drive units. All Daikin
compressors must pass a stringent vibration test while
running on the production test stands. Spring isolators
are normally not required for most applications.

 Unique Lubrication System

With the higher rotational speeds and much lighter running components compared to direct drive
units, efficient hydrodynamic bearings can be used. The shafts are supported on a film of
lubricant, rather than running with metal-to-metal contact, typical of rolling element
bearings. Under normal circumstances, the Daikin bearings have a theoretical infinite life
while rolling element bearings do not.

 Selectable Impeller Speeds

Another gear drive advantage, over the older design direct drive units, is the ability to select
gear ratios that will provide the optimum impeller tip speed for a given application. Impeller
speeds can be selected to provide sufficient pressure lift ability without the excessive tip speeds
that lead to inefficient compressor operation. Also, the gear options allow for excellent
compressor performance on 50 Hertz power.

 Unmatched Unloading

Distinction Series chillers offer unloading to 10% of full load for a WSC single compressor
chiller and 5% for a WDC and WCC dual compressor units, without using inefficient hot gas
bypass. This unloading capability, unique in the industry, provides improved stability of the chilled
water temperature and less harmful cycling of compressors. There are significant reasons for this
beneficial operating characteristic, including:

 Moveable Diffuser
Daikin has pioneered the use of moveable discharge geometry to lower the surge point
of centrifugal compressors. The point at which the compressor enters a stall or surge
condition generally limits compressor unloading. At low loads, low gas velocity through a fixed
discharge area results in low gas velocities and the gas can stall or surge in the impeller.

When in a stall condition, the refrigerant gas is unable to enter the volute due to its low
velocity and remains stalled in the impeller. In a surge condition the gas rapidly reverses
direction in the impeller causing excessive vibration and heat. Daikin compressors reduce the
discharge area as load decreases to maintain gas
velocity and greatly reduce the tendency to stall or
surge.

 Thermal Expansion Valve

There are three refrigerant control devices used in
the industry, expansion valves, fixed orifices, and
float systems. Of the three, only expansion valves, as
used by Daikin, offer superior refrigerant management
throughout the entire chiller operating range.
Expansion valves help the Daikin chillers achieve their
industry leading capacity reduction capability.

 Quiet Operation

McQuay chillers have two unique features to limit sound generation. One is the unique liquid
injection system and the other is that Daikin chillers get quieter as they unload.

 Liquid Injection
A small amount of liquid refrigerant is taken from the condenser and injected into the compressor
discharge area. The liquid droplets absorb sound energy and reduce the compressor’s overall
sound level. The droplets evaporate and reduce discharge superheat.

 Quieter as Chiller Unloads

Many centrifugal compressors become louder as they
unload. Daikin design results in a reduction in sound
levels at lower loads, where most chillers spend most
of their operating hours.

 Power Loss Damage Protection

Unfortunately, loss of electric power without allowing

chillers to proceed through their normal shutdown sequence is becoming common in many areas.
When this occurs, most compressors must coast to a stop without benefit of their lubricant pump
running. Poor lubrication at this point can damage the bearings and reduce compressor life.
Daikin compressors are equipped with a lubricant reservoir and a piston with a compressed
spring that provides pressurized lubricant to the bearings during the coast-down period. Also, the
compressors decelerate quickly due to the low inertia.

Exclusions, Contract value and Commercial terms and conditions.

EXCLUSIONS

 Any Civil works such as foundation/platforms for the chiller, cable trenches, breaking &
making good any walls / slabs, etc.
 Any Electrical works such as MCC Annunciation Panel, Main incoming cable to the
starter, Power and control cabling, Earthling, Cable trays etc.
 Any plumbing works such as insulated chilled water and condenser water piping, valves,
fittings, flow switches, any pressure gauges on the chilled water or condenser water
piping, makeup water piping.
 Any Air distribution works, duct insulation, Air handling units, Fan coil units.
 Condenser water & chilled water pumps, cooling towers, make-up water tanks, chilled
water tanks, expansion tanks, etc.
 Any instruments / meters required for testing the unit at site.
 Any standby labour for erection and commissioning services.
 Any other item / work not mentioned in scope of supply / work.

Contract Value and Supply Price:

Please refer Landed price costing sheet

Quoted prices are inclusive of Initial Oil & refrigerant charge for all chillers. Any type of
inspection and testing is not included in above mention price.

Price Basis for Indian Chiller:

GST @ 18% would be extra as applicable & shall be borne by purchaser as per the price
schedule

Octroi/entry tax if applicable shall be arranged by purchaser. Road Permit and necessary
documents for the same shall be the responsibility of the purchaser. “Any statutory variation in
the above or imposition of new levies will be borne by purchaser”.

Delivery Period: The estimated delivery period for material / equipment in our scope of work

Terms of Payment:

Supply: 100 % against confirmed & irrevocable Letter of Credit payable AT SIGHT drawn in
favor of Daikin AirConditioning India Pvt Ltd. All banking charges within India shall be borne by
Purchaser. All Banking charges outside India shall be borne by us. All LC confirmation and
Amendment charges within and outside India will be to your account. In case of issuance of LC
without confirmation, then additional charges of 2% (Two percent) will be applicable on the
quoted L/C import value, since the confirmation will be done by the beneficiary. The validity of
letter of credit shall be minimum 3 weeks beyond the stipulated delivery period to take care of any
unforeseen delays in delivery.

Warranty clause:

The Company warrants that it will provide free replacement parts in the event any product
manufactured by the Company proves defective in material or workmanship for a period of 12
months from date of commissioning or 18 months from date of shipment, ex works, whichever
expires sooner. Goods not manufactured by the Company but also sold under this agreement are
warranted only to the extent that the manufacturer warranted them to the Company or directly to
the Purchaser.
The Company's liability to the Purchaser shall not exceed the lesser of the cost of correcting
defects in the goods sold or the original purchase price of the goods, and the Company shall not
in any event be liable to buyer or third parties for any delays or special, indirect, or consequential
damages.

The Company's warranty does not apply to any goods which have been opened, disassembled,
repaired, or altered by anyone other than the Company or its authorized service representative or
which have been subjected to misuse, misapplication, or abuse. The Company is not obligated to
pay any labor or service costs for removing or replacing parts, or any shipping charges. This
warranty does not include any kind of maintenance including descaling of condenser etc.
Refrigerants, fluids, oils, and expendable items such as filters are not covered by this warranty.
This parts warranty and any optional extended warranties are granted only to the original user.

Company's duty to perform under any warranty may be delayed, at Company's sole option, until
Company has been paid in full for all goods purchased by Purchaser. No such delay shall extend
the warranty period.
This warranty constitutes the Purchaser's sole remedy. It is given in lieu of all other warranties,
express or implied. There is no implied warranty of merchantability or fitness for a particular
purpose. In no event and under no circumstances shall the Company be liable for incidental or
consequential damages, whether the theory be breach of this or any other warranty, negligence,
or strict tort. The Company must receive a start-up information report for goods containing motor-
compressors and/or furnaces. The registration/start-up form must be completed and returned to
the Company within ten (10) days of original equipment start-up or start-up date and ship date will
be deemed the same for warranty determination.

Conditions of sale: Daikin Airconditioning standard terms & conditions of sale shall be
applicable.

Validity: Our offer shall remain valid for your acceptance for 30 days from the date of this offer.

SECTION – V

Terms & Conditions of Sale

Heating & Air Conditioning Products

Price Policy: Prices of the goods may be increased depending on the date of release and/or shipment of the order, announced
increases in the Company's list prices, or increases in labor and material cost.

Prices: The price quoted is on the basis of FOR STATION OF DESPATCH. Transportation and Insurance is to be arranged by
customer. We may at the Customer’s request and expense, arrange transportation and insure the goods without any liability
whatsoever on our part for transit loss, damage, delay, insurance claims etc. which will be carried out by the Customer.

Taxes and Duties: We have quoted our prices on EX-Factory. Unless specified otherwise, the prices are exclusive of Central Excise
Duty, Sales Tax/ VAT, entry tax and Octroi duty etc . These taxes and duties will be charged extra as applicable at the rate prevailing
at the time of dispatch. The indicative quantum of taxes/duties if given, is for customer’s guidance only. Any variation in the rate of
these taxes/duties or imposition of any new taxes/duties by Central/State/local authorities will be to Customer’s account. Customer
shall furnish appropriate Forms in support of any concessional Taxes/Duties claimed within 15 days of receipt of Invoices, otherwise
the full rate will be charged and shall be paid by the Customer.

Terms of Payment: Terms of payment are subject at all times to prior approval of the Company's credit department. If at any time the
financial condition of the Purchaser or other circumstance affecting the credit decision, in the Company's opinion, does not justify
continuance of production of products or shipment of products on the terms of payment specified, the Company may require full or
partial payment in advance, or may at its sole discretion stop or delay production or shipment of products. In the event of default in
payment, Purchaser agrees to pay all costs of collection incurred by Company including but not limited to collection agency fees,
attorney fees and court costs. All past due amounts shall bear interest at the highest rate allowed by law.

Shipping Terms: All shipments will be made EX-FACTORY with freight as quoted. All shipments will be made via a low cost common
carrier and charges for special carrier services requested by the Purchaser shall be paid by the Purchaser. The Company may ship
the goods in one or more lots. Ex-Factory Delivery of the equipment shall be offered within 4-5 months from the date of receipt of your
firm order, technically and commercially clear along with advance payment. Technically clear order means receipt of all technical
information/data from customer/his Consultants and necessary approval of drawings. If any outside Inspection by Customer or
Inspection Agency is involved, the time required for this Inspection/release of Inspection Note is to be added to the delivery time and
any cost of Inspection will be to customer’s account.

Claims: The responsibility of the Company for all shipments ceases upon delivery of goods in good order to the carrier. Since all
goods are shipped at Purchaser's risk, any claims for damage or shortage in transit must be filed by Purchaser against the carrier.
Claims for factory shortages will not be considered unless made in writing to the Company within ten (10) days after receipt of the
goods and accompanied by reference to the Company's invoice and factory order numbers.

Cancellations: Accepted orders are not subject to cancellation without the Company being reimbursed for any and all expenses, and
indemnified by Purchaser against any and all loss.

Shipment Dates: Shipment dates are only estimates. No contract has been made to ship in a specified time unless in writing, and
signed by two officers of the Company.

Product Changes: In the interest of continuous product improvements, the Company reserves the right to change specifications
and/or design without incurring obligation. We also reserve the right to make changes at any time in material or design, which in our
judgment, are necessary for the improvement of the specified equipment.

Limited Warranty: The Company warrants that it will provide free replacement parts in the event any product manufactured by the
Company and used in india proves defective in material or workmanship for a period of twelve (12) months from initial start-up or
eighteen (18) months from date of shipment, whichever expires sooner. Goods not manufactured by the Company but also sold under
this agreement are warranted only to the extent that the manufacturer warranted them to the Company or directly to the Purchaser.

The Company's liability to the Purchaser shall not exceed the lesser of the cost of correcting defects in the goods sold or the original
purchase price of the goods, and the Company shall not in any event be liable to buyer or third parties for any delays or special,
indirect, or consequential damages. The guarantee also does not include refrigerant. We supply only first charge of refrigerant as
included in Scope of Supply. Any additional refrigerant required for any reason whatsoever would be to Customer’s account.

The guarantee does not cover the supply of consumable items like oil, filters, etc. and also does not cover routine maintenance of the
plant, cleaning of the condenser or normal deterioration of the plant due to atmospheric conditions and deterioration of the plant on
account of rusting, etc. due to idling or improper storage. The guarantee shall not apply for fair wear and tear or to damage due to
negligence or improper handling by the Purchaser or his employee or agents in case of repairs of alterations or due to damage by any
cause beyond our control.

The Company's warranty does not apply to any goods which have been opened, disassembled, repaired, or altered by anyone other
than the Company or its authorized service representative or which have been subjected to misuse, misapplication, or abuse. The
Company is not obligated to pay any labor or service costs for removing or replacing parts, or any shipping charges. Refrigerants,
fluids, oils, and expendable items such as filters are not covered by this warranty. This parts warranty and any optional extended
warranties are granted only to the original user. Company's duty to perform under any warranty may be delayed, at Company's sole
option, until Company has been paid in full for all goods purchased by Purchaser. No such delay shall extend the warranty period.

Price Escalation: The price quoted is based on the present day cost to us of materials and boughtout parts and components. Any
increase in their cost will be added to the agreed contract price and will be payable by the customer against presentation of our
invoices.

Force Majeure Clause: The Performance of the contract hereunder shall be subject to the conditions of Force Majeure Clause
including acts of God like floods, earthquakes, etc., war, fire riots, civil commotion, strikes, lockouts, Governmental regulations and
other circumstances beyond human control, which directly or indirectly affect the performance or obligations by the Vendor or their
sub-vendors, who have undertaken to supply the boughtout items to the contractor’s requirement, to be used for the equipments to be
supplied under this contract.

Provided the occurrence of any such event under any of the circumstances described hereinabove renders the performance of the
obligations hereunder incapable or impossible, then in that case the period of delivery under the contract will be automatically deemed
to be extended by a corresponding period, until the occurrence of the events affecting the performance are removed or abated.

Arbitration: If any dispute of difference arises between the parties hereto during the subsistence of this sale implementation or
alleged breach of any provision of this CONTRACT the PARTIES hereto shall endeavor to settle such disputes or difference amicably.
In the event that they are unable to agree to an amicable solution to the dispute or difference the PARTIES hereto shall refer such
dispute or difference for arbitration of sole arbitrator to be appointed with the mutual consent of the parties. The Arbitration
proceedings shall be conducted in accordance with the Arbitration and Conciliation Act, 1996 in English Language and the place of
arbitration shall be New Delhi. The cost of arbitration shall be borne as per stipulation in the Arbitral award.

Governing Law: This sale shall be a contract under the laws of India and for all purposes shall be governed by and construed and
enforced in accordance with the laws of India and shall be subject to jurisdiction of Courts at New Delhi.
