8.0 COMPOSITION
8.1 Partners
8.1.1 S6 - Minimum 2 persons or more (no maximum) – individual or corporate
body
8.1.2 S7 – It is an offence to carrying on business with less than minimum partners
(but with condition) not exceeding 6 montths or longer as determined by the
Registrar – usually less than a year.
8.1.2.1 Fine – Not exceeding RM200,000.00
8.1.2.2 Court may order the LLP to be dissolved and its name strike off from
Register
8.1.3 Bankruptcy of Partner
7.3.1.1 S25(1)(a) – his bankruptcy shall not cause him to cease being a
partner
7.3.1.2 S25(1)(b) – shall not be entitles to received distribution of profit
(loss)
7.3.1.3 S25(1)(c) – the bankrupt partner shall not interfere in the
management of LLP
8.2 Compliance officer
8.2.1 S27(1) – shall appoint at least 1 compliance officer:
8.2.1.1 From amongst its partners or persons qualified to act as Secretaries
under CA 2016
8.2.1.2 Citizen or permanent resident of Malaysia
8.2.1.3 Ordinarily resides in Malaysia
8.2.2 S28(1)(a) – he is undischarged bankrupt
8.2.3 S28(1)(b) – disqualified to act as the director or company secretary under CA
2016
8.2.4 Duties (resposible to carry out the duties under LLP Act 2012 and LLP
Regulations 2012 as follows;
8.2.4.1 Regulation 6 – To lodge or submit document on behalf of LLP or
LLP’s partners
8.2.4.2 S17 – Register the changes of LLP
8.2.4.3 S19 – To keep statutory documents and its list in the registered office
8.2.4.4 S20 – To display the name and registration number outside the
registered office and place of business

11.0 HOW TO REGISTER LLP

11.1 Access to https://www.ssm4u.com.my and click sign in


11.2 Click MYLLP on the dashboard
11.3 Click starting LLP
11.4 Click Register Local LLP (2 options to register LLP)
11.4.1 Starting from Name Reservation method by selecting Local Name
Reservation. Then, fill in the required information for the name search and
pay RM30.00. Once application of the propose name approved, within 30
days, the same applicant to process with submission for LLP registration with
fee of RM500.00
11.4.2 Click to tab Direct Registration. Fill in the particulars and pay registration
fee of RM500.00. If the name is available, select suffix PLT or Perkongsian
Liabiliti Terhad. However, if the system lists similar names of existing
business, company and LLP, please reset and put in different name
11.5 Complete LLP details i.e registed address. Key in 5 digit postcode the bring the
curser out from the box and right click. The data for city and state will be auto populated.
Complete the business address (if any). If similar to registered address, click to button
Copy from Registered Address. Click to save and next button.
11.6 Complete the Business Code and Description. Minimum 1 and Maximum of 5
business codes. Business decription to be filled in English in less than 500 characters.
Tick declaration box then save and next buttion.
11.7 At tab Compliance Officer (CO) details, the CO data is auto populated from his
uder registration. Click Add Compliance Officer if the LLP has more than 1 CO. Save
and next button.

11.8 At tab Partner details, CO data is auto populated as the partner (if he is not licensed
company secretary). Click to CO’s name and then edit to complete the info. Click save
button and then click add the next partner.
11.8.1 Min 2 partners and no maximum
11.8.2 May be individuals or body corporate or mixture of both
11.8.3 May be local or foreigner
11.8.4 May provide local or foreign address

11.13 Pay online after see fee information. System will generates invoice
11.14 The user may check his submission of application at Menu Submitted Application >

11.15 Upon submission, user will receive;
11.15.1 Payment transaction
11.15.2 Status of application either query / approve / reject
11.16 Upon approval, system will generate registration number. Applicant will receive
notice of approcal and registration via email.
11.17 All products of LLP may be purchased at portal xcess.ssm4u.com.my , such as
certificate that cost RM30.00.
