As Ms. Misha’s attorney, I would suggest she take B’s offer. It is because of the fact that
B's offer would create a longer standing income for her rather than a one time payment offered
by A. Also, it is evident that Ms. Misha has a capability to score a good number of views, owing
to her previous performance. Moreover, B’s offer creates her a guaranteed series of employment
whereas A does not guarantee the same.

Copyright Transfer Clause

This Music Agreement (this “Agreement”) is made effective as of 28.05.2021 between Smt.
Misha, resident of 17, Ambedkar Road, Juhu, Mumbai- 49 and M/s Once More, of 26,
Shivaji Road, Mumbai-45.

In the Agreement, the party who is granting the right to use the licensed property will be referred
to as the “Copyright Owner” and the party who is receiving the right to use the licensed property
will be referred to as “Licensee”.

WHEREAS, the Copyright Owner owns the copyright, publishing rights and all other related
rights in and to certain Music, and

WHEREAS, the Licensee desires to obtain certain rights to the Music for using it

AND The Copyright Owner being Smt. Misha and the Licensee being M/s Once More.

GRANT OF LICENSE,

Smt. Misha owns the musical work “Hold my Hand”. In accordance with this Agreement, the
Copyright Owner hereby grants to the Licensee, his successors and assigns, subject to the
payments set forth below, the right, license and privilege to use the Music. “M/s Once More”
retains title and ownership of the musical work “Hold my Hand”.

The Licensee shall have the right to use the musical work “Hold my Hand” in its platform(s),
subject to the payments set forth below.
The Licensee shall have the right to reproduce, distribute, import or sell said product on
CD-ROM or upload it to streaming platforms, HOWEVER, such proceedings from the streaming
services should be split equally between the Copyright Owner and the Licensee.

TRANSFER OF RIGHTS,

This Agreement shall be binding on any successors of the parties. Neither party shall have the
right to assign its interests in this Agreement to any other party, unless the prior written consent
of the other party is obtained.

All the Rights to the Musical work of “Hold my Hand” shall transfer from the Copyright Owner
Smt. Misha to the Licensee, M/s. Once More, on payment of the amount as animated on the
mail dated 21.04.2021 to Smt. Misha.

This Agreement shall be signed on behalf of Smt. Misha by Mr. Manik Basha and on behalf of
M/s. Once More by Mr. Mark Antony and effective as the date first above written.
