DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF ABSOLUTE SALE is made and executed on


______________ at ________________, Philippines, by and between:

________________, Filipino Citizens, of legal age, with


residence at ________________________________________,
hereinafter referred to as “SELLERS”;

-and-

________________, Filipino Citizens, of legal age, with


residence at ________________________________________
hereinafter referred to as “BUYERS”;

WITNESSETH: THAT

WHEREAS, the SELLERS are the lawful and registered owners of a


parcel of land with a residential house/building contained therein located at
__________________________________________ covered by Transfer
Certificate of Title (TCT) No. _______________ (A copy of which is
attached as Annex A) issued by the Registry of Deeds
______________________ (the “Property”). Such Property is more
particularly described as follows:

WHEREAS, the BUYERS offered to buy and the SELLERS agreed


to sell the Property to the BUYERS for the price and subject to the terms
and conditions set forth.

WHEREAS, the SELLERS have given their consent to the sale of the
Property to the BUYERS.

NOW THEREFORE, for and in consideration of the sum of

SELLERS hereby sell, transfer, and convey, irrevocably and absolutely,
unto the BUYERS, their heirs, successors, and assigns, with warranty of a
valid and legal title, free and clear of any and all liens, encumbrances,
obligations, liabilities, or pecuniary burdens and the BUYERS do hereby
accept the Property under this Deed of Absolute Sale, more specifically
described as follows:

The SELLERS acknowledge receipt of ________________________
(Php______________) from the BUYERS, which is the entire and
complete full purchase price mentioned above;

The SELLERS shall update payments of Real Property Tax of the


Property up to the date of selling;

The SELLERS undertake to pay the Capital Gains Tax and Broker’s
Fee, as well as value added tax and withholding tax, if applicable, while the
BUYERS undertake to shoulder or pay the Documentary Stamp Tax due
by virtue of this sale;

The SELLERS undertake to shoulder full payment of the


homeowner’s association dues, other fees levied by the homeowner’s
association, all other outstanding fees for water, electricity, maintenance,
utility connection/disconnection charges, and special assessments on the
Property covering up to the date of this sale.

The BUYERS agree to pay for the fees related to the issuance of a
new Certificate of Title of the Property in the name of the BUYERS, such
as, but not limited to, Transfer Tax, Registration Fees and other
assessments due by reason of this sale.

The SELLERS hereby warrants valid title and free and peaceful
possession over the Property herein sold and conveyed and further
declares that the same is free from any and all liens and encumbrances of
any kind whatsoever, and that there are no current or possible subsequent
adverse claims and notices of lis pendens that have been filed or recorded
in the register of Deeds, Assessor’s Office or any other government agency
in respect of the Property.
