GLOSSARY OF TERMS
Definitions
In these terms and conditions, the following definitions apply:
Business Day
Any day between Monday to Saturday, excluding Sundays and declared UAE public holidays
Business Hours
Refer to 11:00 am to 6:00 pm
Commencement Date
Upon receipt of down payment, the amount of which depends on the type of payment plan availed
by the Client.
Confidential Information
All commercial or technical advice and information relative to the services to be rendered by the
Company such as but not limited to professional consultancy services, documentation advice, fees
etc, and information disclosed by the Client which may be necessary in the course of the provision
of the services engaged, communicated whether verbally or in writing.

Case
Represents the totality of required documents, tests and certifications requested by the Company
to the Client for the Category mentioned in this agreement, which can be further classified as:
Open – case status after submission of documents
Under Process – case status when the application starts, and during the processing time
when the case is already subject to the processing requirements with the authorities
concerned
Submitted – case status after process and before getting a final written status on the
application from the Governmental Authorities
Closed - after receiving the application’s status from the Governmental Authorities

CLIENT SERVICE AGREEMENT

For Atlantic Immigration Program
This Retainership Agreement is entered into by and between:
EL ROI GATEWAY QNEK VISA C ONSULTANCY, a private business entity engaged in

immigration, travel and tourism, administrative services, duly registered under the laws of the
Republic of the Philippines, with business address at Unit 2, Winwin Leisure Strip, Diversion Rd.,
Triangulo, Naga City, Philippines, 4400, hereinafter referred to as the “COMPANY”;

Hereinafter referred to as the “CLIENT”.
I. AUTHORITY TO ACT
The Client hereby appoints the Company as the Client’s consultant and is authorized by the Client
to coordinate with the concerned Government Authorities to prepare and present the Client’s
application for a CANADA Atlantic Immigration Program (Permanent Residence Visa).
II. SERVICES TO BE RENDERED
The Client acknowledges that the services to be rendered by the Company, i.e. professional
consultancy, documents clearing, and coordination services, will only be retained for the purpose
of facilitating the visa processing procedures involved in the application of the Client and his/her
dependents.
The parties to this agreement acknowledge that the Services covered by the present agreement
include:
1. Initial consultation to evaluate Client’s particulars pursuant to the selection criteria as

required under Visa Category: CANADA Atlantic Immigration Program (Permanent
Residence Visa).
2. Provide detailed consultation using dedicated Case Management System and up to date

requirements of the authorized assessing bodies.
3. Creation of application profile for the Client and his/her dependents
4. Complete preparation of required file for the application for Visa Category: CANADA
Atlantic Immigration Program (Permanent Residence Visa).
5. Represent the Client with all registered authorities in order to provide all information and
documents required for the application.
6. Upon receipt of Invitation to Apply, submission of final stage application.
7. The Counseling and preparation of the Client for any personal interview required.
8. Lodge online application to relevant Education Credentials Assessment Organization. It is
the Client’s responsibility to present accurate, complete information, relevant education
documents and any other supporting documents or information required and/or
requested.
9. All other matters which the Company may consider necessary in an effort to ensure that
the Client’s application is properly processed.
The Client confirms that he/she has been clearly briefed about his/her responsibility to
send the Academic Request Form of the relevant Educational Credentials/Degree/s in
sealed envelope to the Assessment Organization directly from the issuing
Institute/University/ or relevant authority. This is a mandatory requirement of the
Education Credentials Assessment Process and is the sole responsibility of the Client.
The parties to this agreement also acknowledge that the services covered by the present
agreement do not include any other application or representation to the Canadian immigration
authorities, including an application for Returning Resident Permit, Request for Removal of
Conditions or Minister Permit, or to any Canadian Court of Justice such as an Application for
Judicial Review, Appeal of a Decision to the Federal Court under the Immigration Act of the
country or any other judicial proceeding, nor does this agreement include services in connection
with an Application for Citizenship.
The Client acknowledges that he/she has been clearly informed about the CANADA Atlantic
Immigration Program (Permanent Residence Visa) and Provincial Nominee Programs and
confirms that he/she has:
1. at least one year of full-time work experience in one of the eligible occupations, and
2. can provide employment documents with required contents, such as Job Description,
Basis of Employment and Salary details in the recent ten (10) years preceding his/her visa
application.
Further, in the selection of candidate for the invitation to apply for CANADA Atlantic Immigration
Program (Permanent Residence Visa), the Client acknowledges that the Company has no liability
nor does not give any assurance regarding any job offer letter from any employer nor or any
selection letter by a Canadian Province or Territory.
III. LIABILITY FOR GOVERNMENTAL ACTS

It is the sole discretion of the authorized Canadian Government entities to select applicants from
the pool in respect to Visa Category: CANADA Atlantic Immigration Program (Permanent
Residence Visa).
The Client’s education points are based on the assessment outcome and the education credentials
equivalency to the Canadian education credentials.
The Client acknowledges that the assessment of his chances for successful immigration to Canada
is based on the Immigration Laws of Canada as updated in IRPA and published in Canadian
Gazette on December 1, 2014 under subsection 87.3(6) of The Immigration and Refugee
Protection Act (IRPA).
If the Government of Canada retroactively changes the laws so as to adversely affect the Client's’
Immigration Application, then the Company shall neither be held responsible nor liable to refund
services fee.
As support for the Client, the Company may extend its services for a new application preparation
and submission at discounted rate to the Client, based on the result of the new assessment on
qualifications according to the changes as prescribed by the new law/s. The Company will decide
whether to accord this support based on the evaluation of the Client’s chances according to such
changes.
The Client further acknowledges that the time required to process an immigration application
depends on multiple factors, which are beyond the control of the Company. The Client
acknowledges that no guarantee is given as to the length of time required to process the
application or the visa issuance. Furthermore, the Company does not guarantee visa issuance as
it is purely in the discretion of the relevant Government office.
Professional consultancy, documents clearing services, and coordination with the Client and the
relevant government office are rendered for the full contract value. Hence, upon delivery of such
services, the Company shall not be liable to refund services fees if the Client’s application is
rejected by the Canadian Government. The Client has the right to demand documentary evidence
as proof of delivery of consultancy, documents clearing and coordination services.
IV. CLIENT’S RESPONSIBILITIES
1. DISCLOSURE AND VERACITY OF INFORMATION
The Client will truthfully supply all the information related to personal, financial or other matters
the Company shall require. Client further agrees to cooperate with the Company with regard to
information required for his/her dependents or family members.
2. SUBMISSION OF DOCUMENTS:
Client is responsible for the authenticity of all documents and the veracity of the information

provided to the Company in support of his/her application. Client’s application will be assessed
on the basis of the information provided, and should the information or documents provided will
later on be proven false or misleading, or if the assessment officer is not satisfied with the
documents and information provided, the Client acknowledges that the authorities would refuse
his/her application.
The Company will not be responsible for fake or illegal documents or non-accredited or
unrecognized educational or other credentials or insufficient and unsatisfactory evidence.
Work experience letters must be authentic, with complete details of the applicant, job title, period
and detailed job description as per the instructions laid down in the NOC website
(www.hrsdc.gc.ca/NOC) for the relevant occupation. If work experience letter does not convince
the assessment officer that the applicant had performed the actions described in the lead
statement for the specific occupation as set out in the occupational descriptions of the NOC
(www.hrdsc.gc.ca/NOC), the case will be rejected.
It is entirely the Client’s responsibility to get proper authentic evidence of experience as per the
official direction. In case the assessment officer is not satisfied with the experience evidence or
any document of the Client submitted or not submitted in time at all by the Client, the case will be
rejected.
Certain things can delay processing of your application i.e. missing documents, unclear photo
copies, documents not accompanied by a certified English translation, documents not notarized,
medical condition which may require additional tests.
The Client must submit the initial documents upon signing this retainership agreement. The
Client shall pay the Canada government fees when the Company starts the visa application
process. Moreover, all other documents shall be submitted by the Client once needed by the
Company.
a) MANDATORY IELTS RESULT: The Client acknowledges that he/she has been clearly
informed that IELTS Result is a mandatory requirement and need to be submitted with
complete application and other supportive documents at initial submission stage.
Should the Client’s application be unsuccessful due to: criminal clearance reasons, health
problems, forging or presenting false documents to the Company and its representatives, not
respecting the governing body regulation and conditions, not submitting the necessary
documents to the governing body require, not attending medical tests, language tests or
interview, not responding correctly by intention to the Company’s representative regarding the
profession, experience or job duties, the Company shall not be responsible by any means nor shall
be held liable for the refund of the fees paid.
3. COOPERATION
The Client agrees to cooperate with the Company throughout the processing of his/her Visa

application and further undertakes to ensure the cooperation of any of his/her family members.
V. SCOPE OF SERVICES
The services to be rendered by the Company for the Client shall be divided into four (4) stages, to
wit:
Stage 1: Initial counseling

• Determine immigration need, and relevant immigration program and destination
country
• Evaluation of the Client's profile in respect to the selection criteria
• Point’s assessment to determine qualification and visa category
• Presentation about the process, requirement and the cost involved
• Assignation of dedicated processing officer
• Documentation Advice and supply of Document Checklist and Application Kit
Stage 2: Coordination regarding document submission

• Preparation of application following prescribed documentary evidence requirement
• Constant checking with governmental authority requirements and/or tracking of
changes in the requirements provided by laws
Stage 3: Case monitoring

• Monitoring of receipt of file number and updating with the relevant office in cases of
unusual delays
Stage 4: Assessment for final stage of application

• Assessment, consultations, and documents clearing for final stage, medical
examination, instructions, and/or final decision letter.
Important: Based on the progress of the case, final invoices will be generated at the completion
of each stage by the Company. Client is requested to collect relevant invoice after two (2)
workings days following the completion of each stage.
If the case is finalized before all the installment payments are cleared, the Client is advised to clear
the balance payment immediately to settle the full agreement fee value.

VI. FEES
The Client agrees to retain the services of the Company as per the payment plan mentioned below,
plus government fees and landing fees.
1. DOWNPAYMENT
Initial down payment covers the below listed, and is not refundable in any case as the services
are rendered at the time of signing the contract.
• Detailed counseling to evaluate Client’s particulars vis-à-vis the immigration selection

criteria
• Documentation advice
• Client’s personal documentation and application kit and documents checklist
2. GOVERNMENT BODY FEES
The Client bears the entire fees due to governing body and/or professional registration body, and
other related costs such as attestations, notarization, and courier, as advised by the Company on
a consolidated basis, without necessity of a detailed invoice or breakdown.
Government fees are subject to changes anytime with or without prior notice.
3. MEDICAL EXAMINATION FEES, if necessary
The Client bears the cost of the medical tests that are required in some cases.
VII. PAYMENT PLANS
The Company hereby offers the following payment plans for the Client, and the latter hereby
selects the option he/she desires, as evidenced by the appropriate check mark as indicated:

In case payment is delayed, the Client will be charged PHP 2,700 per month as late payment
charges, and the following stages will be put on hold from processing the application.
That as provided in the payment option table above, the Client shall pay the amount of
______________________________________________________ upon the receipt of Job Offer from the Canadian
designated employer to proceed the processing to the visa application proper.
In the event that the client wishes to apply for another program such as the Express Entry and/or
Provincial Nominee Program (PNP) in addition with the program under this Retainership
Agreement, the Client shall pay the total amount of FIFTY ONE THOUSAND FOUR HUNDRED
FIFTY PESOS (PHP51,450.00).
VIII. SELECTION, REJECTION AND REFUND POLICY
The client hereby understands that the only body authorized to grant the CANADA Atlantic
Immigration Program (Permanent Residence Visa) is the Canadian Immigration Authority and the
Company has no involvement or authority in the process.
The Company has no authority to grant any visa or influence the selection process in any way.
Services fees paid to the Company except for the amount of PHP 81,000 Consultancy Fee will be
refunded in the event that the Client does not qualify for migration to Canada, as per information
of the Canadian Immigration Office for reasons other than any of the following:
• Medical
• Security
• Misrepresentation
• Insufficient information
• Insufficient funds
• Point/s lost on language or misleading information,
• Point/s lost on education because of non-accredited, unrecognized or false credential,
• Point/s lost on work experience in case the immigration officer was not satisfied with the
evidence furnished by the applicant,
• Non-submission of complete documents as required from the Client within stipulated
time
• Changes introduced by the relevant Government office which may retroactively affect the
Client’s case,
• Non-cooperation by the Client or his/her dependents and any other violation of
contractual clause.
In case the Client is entitled to a refund, the refund application will be processed within ninety
(90) days.
If the Client’s application is rejected on the basis of any of the above-stated reasons, the Client will

be liable to pay balance fee to the Company which shall be due and demandable immediately.
The initial stage of the CANADA Atlantic Immigration Program (Permanent Residence Visa)
requires the Client to have his qualification assessed by a designated organization or professional
body to conduct an ECA (Educational Credential Assessment). In the event that the client’s
Institution/College/University is not recognized by any or all of the designated organizations,
SEVENTY PERCENT (70%) of the total amount of the availed services shall be retained, while the
rest of the initial payment shall be refunded. The Refund Policy shall be applied.
In the event that the client only paid less than the corresponding amount of the said seventy
percent (70%), he/she shall be liable to pay the remaining balance to the company.
In case the applicant is not selected for the final stage, the Company takes the responsibility to
provide services for further submission free of charge within two (2) years after registering in
Visa Category: CANADA Atlantic Immigration Program (Permanent Residence Visa).
Credit Card and/or Bank Charges:
The Client acknowledges that in the event refund request is found eligible as per the contract, and
approved, the refund will be processed in ten (10) working days after retaining due retainer fees
as per the contract. Credit card or Easy Payment Plan (EPP) charges incurred during the process
anytime and not charged to the Client earlier will also be deducted from the amount approved for
refund and balance amount will be refunded to the Client.
IX. CANCELLATION:
A: If the Client applies for cancellation of the contract before the application preparation and
submission to the relevant Assessment Office or Government office, the Company will retain PHP
81,000 as consultancy setup fee, paid by the Client as down payment, and the rest of the balance
will be refunded to the Client. In the event the Client has paid less than PHP 81,000 he/she will be
liable to pay the balance amount immediately.
B: If the Client wishes to cancel the contract after the application is submitted to the assessment
office, the Client shall not be eligible to any refund of services fees. In the event the Client cancels
the contract they will have to pay the balance of the contract value with immediate effect,
postdated checks should be settled immediately.
C: In the event that the client already possesses and/or is the one who applied and process his/her
ECA and/or IELTS result and the same result was submitted to the company for the processing of
his/her application and the same wishes to cancel the contract and requested for a refund, the
client shall not be eligible to any refund of services fees and shall pay the existing balance of the
total amount of the services when a refund request was made by the same.
D. If the Client wishes to withdraw from the processing of his/her visa application subsequent to
the distribution of the client’s profile including but not limited to the curriculum vitae/resume

and any or all documents required for the success of getting an employer in Canada, in any and all
job portals and employers, the Client shall not be eligible to any amount of a refund.
E. The Client requesting for a refund who wished with the Company that he/she will likewise send
an application to their respective employer simultaneously to the submission of the Processing
Team, the same shall not be eligible for a refund.
In the event that the Client wishes to cancel their contract to avail the services of the Company
and requested for a refund, the former shall fill-out the Cancellation of Contract/Withdrawal of
Service forms.
X. COMPLAINT PROCEDURE:
If the Client has any complaint regarding the services rendered by the Company and/or its
representatives, Client shall report via e-mail at info@gatewayvisasolution.com. The complaint
review process shall be managed by the Legal Department of the Company within ten (10) days
from receipt of such complaint.
XI. DISPUTE
In the event of a dispute, both parties mutually agree to seek out mediation to resolve the rising
issue at the cost of the party who initiated the complaint. Both parties must agree on a mutual
mediator and will put their best effort forward in order to resolve the issue to a mutually
acceptable benefit.
This Agreement and the rights of the parties under this Agreement shall be governed by the laws
of the United Arab Emirates. Thus, the Arbitration and/or settlement proceeding of any dispute
shall be conducted in Dubai, UAE as provided and mandated by law.
XII. INTELLECTUAL PROPERTY RIGHTS AND CONFIDENTIALITY
Nothing in this Contract will affect the rights (including Intellectual Property Rights) of the
Company.
Each party shall keep confidential all Information of the other party and will only process the
Information as required in the performance of the obligations in this Agreement.
The provisions of this clause will not apply to:

• any information in the public domain at the date of this Contract;
• any information which comes into the public domain subsequently other than as a
consequence of any breach of this Contract or any related agreement;
• information independently developed by the other party without using information
supplied by the first party;
• or any disclosure required by law or a regulatory authority or otherwise by the provisions
of this Contract.

The Client hereby gives his/her consent for the Company to disclose any personal information in
order to provide the Services to a third party where such third party accepts similar obligations
of confidence to those contained in this Agreement or where such third party is a government or
government agency and agrees to treat such information as confidential and proprietary
information when required to perform the Agreement.
The parties acknowledge that all records and documents and all information pertaining to
business and/or affairs provided in this Agreement are absolutely confidential and unauthorized
disclosure or reproduction of the same will not be made at any time during or after the period of
this agreement. The parties likewise acknowledges that any breach of confidentiality will
constitute sufficient ground for immediate termination of this agreement for cause and/or civil
and criminal liability;
XIII. FORCE MAJEURE
Neither of the parties shall be considered in breach of this Agreement to the extent that
performance of their respective obligations is prevented by an event of force majeure that arises
after signing this agreement.
XIV. TERMINATION OF CONTRACT
In the event that any of the parties wishes to terminate this Agreement preceding to the expiration
of the same, the concerned party shall provide a written notice to the other thirty (30) days prior
of the intended date of termination.
XV. VIOLATION TO THE AGREEMENT
The parties hereby further agree that this Agreement shall be null and void if the Client provide
inaccurate, misleading or false information and/or material. Fraudulent acts shall also constitute
to the nullity of this Agreement and shall be subject to a judicial action as provided by law.
The party violated this Agreement shall pay the other for the damage cause within the period of
thirty (30) days upon receipt of a written notice.
In the event that the Client violated this Agreement, the same shall not be eligible to any refund
and as provided in the preceding paragraph, the Client shall compensate the Company for the
damages caused.
XVI. MODIFICATION OF AGREEMENT
Except as herein provided, modifications to this Agreement by the parties shall only be bywritten
supplemental agreement executed and signed by both parties.
XVII. ENTIRETY OF AGREEMENT

The terms and conditions set forth herein constitute the entire agreement between the parties
and supersede any communications or previous agreements with respect to the subject matter of
this Agreement. There are no written or oral understandings directly or indirectly related to this
Agreement that are not set forth herein. No change can be made to this Agreement except for
future business decisions other than in writing and signed by the parties.
XVIII. TRANSFER OF CONTRACT
The Client may only transfer this Agreement to its legal spouse qualified with the same program
only prior to the preparation and submission of documents to any relevant Assessment Office or
Government Office.
XIX. NON-WAIVER
Failure of either party hereto to insist upon strict compliance with any of the terms, covenants
and conditions hereof shall not be deemed a waiver or relinquishment of such right or power
hereunder at any subsequent time.
XX. TITLES
The titles of the Sections herein are for convenience of reference only and are not to be considered
in construing this Agreement.
XXI. SEVERABILITY
If any term of this Agreement is held by a court of competent jurisdiction to be invalid or

unenforceable, then this Agreement, including all of the remaining terms, will remain in full force
and effect as if such invalid or unenforceable term had never been included.
XXII. EFFECTIVITY
This Agreement shall be effective on the date of the signing of this document and shall remain for
the period of TWO (2) YEARS and/or until the parties agreed to terminate the same.
In the event that the parties have completely performed their obligations set forth under the
terms and conditions of this Agreement, the same shall be automatically terminated.
If the applicant fails to submit the required documents for the processing of application within
twelve (12) months from the date of signing this contract, this Agreement shall be automatically
voided. In such case any monetary/ claim from the client will not be accepted or entertained.
The Client acknowledges that he/she fully understands the foregoing agreement and has been
given the opportunity to obtain explanations for any section of the agreement, which were
unclear, or not understood by the client.
