Special Conditions of Contract

1. Purpose

SCC shall supplement GCC with the specific provisions in GCC referred to and amended
accordingly. The SCC provisions shall prevail over those in GCC and constitute a part of this
Contract.

2. Contract Period

The Contract Period as defined in Section l(i) of GCC shall be from the Effective Date t
o __________________, 2021

3. Commencement of Services

The Service shall be started immediately right after the signature of the Contract, provided
, however, that, in case that its delay is apparently expected in unavoidable, circumstances, th
e Consultant shall obtain the approval of the Employer in advance.

4. Payment of Contract Prices

4.1 Payment for Design

The Consultant shall demand the payment based upon the implementation plan in the br
eakdown of the Contract Price as follows, and the Employer shall pay such amount in
the ____________USD to the Consultant in its bank account [_____________________
___] within fourteen (14) days from the confirmation of the Consultant’s demand.

4.2 The Employer shall receive the request for payment with an invoice and all supportin
g documents and shall certify or reject the request for payment within five (5) days fr
om the receipt.

4.3 The payment shall be divided into two installments under the condition as follows:

(a) After signing of the Contract and the Contract submit an official request for the a
dvance payment and advance payment security bond: Thirty (30) percent of the Co
ntract price

(b) After Employer’s Approval of Basic Design for architectural, mechanical and elect
rical work and Government Permit’s Document: Thirty (30) percent of the Contract
price

(c) After Employer’s Approval of Construction Design for architectural, mechanical an


d electrical work and Tender Bidding’s Document: Thirty (40) percent of the Contr

4.2 Payment for Construction Supervision

The Consultant shall demand the Construction Supervision fee payment based upon every 10% of the
construction progress rate, the Employer shall pay such amount in the U.S. dollar currency or the
equivalent value in Ethiopian Birr (ETB) to the Consultant in the designated bank account within 21
days from the Consultant 's demand:

Even if the construction period extended, the Construction Supervision service price does not increase,
so the Consultant shall not demand extra payment.

5. Undertaking of Payment and Penalty

For the purposes of the payment of the Contract Price and of penalty referred to in Secti
on 5 and 12 of the GCC will take into account the following stipulations:

(b) Penalty

part thereof, at a rate of 0.125% of Contract
Price per day. The limit or Delay Damages
shall be maximum 15% of the Contract pri
ce. The employer may terminate the Contrac
t when the amount of Liquidated Damages e
xceeds the 15% of the Contract Price.

6. Submission of the Services Reports

6.1 The Consultant shall provide the Employer with the Services reports during the Contra
ct Period. The format of each report is subject to be determined based on a mutual con
sensus between both parties after signing of the Contract.

6.2 Each type of report required to submit is as follows:

(a) Design drawings including details of architectural plan, mechanical plan and e
lectrical plan will be submitted in writing to KOICA OFFICE IN ETHIOPIA

(b) Bill of Quantities will be submitted in writing to KOICA OFFICE IN ETHIOPI


A at the stage of design;

(c) Technical Specification for construction phase will be submitted in writing to K


OICA OFFICE IN ETHIOPIA at the stage of design;

(d) Investigation Report will be submitted in writing to KOICA OFFICE IN ETHIO


PIA within one (1) week from the Pre-site visit. The Consultant shall do the Pre-si
te visit before the starting date of the Basic Design Phase. The date for the pre-sit
e visit will be determined between the Employer and the Consultant;

(e) Biweekly update with photos to show progress for the inspection of site work
s will be submitted in writing to KOICA OFFICE IN ETHIOPIA;

(f) Verification, validation and acceptance reports of the works executed by the co
mpanies will be submitted in writing to KOICA OFFICE IN ETHIOPIA; and

(g) Final report will be submitted in writing to KOICA OFFICE IN ETHIOPIA at t


he end of the supervision of construction. It will consist of:

- General Information;

- Project Description;

- Description of Site;
- Type of Construction and Specifications;

- Executed Works;

- Work Schedule, Obstacles and Remarks;

- Inspection sheets;

- All documents or catalogue related to the project;

- Materials Approved and Dates;

- Quality Control;

- Events of the Project and Legal coverage;

- Appendix “A”: Summary of Approved Variations; or

- Appendix “B”: Events and Correspondence.

6.3 The Report shall be written in English.

7. Dispatch of Experts

7.1 When the Consultant dispatches the Experts to execute the Services, the Consultant sh
all dispatch such experts as listed on the Execution Plan of the Services. In case of ch
ange of personnel, candidates with considerable knowledge and experience to efficiently
carry out the Services shall be selected subject to prior consultation with the Employer.

7.2 The Experts to be dispatched by the Consultant pursuant to Section 7.1 shall be quali
fied persons with experiences in the field of the Services, convenient working knowledg
e of English. The Specialist Dispatch Plan, including personal information, itinerary and
detailed on-site work program and so on, shall be approved by the Employer three (3)
weeks prior to the date of dispatch.

7.3 The Employer shall cooperate with the Consultant regarding such matters necessary for
the execution of the Services at the service Site.

7.4 The Consultant shall be totally responsible for the physical security and health, and vi
olation of laws of the Experts, or any dispute arising out of injury by a third party or i
llegal activities against them during the Contract Period.
8. Post-Qualification Monitoring

8.1 In performing the Services, the Consultant shall implement the content as specified in
the Execution Plan of the Services and the Time Schedule thoroughly.

8.2 The Employer shall monitor from time to time the performance of the Consultant as s
tated in Section 8.1, and, if any difference from the initial plan occurs, shall take meas
ures to correct immediately such difference.

9. Use of Patent

The Consultant shall be solely responsible for the use of the patent or other intellectual p
roperty rights of a third party in performing the Services.

10. Undertaking of Non-Bribery and integrity Obligation

The Consultant shall consent to observe the undertaking, in which the Consultant shall not
, on the basis of mutual trust with the Employer, engage unfair trade practices including prior
concerted quotations in the course of bidding and being awarded, conclusion and performanc
e of the contract, nor provide KOICA's officers and employees, and competent government of
ficials with unjust compensation including bribery, entertaining treat, etc., and further that, in
case of breach of such undertaking, it will accept and observe sanctions including the early t
ermination of the Contract.

- BOQ: 2 copies of 1 unpriced BOQ and another Priced (Estimate) BOQ
- End of each phase final drawings & documents set (PDF files).
A3 size Drawings in English: 4 Copies Commented [WU12]: 10 copies is way too much

A1 size 1copy (only drawing)


- Computer Files including contents of Drawings & Documents (Auto CAD, Image files
and comparable to IBM PC)
- Final 3Ds Rendering Images & Files
- Interior Perspective (A3,3cuts)
