Preamble
‫ وحيث إن الطرف الثاني الوكيل يرغب‬،‫تسويق وبيع هذه المنتجات عبر وكيل تجارى موزع حصريا في إثيوبيا‬
‫في ضمان وجود مصدر لتلك المنتجات والسلع ليقوم بتسويقها وبيعها حصريا داخل إثيوبيا لذا فقد اتفق‬
:‫الطرفان اعاله وهما بكامل اهليتهما المعتبرة قانونا على االتي‬
As the first party works in the field of producing the Polyphosphorm food
supplement for adults and children and wishes to market and sell these products
through a commercial agent exclusively distributed in Ethiopia, and since the
second party, the agent, wishes to ensure that there is a source for these products
and commodities to be marketed and sold exclusively within Ethiopia, so the two
parties have agreed Above, and they are in their full legal capacity as follows:

Article(1)
The above preamble shall be considered an integral part of this

A. First Party Obligations: :‫التزامات الطرف االول‬ .A

 The first party is obligated to

submit all the necessary documents

 The first party is prohibited from

selling its products directly or
 indirectly to any third party,
whether it is a company or an
individual in the field of activity of
the second party subject of the
agreement. In the event of this
happening, the first party is

Food and Drug Authority (EFDA), ‫المورد تحمل جميع االضرار الناتجة عن هذه‬
and the supplier must bear all

B . Obligations of the second party ‫التزامات الطرف الثاني‬ .B

 The second party is obligated to

considered a down payment for
the first order submitted by the
agent and a token of confidence
that indicates the agent's
seriousness in working to
complete the registration and
achieve the agency. The agent
recovers this amount from the
cost of the first order he submits.
A - As the second party is obligated ‫حيث أن الطرف الثاني ملزم بموجب األنظمة‬ -‫أ‬ ‫) شروط‬4 ( ‫المادة‬
under local laws and regulations to : ‫المنتجات محل االتفاق‬

is not obligated to receive or be

responsible for distributing any
products that do not comply with the ‫تتوافق مع قوانين هيئة الغذاء والدواء‬
laws of the Ethiopian Food and Drug

B- The first party is obligated to bear ‫يلتزم الطرف األول بتحمل مسئولية أي أضرار‬ -‫ب‬
the responsibility for any damages
‫قد تظهر أثناء االستخدام العادي للمنتجات‬
that may appear during the normal
use of the products for reasons related ‫ألسباب متعلقة بالمنتج أو أحد مكوناته كسوء‬
to the product or one of its

components, such as poor storage,

C- The second party and its branches
must always abide by the instructions ‫بتعليمات الطرف األول وعدم تجاوزها فيما‬

governmental procedures, expenses

and arrangements for the export and
delivery of products and must notify ‫بتصدير وتسليم المنتجات وعليه إخطار‬ and delivering:
the second party twenty-four hours
‫الطرف الثاني قبل أربعة وعشرين ساعة من‬
before the date of shipment of the
contents of the shipment, the date of ‫موعد الشحن بمحتويات الشحنة وتاريخ‬
shipment, the name of the shipper,

the port of arrival and the time of

B - The second party must be
responsible for all governmental
procedures related to the entry of the
agreed products into the agreement
area, including customs clearance
and approval of government
agencies, and he must pay all fees
related to these issues.

‫المنتجات محل االتفاق لمنطقة االتفاق بما في‬

The initial period of this
agreement is five years, starting

on April 1, 2027, subject to ‫ قابلة للتجديد باتفاق‬2027 ‫أبريل‬/١ ‫ وتنتهي في‬2022
renewal by agreement of the
two parties.
The language of correspondence
between the parties to this
Agreement is English.
A- The first party authorizes the
second party to use and use the trade
name of the first party.
B - The second party may register
the trademark of the first party in
any of the trademark registration
offices within the area of the
agreement.
A- Either party may terminate this
agreement by giving the other party
a written notice of at least three
months prior to the expiry date of
the original first period of this
agreement or the expiry of any of the
renewal periods.
B - The second party may terminate
the agreement immediately by
notifying the first party, if the first
party stops providing the second
party with the products subject of
this agreement for a sufficient period
of time to negatively affect the
second party and the promotion of
the products in the local markets in
the area of the agreement.
C- This agreement may be
terminated at any time with the
agreement and consent of both
parties.

‫ يجوز ألي من الطرفين إنهاء هذا االتفاق وذلك‬-‫أ‬ :‫) إنهاء االتفاق‬9 ( ‫المادة‬
‫ بإعطاء الطرف اآلخر إخطار مكتوب قبل ثالثة‬Article (9)
Termination of the
‫ أشهر على األقل قبل تاريخ انتهاء الفترة األولى‬Agreement

‫ يجوز للطرف الثاني إنهاء االتفاق بشكل‬- ‫ب‬
‫فوري بإخطار الطرف األول وذلك إذا توقف‬
‫الطرف االول عن تزويد الطرف الثاني بالمنتجات‬
‫موضوع هذا االتفاق لمدة زمنية كافية للتأثير سلبا‬
‫على الطرف الثاني و علي رواج المنتجات في‬
.‫األس واق المحلية بمنطقة االتفاق‬
‫ يجوز انهاء هذا االتفاق في أي وقت باتفاق‬-‫ت‬
.‫وتراضى الطرفان‬
Neither party shall be liable to the
other for any breach, default, or
violation in general of the provisions
of this Agreement, if this occurred as
a direct cause of force majeure or a
sudden accident.
A- The second party has the right to
be compensated for the damages it
sustained as a result of the first
party’s breach of its obligations in
accordance with this agreement or
the prevailing commercial custom.
B - If the first party refuses to renew
the agreement, then the second party
has the right to claim compensation
in return for the activity it carried
out, which actually led to an
apparent success in the business
subject of this agreement.
This agreement is governed by
Turkish laws and regulations.
Any dispute that arises between the
first party and the second party
regarding the interpretation or
application of any of the provisions
of this agreement or its annexes,
must first be resolved through
friendly efforts between the two
parties within a period of sixty days
from the notification of either party
to the other of the subject of the
dispute, and in case Failure of these
amicable efforts the dispute shall be
resolved by arbitration in
accordance with the Turkish
Arbitration Law.

Article (10) Force

‫من أضرار نتيجة إخالل الطرف األول بالتزاماته‬

.‫وفقا لهذا االتفاق أو العرف التجاري السائد‬ Cancellation of the

‫الطرف الثاني يحق له المطالبة بالتعويض مقابل‬
‫ما قام به من نشاط أدي بالفعل إلي نجاح ظاهر في‬

Applicable Law:
‫أي نزاع ينشأ بين الطرف األول والطرف الثاني‬ ‫ ) حل وتسوية‬13 ( ‫المادة‬

‫بخصوص تفسير أو تطبيق أي بند من بنود هذا‬

‫ يجب حله أوال‬,‫االتفاق أو ما مرفق به من ملحقات‬ Resolving and
settling disputes:
‫عن طريق الجهود الودية بين الطرفين في خالل‬
‫فترة ستين يوم من إخطار أي من الطرفين لآلخر‬
‫ وفى حالة فشل هذه الجهود‬،‫بموضوع النزاع‬
‫الودية يجب حل النزاع عن طريق التحكيم وفقا‬
.‫لقانون التحكيم التركي‬
