PASAL 1 / ARTICLE 1
DEFINISI / DEFINITION

“Batubara”/ “Steam Coal” Berarti bahwa Batubara yang dijual PENJUAL kepada PEMBELI berasal dari Kuasa
Pertambangan/Ijin Usaha Pertambangan sah berlokasi di Kalimantan Timur.
Mean the source of Coal which SELLER delivered to BUYER shall come from legal
mining Business Permit in East Kalimantan.

“FoB Mother Vessel” Berarti metode penjualan termasuk biaya pemuatan ke atas Vessel.
Mean Free On Board of Vessel.

“Anchorage Point” Berarti titik jangkar dimana Kapal Vessel dapat berlabuh.
Means the anchorage point where Vessel lay can.

“Bill Of Lading” Berarti tanda terima yang diberikan dalam pengiriman Batubara.
Means receipt given for the Coal’s Shipment and it’s a document title.

“Harga” Berarti harga jual-beli Batubara, sesuai yang dimaksud Pasal 5 Perjanjian ini.
Means sale-purchase price of Coal, that stated in Article 5 in this Contract.

“Metrik Ton” Berarti satu (1) metrik ton yang terdiri dari 1.000 Kilogram.
Means metric tones of 1,000 Kilogram.

“ASTM” Berarti American Society For Testing and Material.

Means the American Society for Testing and Material.

“Surveyor Independent” Berarti GEOSERVICES melakukan penentuan kuantitas dan kualitas Batubara
berdasarkan Perjanjian ini.

Means GEOSERVICES shall conduct and determine quantity as well as quality Coal
in this Contract.

“Lay Time” Berarti waktu yang telah ditentukan Vessel berlabuh.

Means time allowed the Vessel to load the Cargo.

“Major Indonesia Holidays” Berarti hari libur (Indonesia) Nasional, yaitu dua (2) hari Iedul Fitri, satu (1) hari
Iedul ‘Adha, satu (1) hari Hari Kemerdekaan, dan satu (1) hari Natal.
Means 2 days of Iedul Fitri, 1 day of Iedul Adha, 1 day of Independent Day, and 1
day of Christmas.

“Tempat Penyerahan” Tempat penyerahan Batubara dari PENJUAL kepada PEMBELI di atas Vessel di
Pelabuhan Muat, yaitu di Anchorage Muara Berau, Kalimantan Timur.
Means Delivery Point of Coal from SELLER to BUYER on the Vessel of Loading Port
(Anchorage Muara Berau, East Kalimantan).

“ICPO” Adalah Purchase Order yang tidak dapat dibatalkan.

Irrevocable Confirm Purchase Order.

“Pratique” Berarti izin untuk melakukan kegiatan di Pelabuhan oleh Kapal yang telah
memenuhi semua peraturan kesehatan setempat yang berlaku.
Means permission to do a business at a Port by a Ship that has been complied
with all applicable local health regulation.

“Rupiah” Adalah mata uang yang digunakan dalam Perjanjian Jual-Beli Batubara ini.
Pecahan satu (1) sen dalam perhitungan harus dibulatkan sampai sen terdekat.
Jika pecahan satu setengah (1,5) persen atau lebih maka dibulatkan ke atas.
Where currency shall be applied to this Contract. A fraction of cent in any
calculation shall be rounded up to nearest cent if such fraction is one and half
percent or more, otherwise shall be rounded down.

PASAL 2 / ARTICLE 2
BARANG YANG DIPERJUAL BELIKAN / GOODS FOR TRADE

Barang yang diperjualbelikan oleh para Pihak adalah Batubara asal Kalimantan Timur dalam bentuk “ Crushed”
dengan spesifikasi yang akan dijabarkan pada Pasal 4 dalam Perjanjian ini. Pelabuhan yang akan digunakan
sebagai tempat pemuatan Batubara adalah pelabuhan atau Jetty Putra Jaya Perkasa, Kalimantan Timur, atau
Jetty lain yang telah disetujui kedua belah Pihak, di wilayah Kalimantan Timur.

Goods Traded by the Parties is the Coal of East Kalimantan origin in the form of “Crushed” with the specification
will be outlined in Article 4 of this Agreement. Port that will be used as a loading point is Putra Jaya Perkasa , or
other Jetty in East Kalimantan, which has been mutually approved by both Parties.

PASAL 3 / ARTICLE 3
KUANTITAS DAN JADWAL / QUANTITY AND SCHEDULE

Kuantitas / jumlah Batubara dalam Perjanjian ini adalah sebanyak ± 50.000 (Lima Puluh Ribu) MT dalam bentuk
Crusher. Pihak Penjual setuju untuk mensuplai sebanyak 50.000 MT dimulai dari tanggal 15/10/2013 sampai
dengan tanggal 22/10/2013 dan Kontrak ini dapat diperpanjang setelah persetujuan kedua belah Pihak.
Order Quantity of Coal in this Agreement is ± 50,000 (fifty thousands) MT in the form of “CRUSHED”. Coal supply
preparation will begin after the SELLER obtains COAL REQUEST LETTER / Purchase Order. Seller agreed to supply

approximately 50,000 MT started from 15 /10/2013 until 22 /10/2013 and this Contract shall be extended upon
Agreement of both Parties.

SPESIFIKASI KUALITAS BATU BARA / COAL SPECIFICATIONS & QUALITY

Kualitas Batubara yang dijual oleh PENJUAL dan dibeli serta diterima oleh PEMBELI adalah Batubara “CRUSHED”
dengan spesifikasi sebagai berikut:

PASAL 5 / ARTICLE 5
HARGA BATUBARA / PRICE OF COAL

Harga Batubara per Metrik Ton berdasarkan Perjanjian ini adalah USD 38,00 / MT (Tiga Puluh Delapan Dollar
Amerika Serikat) FoB Mother Vessel, sudah termasuk dokumen yang meliputi SKAB (Surat Keterangan Asal
Barang), Rekomendasi Dinas Pertambangan, Cargo Manifest, B/L (Bill Of Lading), Draft Survey serta Preleminary
Report (CoA). Harga akan dilakukan penyesuaian apabila terjadi perubahan kebijakan dari Pemerintah baik Pusat
maupun Daerah. Setiap perubahan harga akan dikeluarkan Amandement yang merupakan bagian yang tidak
terpisahkan dengan Perjanjian ini.
The basic price of Coal per Metric Ton on this Agreement is USD 38,00 / MT (Thirty Eight United States of
America Dollars) FoB Mother Vessel, included: SKAB document (Certificate of Origin Of Goods), Recommendation
of Official Mining Departement, Cargo Manifest, B/L (Bill Of Lading), Draft Survey and Preleminary Report (CoA).
Prices will be adjusted should there be a change of policy both Central and Local Government. Any price changes
will be issued an Amendment which is the integral part of this Agreement.

PASAL 6 / ARTICLE 6
CARA PEMBAYARAN / TERM OF PAYMENT

1. Kedua belah Pihak sepakat bahwa pembayaran atas pembelian Batubara dilakukan secara “TUNAI”
dengan menggunakan jasa PERBANKAN yang telah disetujui oleh kedua belah Pihak sebagai berikut:

2. Kedua belah Pihak sepakati pembayaran atas pembelian Batubara dilakukan bertahap sebagai berikut:
Both Parties agreed that payment for the purchase of Coal will be implemented in stages as follows:

a. 10 % dibayar pada saat tanda tangan Kontrak dan selesai cek tambang dengan ketersediaan cargo,
sebagai tanda serius PEMBELI melakukan pembelian Batubara.
10 % is paid upon Contract sign and mining due diligence with cargo available as a good intention
from the BUYER to purchase Coal.

b. 40 % dibayar pada saat Batubara sudah dikirim ke dan siap sekitar 70% di Stockpile / Jetty.
40 % is paid upon the cargo being ready at and delivered about 70% to Stockpile / Jetty.

a. 40 % dibayar pada saat Batubara sedang dimuat di atas masing masing tongkang.
40 % is paid upon the Coal being loaded into each Barge.

b. 10% dibayar setelah dokumen yang meliputi SKAB (Surat Keterangan Asli Barang), Surat Kirim, Surat
Rekomendasi SKAB dari Dinas Pertambangan setempat, Cargo Manifest, B/L, Draft Survey serta
Certificate of Analisis (CoA) dari Independent Surveyor.
10 % paid after document completed such as SKAB (Certificate of Origin Goods), Delivery Certificate,
Recommendation SKAB from Local Official Mine Department, Cargo Manifest, B/L, Draft Survey and
Certificate Of Analysis (CoA) from Independent Surveyor.

PASAL 7 / ARTICLE 7
SYARAT PEMUATAN / LOADING TERM & CONDITION

1. Para Pihak sepakat bahwa jadwal pemuatan Batubara adalah sesuai jadwal pada Pasal 2 Perjanjian ini di
Pelabuhan / Jetty Putra Jaya Perkasa atau Pelabuhan lain yang telah disetujui oleh kedua belah Pihak, di
wilayah Kalimantan Timur.
Both Parties agree that the schedule of loading of the Coal will be to referred to the loading schedule / plan in
accordance with Article 2 of this Agreement at the Port of Jetty Putra Jaya Perkasa, East Kalimantan, or any
Port which has been approved by both Parties.

2. PEMBELI dapat mengirim perwakilannya untuk menyaksikan pengambilan sample dari kargo yang
dimaksud dalam Perjanjian ini dan menyaksikan pada saat di tambang maupun di Pelabuhan Muat.
BUYER may send its representative to Witness the sampling of the cargo referred to in this Agreement and
witnessed the loading process in the mining or in the Port Loading.

3. PEMBELI bertanggung jawab untuk membayar seluruh biaya sesuai harga Batubara dalam Perjanjian ini
disesuaikan dengan jumlah Batubara yang telah dipersiapkan apabila PEMBELI membatalkan pemesanan
Batubara setelah PEMBELI mengeluarkan Surat Permintaan Batubara dan PENJUAL telah melakukan
penyediaan Batubara.

BUYER is fully and legally responsible to pay full Coal prices agreed in this Agreement, and adjusted by the
amount of Coal that had been prepared, If the BUYER CANCEL the reservation of Coal, but after BUYER issued
a request for Coal and SELLER has made provision for Coal.
PASAL 8 / ARTICLE 8
PEMERIKSAAN KUALITAS / QUALITY ANALYSIS

1. PENJUAL harus melaksanakan penetapan mutu Batubara yang akan dijual.

SELLER shall determine the Coal quality to be sold.

2. Penelitian dan penetapan mutu Batubara di Pelabuhan Muat, dilakukan oleh Independent Surveyor
GEOSERVICES yang telah disetujui oleh kedua belah Pihak atas beban PENJUAL.
Analysis of Coal quality at the Port of Loading performed by the Independent Surveyor, which has been
approved by both Parties, the expense will borne by the SELLER.

3. Metode untuk pengambilan sample dan penentuan kualitas Batubara dalam Perjanjian ini digunakan
Metode Test sesuai dengan American Society For Testing and Materials (ASTM). Metode pengukuran total
berat kargo dalam Perjanjian ini akan ditentukan dengan metode Draft Survey.
Methods for sampling and determining the quality of Coal in this Agreement using Test Methods in
accordance with American Society For Testing and Materials (ASTM). Measurement Method of the Total
weight of Cargo in this Agreement shall be determined by Draft Survey method.

4. Certificate of Analysis (CoA) di atas Vessel pada Anchorage Muara Berau adalah final dan mengikat
para Pihak guna penyelesaian pembayaran dalam Perjanjian ini.
Certificate of Analysis (CoA) on the Vessel at Anchorage Muara Berau is final and binding on both Parties to
settle the payment in this Agreement.

5. Independent Surveyor yang disepakati dalam Perjanjian in adalah GEOSERVICES, Indonesia.

Both Parties agree to use service of GEOSERVICES, Indonesia as Independent Surveyor.

PASAL 9 / ARTICLE 9
PENYESUAIAN BERAT DAN HARGA / WEIGHT AND PRICE ADJUSTMENT

Penyesuaian berat dan harga Batubara dalam Perjanjian ini adalah berdasarkan penentuan kualitas yang
ditentukan berdasarkan sertifikat analisa yang dikeluarkan oleh Independent Surveyor.
Adjustment Weight and Price of Coal in this Agreement is determined based on the determination of quality based
on the analysis certificate issued by Independent Surveyor.

(1). Penyesuaian Berat karena Total Moisture (TM)

Weight Adjustment for Total Moisture (TM)
Apabila Total Moisture (as received) yang tercantum dalam sertifikat analisa kualitas yang dikeluarkan oleh
Surveyor melebihi dari typical kualitas Batubara pada kolom garansi Pasal 3 Perjanjian ini, maka berat
tonnase Batubara yang harus dibayar PEMBELI akan dikurangi dengan formula sebagai berikut:
If the Total Moisture (as received) listed in analysis certificate issued by Surveyor quality exceeds the typical
quality of Coal in the column guarantees of Article 3 of this Agreement then the weights of tons of Coal to be
paid by BUYER shall be reduced by the following formula:

a. Apabila nilai kalori ADB (kcal/kg) yang tercantum dalam sertifikat analisa kualitas yang dikeluarkan
oleh Independet Surveyor di atas Vessel ternyata lebih rendah atau lebih tinggi daripada typical spesifikasi
Batubara di kolom garansi pada Pasal 3 Perjanjian ini, maka harga Batubara pada Pasal 4 Perjanjian ini
akan disesuaikan dengan rumus sebagai berikut:
If the values of GAR Calories (kcal/kg) contained in the quality analysis certificate issued by the Surveyor
at the Barge, lower and higher than the typical specification listed in column Coal warranty in Article 3 of
this Agreement, then the price of Coal in Article 4 of this Agreement will be adjusted with following
formula:

(3). Pengurangan harga karena kadar abu

Price Reduction for ash content
Apabila nilai kadar abu Ash Content (adb) dalam laporan pemeriksaan kualitas oleh Surveyor lebih besar
daripada typical spesifikasi Batubara dalam kolom garansi pada Pasal 3 Perjanjian ini, maka harga Batubara
berkurang Rp. 2.500,00 per Metrik Ton setiap penambahan 1.0 % kadar abu secara pro-rata.
If the value of Ash Content (adb) listed in the quality inspection report issued by the Surveyor larger then the
typical specification in column Coal warranty in Article 3 of this Agreement, then the price of Coal will be
reduced to Rp. 2,500 per Metric Ton for each additional 1.0 % concentration ash on a pro-rata basis.

(4). Pengurangan Harga karena Kadar Belerang.

Price Reduction for Sulphur levels.
Apabila nilai Kadar Belerang / Total Sulphur (ADB) dalam laporan pemeriksaan kualitas oleh Surveyor lebih
besar daripada typical spesifikasi Batubara di kolom garansi pada Pasal 3 Perjanjian ini, maka harga Batubara
berkurang Rp. 2.500,00 per Metrik Ton setiap penambahan 1.0 % kadar belerang secara pro-rata.
If the value of Sulphur Content / Total Sulphur (ADB) listed in the quality inspection report issued by the
Surveyor larger than typical specification in column Coal warranty in Article 3 of this Agreement, then the
price of Coal will be reduced to Rp. 2.500,00 per Metric Ton for each additional 1.0 % concentration sulfur on
a pro-rata basis.

PASAL 10 / ARTICLE 10
FORCE MAJEURE

1. Yang dimaksud Force Majeure dalam Perjanjian ini adalah bencana alam (Banjir, Gempa Bumi, Badai),
huru hara, pemogokan umum, kapal (Tongkang) tenggelam/kandas, kebijakan Pemerintah, dan lain-lain
sebagainya, yang secara langsung berpengaruh terhadap pelaksanaan Perjanjian, namun tidak termasuk
kejadian-kejadian yang dalam kondisi normal dapat diprediksi, diantisipasi, atau dihindarkan.
The definition of Forje Majeure under this Agreement are natural disasters (floods, Eartquakes, Hurricanes),
huruhara, the general strike, the ship (Barge) sunk/aground, Government Policy, etc, which directly affect the
implementation of the Agreement, but does not include incidents that under normal conditions can be
predicted, anticipated or avoided.

2. Bila terjadi Force Majeure, Pihak yang terkena Force Majeure wajib memberi laporan lisan dan
dilanjutkan secara tertulis dalam waktu 2 x 24 jam setelah kejadian. Pihak yang menerima laporan juga
harus memberi jawaban tertulis atas laporan tersebut dalam waktu 2 x 24 jam setelah menerima laporan.
In the event of Force Majeure, the Party affected by Force Majeure shall give an oral report and continue
writing in within 2 x 24 hours after the incident. Party receiving the report must also provide written answer
on the report within 2 x 24 hours after receiving the report.

3. Force Majeure yang terjadi harus nyata mempengaruhi pelaksanaan Perjanjian dan dapat dibuktikan
oleh kedua belah Pihak.

Force Majeure Happends Should obviously affect the implementation of the Agreement and can be attested
to by both Parties.
PASAL 11 / ARTICLE 11
KEWAJIBAN PARA PIHAK / OBLIGATIONS OF BOTH PARTIES

1. PENJUAL wajib menyediakan dan menjamin tersedianya Batubara dengan kualitas dan kuantitas sesuai
Perjanjian ini dalam waktu yang disepakati bersama dan Batubara yang diperjualbelikan dalam Perjanjian ini
bersumber dari tambang yang mempunyai Izin Resmi Penambangan dari Pemerintah Republik Indonesia.
SELLER shall provide and ensure the availability of Coal with the quality and quantity in accordance with this
Agreement in a mutually agreed time and Coal is traded in this Agreement are sourced from mines that have
Official Permission from the Mining Department of the Government of the Republic Indonesia.

2. PENJUAL wajib menjamin bahwa Batubara yang dijual kepada PEMBELI sah dan legal menurut Undang-
Undang Negara Indonesia, mempunyai kelengkapan dokumen dan legalitas memadai dan dapat
dipertanggungjawabkan.
SELLER shall ensure that the Coal to be sold to BUYER is valid and legal according to State Law of Indonesia,
and has a complet, adequate, and reliable documentations and The legality.

3. PENJUAL wajib menjamin sepenuhnya bahwa PEMBELI tidak akan menerima tuntutan dari Pihak
manapun baik Pihak Swasta ataupun Pihak Pemerintah, termasuk jika terjadi sengketa yang berhubungan
dengan legalitas maupun segala sesuatu yang menyangkut Batubara yang sedang ditransaksikan.
SELLER shall fully guarantee that BUYER will not accept claims from any Party either Private or Government,
including in case of disputes relating to the legality as well as everything related to Coal that is being
transacted.

4. PEMBELI wajib membayar harga Batubara sesuai dengan kualitas dan kuantitas yang telah disepakati

BUYER shall pay the price of Coal in accordance with the quality and quantity are mutually agreed upon based
on an Independent Surveyor result.

5. PENJUAL wajib membayar pajak, retribusi dan pungutan resmi Instansi terkait dengan transaksi jual-beli
ini.
SELLER must pay taxes, levies and duties related Official Agencies relating to all sales transactions.

6. PARA PIHAK wajib mentaati dan menjalankan seluruh prosedur atau tata cara dalam Pasal-Pasal
Perjanjian ini dan siap mempertanggung jawabkan secara hukum apabila terjadi pelanggaran atas Pasal-Pasal
tersebut.
BOTH PARTY are obliged to obey and execute all the procedures that have been stated in the Articles of this
Agreement and are ready to take responsibility by law in case of violation of these Articles.

PASAL 12 / ARTICLE 12
SANKSI / SANCTIONS

Apabila terjadi kondisi Batubara ditolak / rejected, maka PEMBELI berhak menolak Batubara yang disiapkan /
telah dimuat tersebut, dan PENJUAL wajib menggantikannya dengan Batubara sesuai dengan bunyi Perjanjian /
Kontrak yang telah disepakati oleh kedua belah Pihak, sebagai bentuk wan-prestasi dari Pihak PENJUAL, dalam
waktu 5 (Lima) hari setelah tanggal tertolaknya Batubara.
In the event the condition of Coal declined / rejected, then the BUYER has the right to refuse Coal which
prepared / loaded, and SELLER shall to replace it with the new Coal in accordance with the written in this
Agreement / Contract as agreed by both Parties, as SELLER’s responsibility, in 5 (five) days after the date of Coal
utterly rejected.

PENJUAL wajib mengganti segala kerugian yang ditanggung oleh PEMBELI, meliputi penggantian biaya
demmurage atas Vessel yang telah disewa oleh PEMBELI.
SELLER is obliged to replace any loss incurred by the BUYER, including the replacement cost of the Vessel’s
demurrage which has been chartered by the BUYER.
Apabila PEMBELI membatalkan Perjanjian setelah PEMBELI mengeluarkan Surat Permintaan Batubara, dan
PENJUAL melakukan persiapan penyediaan Batubara, maka PEMBELI bertanggungjawab membayar seluruh biaya
sesuai harga Batubara Pasal 5 Perjanjian ini disesuaikan dengan jumlah Batubara yang telah dipersiapkan.
If the BUYER is to cancel an Agreement issued after the BUYER has issued Purchase Order, and the SELLER has
been engaged in preparing the Coal supply, BUYER IS responsible to pay all appropriate fees Coal Prices in Article
5 of this Agreement and adjusted by the amount of Coal that had been prepared.

PASAL 13 / ARTICLE 13
PEMBERITAHUAN / NOTICES

Semua surat-menyurat atau pemberitahuan yang perlu dikirim oleh masing-masing Pihak kepada Pihak yang lain
mengenai atau sehubungan dengan Perjanjian ini harus dilakukan dengan Surat Tercatat atau melalui Ekspedisi,
atau facsimile atau e-mail kepada alamat berikut ini:
All correspondence or notifications that need to be submitted by each Party to another Party on or in connection
with this Agreement must be made by Registered Mail or through Expedition or, facsimile or e-mail to the

PASAL 14 / ARTICLE 14
HUKUM / LAW

Perjanjian ini dibuat dan tunduk kepada peraturan Hukum Pemerintah Republik Indonesia.
This Agreement is made and subject to regulations and Laws of the Government Of Republic of Indonesia.

PASAL 15 / ARTICLE 15
PENYELESAIAN PERSELISIHAN / DISPUTE SETTLEMENT

Segala perselisihan yang timbul antara kedua belah Pihak akibat Perjanjian ini, maka terlebih dahulu akan
diselesaikan secara musyawarah dan kekeluargaan dalam jangka waktu 60 hari kerja. Apabila tidak tercapai
kesepakatan penyelesaian, maka kedua belah Pihak sepakat menyelesaikan melalui Badan Arbitrasi Nasional
Indonesia (BANI), yang hasilnya final dan mengikat.
Any dispute arising between the two sides due to this Agreement; it will first be settled by deliberation and
arnicably within a period of 60 working days. If the settlement Agreement is not reached, then both Parties agree
to resolve through the Indonesian National Arbitration Board (BANI), Indonesia, whose decision is final and bound

Jika timbul perbedaan persepsi, maka Perjanjian dalam Bahasa Indonesia akan dijadikan acuan.
Should there be misperception or misinterpretation, then the Agreement in Bahasa Indonesia shall prevail.
