MEMORANDUM OF AGREEMENT

This Memorandum of Agreement is made and entered into, in the City of

Zamboanga, Philippines by and between:

GOOD SHEPHERD TRAINING AND ASSESSMENT CENTER, INC., a duly

registered and recognized technical-vocational institution under the Philippine laws, with
office address at 109 Old Higway, Guiwan, Zamboanga City, represented by its
President, JOSEPHINE E. SARDUA herein after referred to as the “First Party”.

____________________________________, a private establishment existing

under the laws of the Republic of the Philippines, with office address at San Roque,
Zamboanga City represented herein by its owner ________________________ herein after
referred to as the ‘‘Second Party’’.

WHEREAS, the GOOD SHEPHERD TRAINING AND ASSESSMENT CENTER,

INC. is offering COMPUTER SYSTEMS SERVICING NC II, a duly registered
ELECTRONICS SECTOR program under Technical Education and Skills Development
Authority (TESDA), entered into partnership with
__________________________________________________ where trainees/learners will
be expose for 280 hours a required training duration to actual industry experience, and to
enable them to acquire the necessary knowledge, skills, attitudes and values of work they
deserved.

This documents relates to the Memorandum of Agreement which consist of two (2)
