CAPITAL INCREASE 49% PRELIMINARY TO BE A PARTNER

CONTRACT:

This contract, registered with the Ankara trade registry directorate Kızılırmak Mah. Muhsin
Yazıcıoğlu Cad. No:29/3 Çankaya / ANKARA active at the address of REAL ÜSTYAPI
İNŞAAT MÜHENDİSLİK TİCARET LTD. ŞTİ. established in the center of TIM TOWER ,
between the Company Manager Sayavash Mammadzada on behalf of the company and its
CEO MCLACHLAN F.GRAHAM on behalf of GCUBE UNDERWRITING LIMITED with
its headquarters (residence) at 155 Fenchurch St.LONDON-ENGLAND

It is the contract arranged for GCUBE UNDERWRITING LIMITED, which will become a
partner later, to pay 5,650,000,00.- (Five Million Six Hundred and Fifty Thousand) EURO as
a prepayment as a capital value for becoming a partner in the shopping mall and the
construction and completion of the common areas.

ARTICLE 1- PARTIES
Established by the laws of the Republic of Turkey. REAL ÜSTYAPI İNŞAAT
MÜHENDİSLİK TİCARET LTD. ŞTİ. located at the address of Kızılırmak Mah. Muhsin
Yazıcıoğlu Cad. No:29/3 Çankaya / ANKARA (hereinafter referred to as "partner 1") The
authorized person whose name and signature is represented below.

AND

MCLACHLAN F.GRAHAM, CEO, on behalf of GCUBE UNDERWRITING LIMITED,

resident at 155 Fenchurch St.LONDON-ENGLAND (hereinafter referred to as "partner 2")
The authorized representative, whose name and undersigned is represented below.
Partner 1 and partner 2 are hereinafter individually referred to as "Partner" and "Party"
collectively as "Partners" and "Parties".

ARTICLE 2-IN THE SCOPE OF

REAL ÜSTYAPI İNŞAAT MÜHENDİSLİK TİCARET LTD. ŞTİ. registered in Ankara
Trade Registry real estate investments, shopping mall, business center etc. in the regions.
REAL İNŞAAT, registered in its name and partially completed, pursuant to the partnership
agreement made in order to become a shareholder of 49% through capital increase.

For the completion of TIM TOWER, "Partner 2" will pay 5,650,000,00.- (Five million six
hundred and fifty thousand) Euros to the bank account of "PARTNER 1" as an advance to the
partnership participation fee.
