COMPROMISE AGREEMENT

This agreement is entered in to this ____day of _____________ 2021, in the City of San
Fernando, Pampanga, Philippines, by and between –
SECOND PARTY

ROYMED PHARMACEUTICAL/ MR. PAUL A. SANCHEZ, a

sole proprietor engaged in the selling and distribution of
pharmaceutical products, and with address at Lot 19 Block 25 J.P Rizal
Co. Jaena St. Kalayaan Village Barangay Quebiawan, City of San
Fernando, Pampanga and represented by its Legal Officer MARK
LOUIS B. BATI, herein referred to as the “FIRST PARTY”;

- AND -

Ms. Marites Dis-Ag Sabido, Filipino, of legal age, and the owner of
OCTOBER PHARMACY with address #57 M. Castillo St., Libsong
West, Lingayen (capital) Pangasinan, Region 1 herein referred to as the
“SECOND PARTY”

-WITNESSETH -
Roymed Pharmaceutical owned by: Paul A. Sanchez

WHEREAS, the SECOND PARTY is one of the FIRST PARTY client’s, that the SECOND
PARTY purchase pharmaceutical products from the FIRST PARTY;

WHEREAS, the SECOND PARTY acknowledges that she is indebted to the FIRST PARTY for
the bounced checks and unpaid invoices with the following details:

FIRST PARTY

Total: 46,894.50

WHEREAS, in order to buy peace between the FIRST PARTY and the SECOND PARTY they
have agreed to avoid litigation, as between them, by entering into this compromise agreement;

NOW THEREFORE, for and in consideration of the foregoing, the parties hereto have agreed on
the following terms:

1. SECOND PARTY acknowledge that she is indebted to the FIRST PARTY amounting to
FORTY-EIGHT THOUSAND EIGHT HUNDRED ONE PESOS AND 34/100 (P
48,801.34) with legal fees included;

2. That SECOND PARTY will pay the FIRST PARTY the minimum amount of FOUR
THOUSAND SIXTY-SIZ PESOS AND 78/100 (P 4,066.78) every 30th of the Month
starting July 2021 until July 30, 2022 or the span of 12 months;

3. Both Parties agreed that all payment will be collected by Jeffree Garcia ( Sales
Representative of Roymed Pharmaceutical Assigned at Pangasinan); a collection receipt
will be issued as proof of payment;

4. That in case the due date falls on a non-working day, or is declared a holiday or work is
otherwise suspended by other natural causes, payment shall be made by the SECOND
PARTY on the next business day;

 5. That in the event SECOND PARTY fails to pay any of the weekly installments when
due, the entire obligation shall become due and demandable without the need of a
demand;

6. The parties hereto hereby expressly warrant that all consent and requirements necessary
for them to enter into this agreement have been duly obtained/ secured/ complied with.

7. Any legal action arising from this contract shall be filed in City or in the City of San
Fernando (P).
