Dear Avnnika,

We, IVY Minds Learning Solutions Private Limited (‘Company’) are pleased to engage your services as
“Associate Educator” and to perform, observe and conform to such duties, directions and instructions assigned
or communicated to you by the management and those in authority over you, on the following terms and
conditions:

1. The Company hereby appoints and retains you for providing services set out in “Annexure A&B”
(“Services”) on its Platform and ongoing assistance to the Company in connection with the Services and
all ancillary and incidental matters. The “Platform” shall mean the online platform created by the Company
for education in all disciplines, online, distinct, correspondence courses, coaching classes for any stream,
any level, any profession designed for parents to find and book classes for the benefit of their child or
children (“Students”) and for teachers to market, sell and conduct their classes.

2. As per our discussion, your engagement commences from 7th April 2022

3. Your fees as per (Annexure ‘C’ & ‘D’) will be in lieu of all professional charges and expensesincluding
the office expenses but excluding any out of the pocket expenses and costs incurred by you.
Compensation paid by the Company is strictly confidential and you shall not discuss it with anyone.

4. You shall remain available for a minimum 30 number of hours per calendar week ( i.e. 5 Hours per day
as per your shift ) for providing the aforesaid services. In case you are unable to make minimum 30
hours per calendar week, for any reason whatsoever, you shall compensate the number of absent hours
in the concerned calendar month.

5. A teacher who is selected for Night shift if agrees to take a class during the day, this will not be counted
in the number of available hours given for the Night, but additional hours

6. A teacher who is selected for Day shift if agrees to take a class during the Night, this will not be counted
in the number of available hours given for the Day, but additional hours

7. You agree that you shall be using the data provided to you by the Company in respect to the Services
exclusively with the Company.

8. This offer is valid only after successful completion of the training period and satisfactory assessment of
the demo parameters. However, after accepting the Letter of Intent you are required to undergo
Additional Training and only after successful completion of the said Additional Training you shall be
allowed to proceed with your engagement with the Company and take classes otherwise your
engagement with the Company as per this offer letter shall be terminated with immediate effect and with
no costs and liability to the Company

9. You agree and confirm that in relation to your access of the Platform, you shall not:

9.1 Upload, post, email or otherwise transmit any communication on the Platform that is unlawful, harmful,
threatening, embarrassing, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, deceptive,
fraudulent, invasive of another's privacy, hateful, or sexually explicit.
9.2 Harm minors in any way;

9.3 Impersonate any person, entity or official or falsely state or otherwise misrepresent your affiliationwith a
person or entity;
9.4 Forge headers or otherwise manipulate identifiers to disguise the origin of any communication transmitted
on, to or through the Platform;
9.5 Upload, post, email or otherwise transmit any communication that you do not have a right to transmit
under any law or under contractual or fiduciary relationships (such as inside information,including but not
limited to proprietary or confidential information learned or disclosed as part of employment relationships
or otherwise barred from disclosure pursuant to the terms of a confidentiality agreement);
9.6 Upload, post, email or otherwise transmit any communication that infringes any patent, trademark, trade
secret, copyright or other rights of any party;
9.7 Upload, post, email or otherwise transmit "junk mail," "spam," "chain letters," "pyramid schemes,"or any
other form of solicitation, except in those areas which may be designated for such purpose;
9.8 Upload, post, email or otherwise transmit any material that contains software viruses or any computer
code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or
hardware or telecommunications equipment or any other similarly destructive activity;
9.9 Interfere with or disrupt servers or networks connected to the Platform, or disobey any requirements,
procedures, policies or regulations of networks related to the Platform; and
9.10 Violate any applicable national or international law.

10. You shall undertake that the Services shall be performed in the following manner:

10.1 You shall perform Services as directed by the Company from time to time and in accordance withthe
standards set forth by the Company from time to time;
10.2 All the Services provided by you are in compliance at all times with all applicable ethical and moral
standards, laws, rules, and regulations. In the event that any disciplinary actions or (or other) malpractice
actions are initiated, you shall promptly inform the Company of such action and shall make a full and fair
disclosure of all relevant facts, documents and issues to the Company;
10.3 You shall follow quality and regulatory parameters as applicable for rendering Services;
10.4 You shall recognize that the relationship of trust and confidence with the Company and shall make every
effort to perform the Services with the highest professional standards and in mannerconsistent with the
standards provided by the Company from time to time;
10.5 You shall coordinate always with the designated representative of the Company;
10.6 You shall not at any time during the Term of your engagement destroy, cancel obliterate, spoil, embezzle,
spend make away or take copies of books papers, documents related to Services, students data, reports,
any other records, documents of the students or any other person for whom Services are performed which
shall be deposited in your hands or which shall come to your custody or possession;
10.7 You shall ensure the accuracy of all students reports including any information generated by theyou during
the course of or relating to the provision of the Services;
10.8 You shall ensure that no act of negligence is committed by you in respect of the Services rendered by
you;
10.9 You shall at all times keep the secrets of the Company and his affiliates or partners and of your students
confidential and shall not divulge the names and affairs of such students and any otherpersons associated
with the Company;

10.10 You shall be responsible and liable to make arrangements of all necessary electronic equipment including
but not limited to laptops, internet connection, mic, earphones/headphones, etc. at your own cost to
conduct smooth and uninterrupted classes and shall always be responsible to work on a stable internet
connection with proper background as per the standards of the Company. In case of breach, the
Company will give you seven days’ written notice to cure the breach you’re your failure to comply/cure the
breach within the aforesaid period of seven days would result in immediate termination of your
engagement with the Company without any cost and liability to the Company. In case of any outstanding
payable by the Company, the same shall be forfeited with immediate effect and you agree to the same
without any protest and demur. The Services shall be carried out by you with all due dispatch, care,
accuracy and attention and in accordance with good industry practice;
10.11 You shall ensure that no act of negligence is committed by you in respect of the Services rendered by it;
10.12 You shall deal with the Company dutifully and in good faith, in relation to the provision of the Services and

not undertake any activities which may conflict with the Services to be provided to the Company;

10.13 You shall, upon the occurrences of the circumstances that cause any delay in the provision of Services
which may prevent you from providing the Services, promptly notify the Company and provide
recommendations as to how such circumstances can be avoided;
10.14 You shall at all times maintain high standard of ethics while performing the Services and you shall not
indulge in acts of moral turpitude including but not limited to sexual harassment, disruptive behavior,
substance abuse and any criminal activity;
10.15 You shall render your Services in accordance with and subject to the standards provided by the Company
under Annexure A and any other standards as may be adopted by the Company fromtime to time;
10.16 Without prejudice to the terms of your engagement, the Company shall at any time during the subsistence
of your engagement, have the right to reject any part of your Services, which to the satisfaction of the
Company is found not to be in compliance with the requirements. In such a situation, the Company may
instruct you to re-perform the rejected portion of the Services.
10.17 You shall comply with the instruction of the Company within a reasonable time, which shall be the time (if
any) specified in the instruction.
10.18 You shall perform the Services with due skill and care, to a standard to be reasonably expected from a
competent and professional teacher providing such Services.
10.19 You shall not represent any company or organization whose interests’ conflict or compete with those of
the Company without Company’s express prior written consent.

11. You agree and confirm that, the Company shall not be liable for any errors made by you in performing the
Services or any errors made while performing the Services and the Company shall not be responsible for
and disclaims any and all liability related to any deficiency in the Services provided by You. You further
agree and confirm that the Company shall not be responsible for poor training/teaching undertaken by
you while performing the Services or any wrong Services being given by You, or any negligence
committed on your part. You also agree and confirm that the Company shall not be responsible for any
findings in the Services that represent the breach in standard of care to be taken by you. You indemnify
the Company in this regard. You shall indemnify the Company from any direct, indirect, incidental, special,
consequential or exemplary damages, including but not limited to use, data, records, student reports or
other intangible losses (even if Company has been advised of the possibility of such damages), resulting
from the performance or nonperformance of the Services by you and form the circumstances suffered by
the Company as mentioned in this Clause. In no event will the Company be liable, for special, indirect, or
consequential damages in connection with or arising out of your engagement with the Company.

12. You will not be entitled to claim or stake any claim including claim of employment, permanent or
temporary, or any damage, loss or compensation of any sort whatsoever against the Company. You will
not be entitled for provident fund, gratuity or other statutory payments.

13. During the Term, you shall not render any similar services to any other organization or person which are
directly or indirectly competing with the activities of the Company without obtaining the prior written
consent of the Company.

14. During the validity of this Agreement, you shall not circumvent the Company in any manner whatsoever.
“Non-Circumvention” means that You shall not make any contact, verbal or written with any third-party
introduced by the Company or its representative or Students, without the express permission of the
Company. Any proven circumvention in this period with respect to the engagement and subsequent
closure of the relevant understanding with the Company, shall lead you to being liable to paying the due
fee. Further, you shall not employ, solicit for employment, or recommend for employment any person
employed by the Company, during the Term and for a period of two (2) years.

15. The Company will deduct taxes at source as may be required under applicable laws.

16. Your services may be utilized by the Company and/or any of its affiliates.

17. You will maintain confidentiality of information relating to the Company, which is not in the public domain,
received by you or entrusted to you in the course of your appointment. However, such information may
be disclosed to any authority where so required by law or to other professional advisers who are working
with the Company in particular manner.

18. You shall be governed by the policies of the Company as may be applicable to you and as intimated to
you from time to time.

19. You acknowledge and agree that the Company has exclusive ownership in the patents, copyrights, moral
rights, trade secrets, mask works, trademarks, service marks and other intellectual property rights in all
work product in relation to the Services and the Company will have full rights to use the work product
without any claim on your part and waive all rights in relation thereto. The work assigned to shall be
deemed a “commissioned work” and “work made for hire” to the greatest extent permitted by law; and the
Company shall be the sole author of all such works and the sole owner of the original materials embodying
the work, and/or any works derived therein.

20. You will not accept any present, commission or any sort of gratification in cash or kind from any person,
Students, party, firm or company having any relation with the Company and if you are offered any, you
shall immediately report the same to the management of the Company.

21. The Company or you may terminate the appointment by giving 30 calendar days’ prior written notice
to the other, without assigning reason, and on expiry of the period of such notice, this arrangement
shall stand terminated. If you fail to serve the aforesaid 30 days’ notice period, the company will
compensate for the inconvenience borne by its students by forfeiting any outstanding payables/salaries by
the Company to you and further, you shall be liable to pay compensation/due fee as may be determined
by the Company.

22. The Company reserve the right to immediately terminate your engagement for reasons of (i) if the
performance of the students is not up to the mark for a continuous period of 3 months which will be
determined based on a pre decided evaluation scale;(ii) if there is a no show from you for 2 consecutive
days without intimation; (iii) if there is a pattern of absences, however with intimation, over a period of
time (during which we had to arrange for substitutes/alternatives to take your classes); (iv) if you have
manipulated with the teaching data provided by you which caused change in the learnings of the Students;
(v) willful misconduct or gross negligence on your part (including a material willful violation of the
Company’s corporate governance and ethics guidelines and codes of conduct provided to the Executive)
that causes material harm to the Company; (vi) your willful and continued failure (other than as a result of
physical or mental incapacity) to perform your duties or to follow the legal direction of the Company;(vii)

you being convicted of, or pleading guilty to a felony or a crime involving moral turpitude; (viii) your willful
theft, embezzlement or act of comparable dishonesty against the Company; or(ix)a material breach by
the you of these terms and conditions of your engagement.

23. Upon termination of your appointment, you will immediately surrender to the Company all databases
entrusted to you in the course of appointment. You will also surrender any physical property that belongs
to the Company and is in your possession.

Please signify your acceptance of these terms and conditions of appointment by signing the duplicate copy of this
letter and returning the same to us for the Company’s records.

Annexure – B

Responsibilities of educator:

● Preparation:
o We expect you to download/open and thoroughly study the content/lesson plan shared with
you before the class. A satisfactory preparation would account towards facilitating the queries
from the students and nurturing their curiosity.
o Your facilitation of questions must not be in terms of direct explanation but guiding students
towards the answers and allowing them to pursue their inquiry further.
● Support:
o You are required to take support from your point of contact in case of questions and difficulties
towards preparation and any other operational challenge.
● Being Punctual:
o We expect you to block your calendar in sync with your commitments to BeyondSkool.
o You are expected to login five minutes prior to your session.
o In case of a medical emergency or any delay we expect you to keep the point of contact
updated regarding the same.
● Bonding with students:
o We encourage you to develop a healthy bond with your students. This will allow you to
improvise and execute your sessions better.
o Make the classroom a welcoming environment for all children.
o Equitable attention must be given to all children during the class.
o Each child should be praised and valued for what he/she brings to the table.
● Learning Outcomes:
o You are expected to plan and deliver your sessions considering the mentioned learning
outcomes as a take away from the session.
● Assignments:
o You are required to assess the assignments periodically with your students and update your
point of contact in case of discrepancy.
● Setup:
o We expect you to have a working laptop with good internet speed.
o While delivering online sessions you are expected to be sitting in a well lit up room with
minimum background noise.
o Ensure your workplace is clean and uncluttered.
o Be professionally dressed and well groomed.
● Module Completion:
o As an educator you are responsible to complete the delivery of the module you start or
assigned with. A particular module comprises 12 sessions of 60 minutes each, spread
across three months.

Annexure – C
Trial class commercials:

● You will be paid a fee of INR as per the table below depending on the time slots. The trial class
comprises of 60 minutes conducted at your end. If we cancel the class 3 hours prior to the class time,
you will not be paid for it.
● In reference to the trial sessions conducted by you, you will separately be paid INR for per student as
per the table below, in case a student from your trial class enrolls for the paid sessions.
● You have to login 5minutes before the class failing which there will be a 25% deduction on the
payout of that class, anything beyond that will be 50% payout of that class.
● The payout for the trial classes will be processed by the end of every month.

Annexure – D
Regular class commercials:

● You will be paid INR per session comprising of 60 minutes as per the table below. The payout will
happen regularly by the 9th of everymonth. A regular class is considered complete after a teacher
conducts an entire 60 minutes class and then fills out the evaluative student performance data (as
required) by the end of the class. This will differ across teachers based on when they joined
BeyondSkool.
