FACEBOOK SHOP AUTOMATION AGREEMENT

This Facebook Account Management Agreement (the ‘Agreement’) is made and effective
this day

AND: Douglas Martin Garcia Aleman (the “Manager”)

RECITAL 

WHEREAS, the Manager is an individual that provides Facebook management service to

Facebook Shop business account owners. 

WHEREAS, Client wishes to retain the Manager’s service for the purpose of
providing the Service stated in this Agreement. 

WHEREAS, Manager and Client wish to execute this Agreement to set forth the
terms of engagement. 

WHEREAS, The Parties have entered into this Agreement on their own free will and
agree to the following: 

NOW, THEREFORE, in consideration of the foregoing, and the mutual promises

herein contained, the parties hereby agree as follows: 

For the purpose of this Agreement, the Word “Service” shall mean all the services
listed in Section 1 of this Agreement. 
 1. SERVICES 

Upon the execution of this Agreement on the date hereinabove, it is

understood that the Manager shall use its best reasonable and
professional knowledge to provide the 
management Service stated below: 

1. The Manager shall use its reasonable and professional efforts to

manage the Client’s Facebook Shop and Facebook Marketplace.
2. The Manager shall supervise and coordinate the activities of the
Client’s Account. 
3. The Manager shall also use its professional experience to increase
the growth of the Client’s Facebook Drop Shipping.  
4. The Manager shall be responsible for the management of
Inventory. 
5. The Manager shall handle all Customer related services. 
6. The Manager understands that he shall be required to keep up-to-
date records of all monthly sales and Revenue reports. 
7. The Manager shall make these record documents available to the
Client upon request.
8. The Manager shall conduct product research, select and assess
profitability of product prior to listing on Facebook Shop.
9. The Manager shall communicate with suppliers. 

Product Research: The Manager shall carry out product research and shall be responsible
for processing orders. The Client understands that it shall be responsible for providing all
the needed information, tools and resources required to carry out the research.  

So that Manager will be able to carry out duties, Client agrees to provide the Manager with
all other documents, grant access, login credentials, and such other proprietary information
as may be requested by the Manager from time to time. 

Order Processing: Once the Manager acknowledges payment from the Client for
purchases, the Manager shall process orders in-house. 
2. PAYMENTS 

Setup Fee: Setup Fee: The Client expressly agrees to pay a ($500). which will be sent as
an initial deposit for the service from the manager. which will be credited with $ 500 Five
Hundred

Profit Share: There profit-sharing agreement between the Client and the Manager. The
Manager expressly agrees that the net-profit generated from the account after investment is
recouped, shall be reporting 50% client and 50% manager.

4. TAXES 

The Client shall use all efforts to obtain licenses and Reseller permits as required to sell the
Products within the United States, and be responsible for the filling of the relevant Federal
and State taxes as required by law. 

5. INTELLECTUAL PROPERTY RIGHTS 

i. Retained Rights. Each party will retain all right, title, and interest in and to its own
Pre-Existing Intellectual Property irrespective of any disclosure of such Pre-Existing
Intellectual Property to the other party, subject to any licenses granted herein. 

ii. No Rights to Client Intellectual Property. Except for the limited license to use materials
provided by Client as may be necessary in order for Manager to perform Services under
this Agreement, the Manager is granted no right, title, or interest in any Client Intellectual
Property. 

6. SUSPENSIÓN 

In the event the Client’s Facebook account is suspended, by one of the next but not
limited to the following situations: i) Failure to Address Intellectual Property Complaints,
ii) Operating Multiple Facebook, iii) Facebook Account Hackers, iv) Sale of restricted
products, v) Inauthentic complaints vi) Using images/texts without permission-copyright
infringement vii) Facebook accused of unauthorized sales, viii) Failure to meet Order
Defect Rate target. The Manager will immediately create a plan of action and appeal the
suspension, the appeal process might take up to six weeks. 
7. WARRANTIES 

The Manager warrants that:

1. It will perform the Services hereunder in a professional and workmanlike manner, 

2. It has all necessary permits and is authorized to do business in all jurisdictions where
Services are to be performed, 

3. It will comply with all applicable federal and other jurisdictional laws in
performing the Services, 

4. It has all rights to enter into this Agreement and there are no impediments to
Manager’s execution of this Agreement or Manager’s performance of Services
hereunder. 

5. The client shall get a refund over the initial investment in case the manager
didn’t report any sales twelve months period.

8. TERM 

This Agreement shall be effective and be in full force from the date of signing below
and shall continue in full force for a duration of one (1) year. The client can cancel this
contract at any-time within the first year. After the first year of service ends, the
program will be continued indefinitely if either party does not cancel the service; no
contract renewal will be needed and nor an enrollment fee will be paid. 

9. LIMITATION OF LIABILITY 

Except as set forth in this section below, in no event will either party be liable for any
special, indirect, incidental, or consequential damages nor for loss of data, profits or
revenue, cost of capital or downtime costs, nor for any exemplary or punitive damages,
arising from the services provided in this Agreement or any claim or action, incidental or
collateral to, or directly or indirectly related to or in any way connected with, the subject
matter of the agreement, whether such damages are based on Agreement, tort, statute,
implied duties or obligations, or other legal theory, even if advised of the possibility of
such damages. 
10.MISCELLANEOUS 

i. Governing Law. The Agreement shall be governed by the laws of the US.. 

ii. Severability. The Parties recognize the uncertainty of the law with respect to certain
provisions of this Agreement and expressly stipulate that this Agreement will be
construed in a manner that renders its provisions valid and enforceable to the
maximum extent possible under applicable law. To the extent that any provisions of
this 

Agreements are determined by a court of competent jurisdiction to be invalid or

unenforceable, such provisions will be deleted from this Agreement or modified
so as to make them enforceable and the validity and enforceability of the
remainder of such provisions and of this Agreement will be unaffected. 

iii. Force Majeure. Neither Party shall be liable for any failure to perform under this
Agreement when such failure is due to causes beyond that Party’s reasonable control,
including, but not limited to, acts of state or governmental authorities, acts of terrorism,
natural catastrophe, fire, storm, flood, earthquakes, accident, and prolonged shortage of
energy. If the delay remains in effect for a period in excess of thirty days, the Client may
terminate this Agreement immediately upon written notice to the Manager. 

iv. Entire Agreement. This document contains the entire agreement between the Parties and
supersedes any previous understanding, commitments or agreements, oral or 
written. Further, this Agreement may not be modified, changed, or otherwise altered in
any respect except by a written agreement signed by both Parties.
