Sales of Goods Agreement

Vibha is a retailer and manufacturer of automobiles and the owner of a company Thakur
Brothers (Indore) Pvt Ltd, which is an unlisted private company incorporated on 06 April,
1950. It is classified as a private limited company and is located in Indore, Madhya Pradesh.
The company is a retailer and manufacturer of automobiles. It offers new cars, used cars, and
repair services.
Geetika is the director of the company called “Geet engineering Locomotive company limited”,
which is a manufacturer of auto parts. Her company is located in Khandwa. The most selling
product of Geet engineering Locomotive company limited is chassis, that is the base frame of
a car, carriage, or other wheeled vehicle.
Thakur Brothers (Indore) Pvt Ltd used to get their auto parts from a manufacturer in United
Arab Emirates but the growing tensions and scenes of war between UAE and Yemen has
affected their international trade. So, as an alternative, Vibha has placed an order to Geetika
for supply of 180 chassis to their company’s warehouse, plot no. 22, RNT Mark, Indore-Devas
Road, located on the outskirts of Indore on 17th April 2022.
It is agreed upon by both the parties that, should the company fail to deliver the auto parts by
the said date, their deal stands terminated. After the supply of chassis, within thirty days, the
amount of bill, that is 7,36,169 Rs is to be paid by Thakur Brothers (Indore) Pvt Ltd. via net
banking. It is also specifically made clear that if the amount of the bill is not paid within thirty
days, then the seller company shall be entitled for interest at the rate of 5% per month.
