MEMORANDUM OF ASSOCIATION OF SOCIETY

1) Name of the society shall be: “BIMAL MANJU DALMIYA

FOUNDATION SOCIETY”
2) a) The Registered Office of the society shall be situated at:
1st floor, flat no- 1, P-554B, BLOCK-N, DIAMOND
HARBOUR ROAD, New Alipore, Kolkata, West Bengal –
700053, P.S- New Alipore, Dist- South 24 Parganas.
b) The nature of the society is like society welfare
organization.
3) The name stated in the memorandum shall not -
a) be identical with or resemble too nearly to the name of an
existing society registered under this act or any previous
society law; or
b) be such that its use by the society-
i) will constitute an offence under any law for the time
being in force; or
ii) is undesirable in the opinion of the Central Government.
4) The area of operation of the Society shall be all over India.
5) The Aim and Objects to be perused by the society under are
as follows:-
a) To acquire, establish, start, aid, run, maintain or manage
underprivileged children, woman, old age home, animal
rescue, support Indian classical dance forms and Indian
classical music.
b) To provide daily nutrients to unfed children and woman.
c) To provide work to underprivileged single mothers to earn
their daily necessity.
d) To help peoples living in old age homes by providing them
with food and daily essentials.
e) To promote, encourage the advancement of Indian classical
dance forms.
 f) To work for the happiness of the down trodden needy
people for their primary needs such as food, clothing, and
education for the prosecution of studies.
g) To help the needy students of all communities.
h) To improve and develop Social awareness camps from time
to time.
i) To organize an ambulance for free rendering services to the
needy patients.
j) To establish and maintain basic and adult education centres
to remove illiteracy.
k) To arrange and organize dead body carrier for free
rendering services to help the needy people of the society.
l) Any charitable purpose including the care of relief of
orphans or of aged, sick, helpless or indigent persons.
m) The alleviation of the sufferings of animals.
n) Promotion and development of agriculture, irrigation and
animal husbandry as being objects beneficial to the small
farmers.
o) To raise money for the purpose of running of the Society in
such manner as may from time to time be decided by the
Society.
p) To open charitable dispensaries, maternity home, children’s
clinics, orphanage and family planning centres, old aged
home, institution with the help of qualified personnel and
without any profit making motive.
q) To provide better placement and stage for the neglected,
talented Indian classical singer(s).
The function and objective of the society shall; always remain
restricted within the meaning of Section 4(2) of the West Bengal
Society Registration Act, 1961, irrespective of any objects
mentioned in the present document in agreement or opposed to
the said Section.
6) The income and property of the Society howsoever derived
shall be solely utilized and applied towards the promotion of
the aims and objects as set forth in the Memorandum of the
 Society and no portion thereof shall be paid or transferred
directly or indirectly by way of dividend, gift, division, bonus
or in any manner whatsoever to the profit of the present or
past members of the Society. Provided, that nothing herein
shall prevent the payment in good faith of reasonable and
proper remuneration to any officer or servant of the Society or
to any member of the Society in return for any services
rendered to the Society nor prevent payment of interest at
appropriate rates or payment of a reasonable and proper rent
for premises let out to the Society by any member thereof.

7) Member(s) of the Governing Body shall be chargeable only

for money and securities actually received by him
notwithstanding his signing any receipt for the sake of
conformity and shall be answerable and accountable only for
his own acts, receipts, neglects, or defaults and not for those
of any other Member(s), nor for any banker, broker, or other
person with whom any Society money or securities may be
deposited, nor for the insufficiency or deficiency of any
securities or assets, nor for any other loss, unless the same
happens through his own wilful neglect or default.

8) No individual Member shall be liable for any legal claims or

financial loss to the Society, arising by reason of any act (s)
done in good faith or for improper investment made in good
faith or for the negligence or fraud of an agent employed by
him even though the employment of such agent was not
strictly necessary or expedient, or by reason of any mistake or
omission made in good faith by any Member or by reason of
any other matter or thing, except wilful and individual fraud
or wrong doing or neglect on the part of the Member sought
to be made liable.
9) The names, addresses, occupations and designations of the
members of the first Governing Body to whom the
management and affairs of the Society is entrusted as required
under Section 4 (2) of the West Bengal Societies Registration
Act, 1961, are as follows:-
