PARTNERSHIP DEED

This Partnership deed is made at Gurugram on this 29th day

of February, 2022, between:-

Ashok Kumar S/0 Ghanshyam Sharma H.no 314/16 Near


Thakral Nursing Home, Shivaji Nagar, Gurugram- 122001
(Hereinafter referred to as First Party)
And

Ruby Jindal C/o Raj Kumar Jindal H.no C-1801 Umang


Winter Hills, Sector 77, Gurugram, Haryana- 122001
(Hereinafter referred to as Second Party)

And whereas the first party is doing the business of

providing Hospitality Services to Restaurants, Companies,

Parties, Organization. Event Management under the name

and style of M/S Taste Right Catering Services at Plot

no. 6, pace city 1, sector 37, Gurugram [India] and in

the name and style of “SHIRA KITCHEN”.

And whereas the second party has approached the first

party to appoint him as a partner in the aforesaid

business by first party and upon the request of second

party, the first party has agreed to commence business

in partnership for the aforesaid business M/S Taste

Right Catering Services at Plot no. 6, pace city 1,

sector 37, Gurugram [India] and in the name and style of

“SHIRA KITCHEN” and it is expedient to have a written

instrument of partnership.

NOW THIS DEED OF PARTNERSHIP WITNESSES AS FOLLOWS:-

1. That the parties here to have mutually agreed to

carry out the above said business namely M/S Taste

Right Catering Services at Plot no. 6, pace city 1,

sector 37, Gurugram [India] and in the name and style

of “SHIRA KITCHEN”.

2. Place of Business:-

The principal place of partnership business situated

at at Plot no. 6, pace city 1, sector 37, Gurugram

[India].

3. Nature of Business:

1. That the partnership business of the firm shall be

providing Hospitality/Food services to Restaurants,

Companies, Parties, Organization. Event Management

and allied business or any other business as may be

mutually decided by the partners from time to time

any other business that may be mutually agreed.

4. DURATION OF PARTNERSHIP:

The partnership firm is commenced with effect from

10.02.2022 and the duration of the partnership will

be at Will.

5. CAPITAL OF THE FIRM:


That the capital of the firm is not fixed, the

partners will invest in such proportion as mutually

agreed upon by the partners.

6. PROFIT SHARING RATIO:

That in all profit and losses & expenses of the


aforesaid project shall be divided among the
partners in the following shares and proportions:

First party Mr. Ashok Kumar 85%


Second Party Mrs. Ruby Jindal 15%

7. OPERATION OF BANK ACCOUNTS:

The firm shall open a current account in the name of


M/S Taste Right Catering Services at any nationalized
banks, scheduled Bank or any co-operative Banks and
such account shall be operated by first party.

8. BORROWING:

The firm shall require any additional capital/working


capital, shall being from any financial institution
only with written of all the partners.

9. ACCOUNTS:

The firm shall regularly maintain in the ordinary


course of business, true and correct account of all
its in comings and out goings and also of all its
assets and liabilities, the proper books of account,
which shall ordinarily kept at the firm place of
business. The accounting year shall be the financial
year from 1st April on wards and the balance sheet
shall be properly audited and the same shall be
signed by all the partners. Every partner shall have
access to the books and the right to verify their
corrections:

10. ACCOUNT PERIOD:

The accounting period of the firm shall be period of


year ending 31st March each year or any other auspices
and convenient date as may be decided upon amongst
the parties hereto.

11. MANAGEMENT
The first party will look after all the day to day
transaction of the firm and any legal activities in
the name of the firm and the remaining partners shall
co-operate to do so.

12. ADDITIONAL/AMENDMENT:

That the terms of partnership may vary amended or


added to without executing a fresh deed of
partnership. Such change shall be incorporated in a
minute book kept at the business premises for this
very purpose.

13. RETIREMANT:

If any partner shall at anytime during the


subsistence of the partnership, be desirous of
retiring from the firm, it shall be competent from
his to do so, provided he shall give at least 30 days
calendar month notice of his intention of doing so.
The continuing partner shall pay to the retiring
partner or his legal representatives of the deceased
partner, the purchase money of his share in the
assets of the firm.

14. DEATH OF PARTNER:

In the event of death of any partner/s, one of the


legal heirs of the deceased partner shall become the
partner of the firm and in event the legal
representative show their denial to point the firm,

they shall be paid the part of the purchase amount
calculated as on the date of the death of the
partner.

15. Except to the extent mentioned hereinabove, the


provisions of Indian Partnership Act, 1932 shall be
applicable to the firm and the partner.

IN WITNESS WHEREOF, this deed of partnership is


singed sealed and delivered this the day of 09th day
of february, 2022.
