This Memorandum of Understanding (MOU) sets for the terms and understanding between
the(Mr.MohammedSailGhaddafi Ismael)and(Mr.ChurchillAchuMandi)tothis(List activities).

ThisMOUwill(purpose/goalsofpartnership)
Thepartnerswish tobecomelegalpartners inbusiness.
ThetermsandconditionsoftheirpartnershipwillbeoutlinedinpartnershipagreementIf the
agreementisexecuted, thepartnership willbein effecton 18/09/2008.
The partnerships will be governed under the laws Democratic Republic of
Cameroon.Thepartnerships primarypurposeis heavydutymachineries
If applicable,the partners willobtain anynecessarylicenseandpermitsto dobusiness,registerits
doingbusiness as name(MauteyAnafstanaTransitingCompany)
Theabovegoals will be accomplishedbyundertakingthe followingactivities:

Reporting

Funding

Funding Budget:The initial investing Amount will be $25,000,000 (Twenty –Five
MillionUnitedStates Dollars)

Duration
This MOU is at-will and may be modified by mutual consent of authorized officials
from(Mr.Mohammed Sail Ghaddafi Ismael & Mr.Churchill Achu Mandi ). This MOU shall
becomeeffective upon signature by the authorized officials from the (Mr.Mohammed Sail
GhaddafiIsmael & Mr.Churchill Achu Mandi) and will remain in effect until modified or
terminated byanyoneof thepartners bymutual consent.In theabsenceof mutual agreement bythe
authorizedofficials from (Mr.Mohammed Sail Ghaddafi Ismael & Mr.Churchill Achu Mandi)
this MOUshallend on (end dateofpartnership).
