I agree to sell the above listed items at auction conducted by Royal Auction Group, Inc. (“RAG”) subject to the following terms:

1. Consignor agrees to grant RAG the exclusive right to sell the items listed above for an initial term of 90 days from the date
of this Agreement. The initial term shall be automatically renewed for an additional 90-day term unless Consignor pays all amounts
due under this Agreement and picks up all remaining items prior to the conclusion of the initial term. During the additional 90-day
term, RAG may, in its discretion, list any items for sale without Reserve.
2. Consignor agrees to pay RAG all of the following:
a. A Consignment Fee at the rate set forth below for all items sold at acution;
b. A charge of 5% of the Reserve set forth below, ($100 min to $1000 max) on any items not sold at auction;
c. Any item rolled over to the next auction will be assessed a $100 rollover fee
d. Any liquidated damages assessed pursuant to sections 3 and 4 below; and,
e. A storage fee of $20 per item per day that an item is left onsite for more than 30 days.
Consignor agrees that RAG may deduct all of the fees and charges identified in this section from any proceeds received from the
auction before delivering excess proceeds to Consignor. Consignor agrees that any interest which accrues to sale proceeds on
deposit shall be the property of RAG. To the extent the proceeds received from the auction are insufficient to satisfy all of the fees
and charges identified in this section, RAG will send an invoice to Consignor for the unpaid fees and charges, which Consignor shall
pay within 10 days. Interest on overdue amounts will be paid by Consignor at a rate of 18% per annum or at such other maximum
rate as allowed by law, together with any legal or collection costs incurred by RAG. Consignor Payments will be calculated and paid
out within 15 business days after the auction, or within 5 business days after RAG’s actual receipt of payment by the winning bidder,
whichever is later.
3. Consignor agrees to permit RAG to sell the items listed above to the highest bidder. Consignor agrees not to interfere
with the auction in any way. No consignor is permitted to bid on their own item, and a consignor bidding on their own items will
be deemed in breach of this Agreement and their Bidder’s Agreement. It is acknowledged that a consignor bidding on their own
items will cause RAG to incur costs and damages that are difficult to ascertain with certainty; therefore a consignor bidding on their
own items shall be liable to RAG for 20% of the sale price or reserve amount as liquidated damages. Such liquidated damages are
intended to represent estimated actual damages and are not intended as a penalty. In addition, RAG reserves the right to preclude
any consignor bidding on their own item(s) from consigning again Page 1 of 2

4. Consignor (and Owner, if applicable) certifies that the above-listed item(s) are free of all liens and
encumbrances and further warrants that the items have no defects not visible except as stated at auction.Consignor
must release title at the time of asset drop off - NO ITEM will be accepted without a title. Consignor’s delivery of
defective title will be considered a breach of this Agreement. It is acknowledged that the delivery of defective title will
cause RAG to incur costs and damages that are difficult to ascertain with certainty; therefore a consignor agrees to pay
$300.00 as liquidated damages for the delivery of defective title. Such liquidated damages are intended to represent
estimated actual damages and are not intended as a penalty.
5. Consignor agrees that Royal Auction Group, Inc. is acting as the selling agent only and is not responsible for
any merchandise left at sale site. Consignor must have unsold items removed from site within 30 business days of sale
date at Consignor’s own expense. RAG has the right to automatically rollover and assess fees for any item(s) left on-site
after this 30 day deadline, or remove item(s) from further auctions + store said item(s) with a $20 a day fee until item(s)
are picked up.
6. Consignor agrees that Royal Auction Group, Inc. is acting as the selling agent only and is not responsible for
obtaining or guaranteeing the payment of the sale price from the successful bidder or backup bidder. RAG makes
no guarantee of sale of any of the above listed items. Consignor agrees that, in the event the successful bidder and
backup bidder fail to make payment of the sale price within 30 days of the auction, the item will be considered unsold
and treated in accordance with the terms of this agreement pertaining to unsold items.
7. Costs and Expenses. In the event of any litigation between any of the Parties arising from or relating to the
enforcement or interpretation of this Agreement, the prevailing party is entitled to recover all costs and expenses,
which shall include attorney’s fees incurred at all proceedings, including, without limitation, before trial, at trial and all
appellate levels, against the nonprevailing party. In any such award of costs and expenses, the prevailing party shall
also be entitled to recover “fees on fees” from the non-prevailing party, meaning those costs and expenses, including
attorney’s fees, which are required to determine the amount of costs and expenses to be awarded.
8. Governing Law, Jurisdiction, and Venue. This Agreement shall be deemed to be made and entered into in the
State of Florida, and shall, in all respects be interpreted, enforced and governed under the laws of Florida. The sole
and exclusive venue and forum for any litigation arising under or related to this Agreement shall be the State Courts
of Florida located in Hillsborough County, and the parties hereby expressly waive and release any rights they may
otherwise possess to file or move any such litigation to any other Court in the State of Florida, or to any Court in any
other State, or to remove such litigation to Federal Court.

with written notice to RAG. If an item does not sell at auction, RAG may in its sole discretion reduce
the Reserve by 20% for each subsequent auction within the initial term. After the initial term, RAG
may in its sole discretion reduce the Reserve to $0.00.

Consignor agrees to supply at least a quarter tank of fuel in asset to enable Royal Auction Group
to market and show the asset before and during the live auction. Any and all fuel added to the asset will be
charged to the consignor at the current fuel rate (time of fuel addition) plus, and additional $25.00 fueling
fee.

Consignor agrees to supply a good battery. Royal Auction Group reserves the right to replace any
battery that are deemed unreliable at the owner’s expense.

Consignor agrees that the asset’s tires are in good shape and that if Royal Auction Group must
repair or replace, for safety reasons, any tires that do not hold air/or have leaks, that cost will be covered by
the seller.

Consignor agrees that the asset must have equipment keys present at drop-off. Any equipment keys not supplied
by the Consignor will be assessed a $25 fee; specialty equipment keys will be charged according to purchase price plus 20%.

Consignor agrees that any assets sold under $500 will be subject to the commission tier outlined below:

• Assets sold for $1- $100 50% Seller Premium Charge

• Assets sold for $101 - $200
• Assets sold for $201 - $300
• Assets sold for $301 - $400
• Assets sold for $401 - $500
• Assets sold for $500+
