AGREEMENT

This agreement entered into on 01st day of FEB 2022, at Denkanikottai.

BETWEEN

M/s. Indian Designs Exports Private Limited - Unit-VII & X. Situated at No 307-312, Chinna Bennagur
Village, Bennangur Post, Denkanikotti Taluk, Krishangiri District, Tamil Nadu - 635107. Represented by its
Assistant General Manager Mr. Lokesh Radha Krishnan, 44 years (Which term shall mean and include its
successors and assigns) Hereinafter referred to as “First Party“in this agreement.

AND

M.M.K. TRANSPORTS represented by its authorized signature Mr. Fayaz Basha S/o Mohammed Kassem
Aged 51 years residing at 24/A, Melkottai, 5 th Cross, Denkanikottai, Krishnagiri District, Pin Code: 635107.
Hereinafter referred to as the “Contractor” in this agreement. (Which term shall mean and include its
successors and assigns) hereinafter called the “Second Party” in this agreement.
WITNESSES as follows:

WHEREAS the First Party is a manufacturer of readymade garments and have their factory M/s. Indian
Designs Exports Private Limited - Unit-VII & X. Situated at No 307-312, Chinna Bennagur Village,
Bennangur Post, Denkanikotti Taluk, Krishangiri District, Tamil Nadu - 635107.

AND WHEREAS the First Party is looking out for transport contractors who are capable of transporting
the employees of the First Party from thir residences to the factory and from the factory to their
residences.

AND WHEREAS the Second Party is owing the public passenger transport vehicles and has experience in
providing such services to various business organizations and has offered to provide such services to the
First Party.
That the First Party has accepted the offer made by the Second Party to provide such transport services
on contractual basis.

AND WHEREAS, the First Party and the Second Party have discussed the above issue and have arrived at
this agreement, putting on record the terms and conditions of the same as given below.

TERMS & CONDITONS

1. The Bus routes to be followed under the Annexure-1 shall be as decided by IDEPL and informed
in writing to the contractor by the Unit head or any authorized person. The daily schedules,
standard Km for the route shall also form part of the contract. The KM agreed shall be from
parking point of the bus, back to parking point of the bus and no excess KM than the agreed KM
is admissible.

2. The contractor shall operate the transport services in the routes specified by the IDEPL. Any
change in the specified route may be made by IDEPL their discretion and the KM increase or de-
crease shall be mutually agreed and accepted, and placed on record.

3. Toll fee charges, if any, will be reimbursed to the Contractor, on production of original receipts
and the same shall be claimed along with the monthly bill.

4. The contractor is responsible for ensuring valid documents such as fitness certificate, vehicle
comprehensive Insurance policy, proof of road tax paid, permit copies, emission test certificates
and any other legal documents for all the vehicles operated for IDEPL as required as per RTO
and prevailing traffic rules and regulations. The contractor shall before deploying any vehicle
shall produce the originals for verification of IDEPL and thereafter submit copies of certified doc -
uments to IDEPL for their records. It shall be the responsibility of the contractor to renew all cer-
tificates before expiry and produce original for verification of IDEPL and submit the copies, on
every such renewal of legal documents.
5. The driver of the vehicle shall always wear uniform provided by the contractor and as prescribed
by RTO rules along with valid RTO documents of the vehicle, the driving license and also permit
for driving public transport vehicle.

6. In the event of any accident or untoward incidents involving any IDEPL personnel or any mem-
ber of the public, during the course of Bus service to IDEPL which results in injury to human be -
ings or damage to property, the contractor shall be held responsible and will ensure prompt ac -
tion to provide relief and damages if any in terms of costs and liabilities. The contractor agrees
that he is an independent employer and provides transportation services to IDEPL on his own
expertise and therefore shall be independently solely responsible for all the consequences un -
der all applicable laws.

7. Vehicles provided for IDEPL shall be well maintained serviced, clean and presentable at all times.
The IDEPL shall be within its rights to inspect the fitness and road worthiness of vehicles, by ex -
perts appointed by them. Any corrective action suggested by such experts shall be binding on
contractor. The contractor shall deploy only such vehicles which are certified as road worthy by
IDEPL experts.

8. Every vehicle shall be provided with a First Aid Kit sufficiently stocked and easy to operate Emer-
gency exits with laid out instructions on how to operate during eventualities as per the prevail -
ing RTO rules and regulations and the driver of the vehicle shall be first aid trained persons.

9. To start with, this contract shall cover the following routes as listed below. Change in routes
however, shall be added or deleted based on requirement by IDEPL, as stated above, in this
agreement.

10. The Invoice along with the copy of the route log as enclosed, for each bus / route duly certified
and signed by the Unit Head/Authorized person to which the Buses are attached, shall be sub -
mitted by the Contractor, to the Accounts Department of IDEPL on or before the 7 th of each
month for previous months billing. If the bills are submitted later than 7 th by the contractor, the
payment will be made only after that date and only to the extent of the bills submitted.

11. In the event of vehicle breakdowns it will be the responsibility of the contractor to arrange for
an alternate vehicle within 1 hour. If the contractor fails to arrange for an alternate vehicle for
whatever reasons, the contractor will be liable and bound to pay an amount equivalent to or ex -
ceeding the total billable amount for that bus by way of compensation for the day.( IDEPL to de -
cide on the quantum of compensation).

12. It will be the responsibility of the contractor to ensure that no driver/cleaner uses or is under
the influence of alcohol or any other intoxicated drinks while on duty. Failure to do so will
amount to gross negligence of duties for which the contractor would be solely responsible. Any
driver using mobile phone while driving shall be immediately withdrawn by the contractor from
the services of the IDEPL.
13. This agreement is valid for a period of 36 months and shall be valid for the period November
2021 to December 2024.

14. The essence of this service provided by the contractor is to ensure safe, secure, comfortable
journey and on time transportation to IDEPL personnel.

15. IDEPL shall be entitled to give 30 days’ notice to stop any route due to non-availability of work -
ers & the bills for that bus will be cleared on submission along with due certification within
seven days of the receipt of the certified bill at accounts department of IDEPL.

16. On completion of the agreement period if IDEPL desires to continue with the service the same
shall be continued at the existing rates until such time the agreement is mutually renewed.

17. All service charges will be mutually agreed between the first party and the contractor from time
to time, as and when need arrive for necessary of rates.

18. IDEPL is not responsible for any legal liabilities like Tax / Insurance / FC etc. to be paid on the ve -
hicles deployed for IDEPL services. The same shall be borne by the contractor at his own cost.

19. If the bus is late by more than 30 minutes half day amount will be levied and debited to the con -
tractors account.

20. Bills should be submitted by the contractor separately Unit wise & trip wise.

21. No advances will be paid to the contractor except monthly bill payments. It shall be the respon -
sibility of the contractor to reserve sufficient funds for purchase of diesel, maintenance of vehi -
cle, payment of salaries and statutory dues of his employees and for payment of vehicle permits,
taxes, etc.

22. The contact person at Unit for all requirements of the contractor, relating to this contract shall
be Mr. Fayaz Basha.

23. IDEPL shall not be liable for any damages or compensation payable as per law in respect or in
consequence of any accident or injury / death to any employee or labor employed directly or in -
directly by the contractor and the contractor shall also indemnify IDEPL against all such liabili-
ties, payment of compensation, any other claims, demands, legal proceedings, cost, charges,
other expenses etc., whatsoever in respect thereof or in relation there to. The contractor shall
be liable to indemnify the IDEPL in case of any liability arising against them on the above ac-
count.
24. The contractor shall at all times keep IDEPL indemnified against the liabilities incurred for all
claims of compensation under the provisions of employees compensation ACT 1923 or motor
vehicles compensation act, or any other law for the time being in force, in respect of any work-
man employed by the contractor during this agreement.

25. In case of any claims arising out of lapses in adhering to above mentioned conditions on contrac -
tors part, IDEPL shall be at liberty to recover such amount or any part thereof by deducting it
from any amount due to the contractor whether under this agreement or otherwise without
prejudice to any other remedy that be available to the IDEPL as per law. Non Compliance of any
of the conditions of this contract by the contractor, shall entitle IDEPL to terminate the contract.

26. This offer shall have the legal effect of a contract enforceable under law and subject to jurisdic -
tional civil courts of IDEPL in case of dispute.
