APPOINTMENT LETTER AS A NEGOTIATOR

Welcome to the family of Landsworth Properties Sdn Bhd. You have certainly made the right
choice to join us to a very promising advisory and sales career in real estate agency.

Your appointment shall commence on 2thApril 2021. Your title would be as Negotiator.

The appointment as Negotiator may be terminated by either party by giving a written


termination letter.

Any property belonging to the Company that may be given to you in the course of your
appointment shall be returned upon Company’s request or at anytime the Company deems
necessary.

Please indicate your acceptance of the above offer of appointment as Negotiator signing
and returning the duplicate of this letter to us within one(1) week from the date of issuance of
this letter.

CONTRACT FOR SERVICE
NEGOTIATOR

THIS CONTRACT FOR SERVICE shall commence on 2thApril 2021,

BETWEEN

LANDSWORTH PROPERTIES SDN BHD (Company No. 2010901014582 (1323910-D), a company incorporated in Malaysia under
the Companies Act, 2016 (SECTION 17) and having its place of business at Wisma Ezekiel, Lot 37-2, Jalan TTDI Gove 7/1, TTDI
Grove Square 2, 43000 Kajang, Selangor. (here in after referred to as the "COMPANY") of the one part;

AND

BOSTAMI BIN OTHMAN (NRIC NO. 610520-04-5471) an individual having an address at No 48 Jalan BSE 4/25, Bandar Seri Ehsan,
42700, Banting Selangor..(here in after referred to as the ” NEGOTIATOR") of the other part.
The NEGOTIATOR having registered with the Board of Valuers, Appraisers and Estate Agents Malaysia (BOVAEP) to provide
Real Estate Agency Services as stated in the Valuers, Appraisers, Estate Agents and Property Managers Act 1981, Malaysian
Estate Agency Standards 2020, Personal Data Protection Act 2010 and any other gazetted laws.

WHEREAS:
1. The COMPANY conducts Real Estate Agency Practice and provides professional Real Estate Agency services and is
desirous in engaging the services of a NEGOTIATOR.

2. The COMPANY agrees to provide such facilities and support as it deems necessary to the NEGOTIATOR to market
properties for sale and rent.

3. The NEGOTIATOR agrees that he/she is engaged solely with the COMPANY and must not engage in the practice of
real estate agency, nor accept commission(s) for the practice of real estate agency during the continuance of this
Contract for Service from any other person(s), company (ies) or corporation(s).

IT IS HEREBY AGREED AS FOLLOWS: -

1. PROFESSIONAL FEES

1.1 The professional fees chargeable by the NEGOTIATOR shall be as per the Seventh Schedule of the Rules 1986. When
the NEGOTIATOR collects any fee for services rendered in the sales/rentals and marketing of properties, the
COMPANY shall pay a prescribed commission as per agreed based on the net professional fee collected (after
deducting any unpaid service tax and/or referral fees) for services rendered by the NEGOTIATOR. In the event of a
dispute over the payment of commission, the COMPANY shall arbitrate and decide on the quantum and the
decision of the COMPANY shall be final.

1.2 The NEGOTIATOR shall be responsible for the collection of the professional fees for the sale/rental of any property
and the NEGOTIATOR shall not hold the COMPANY responsible for non-collection of such professional fees.

1.3 The Commission payable to the NEGOTIATOR shall be paid only upon collection of such fee from the client by the
NEGOTIATOR.

1.4 Distribution of both the Internal and External co-agency fees shall be payable as per the Company Policy Guidelines.

1.5 It is also agreed that any monies owed by the NEGOTIATOR to the COMPANY shall be deducted from any commission
due to the NEGOTIATOR and the remaining balance if any, shall become due and payable without demand.
2. EXPENSES

2.1 The COMPANY shall not be liable by the NEGOTIATOR for any expenses incurred by him/her or for any of his/her acts
during the course of executing the role of NEGOTIATOR for and behalf of the COMPANY.

2.2 The NEGOTIATOR shall be responsible for his/her personal expenses on advertising, payment to the COMPANY for the
supplies including name cards, stationaries, overseas telephone calls, postage, photocopying, printing, flyers,
signboards and other marketing tools.

2.3 The NEGOTIATOR shall not have the authority to bind, make any promises or representation on behalf of the company
for any expenses, unless specifically agreed in writing by the COMPANY to do so in a particular transaction.

3. AUTOMOBILE

3.1 The NEGOTIATOR in his/her course of work is expected to use his/her own automobile in the performance of this
agreement and any expenses incurred in the use of the said automobile shall be at the sole expense of the
NEGOTIATOR.

4. LISTINGS

4.1 All properties shall be listed in the name of the COMPANY and shall be the exclusive property of the COMPANY. The
NEGOTIATOR who has listed the property shall be the listing agent and be entitled for all commissions related to the
sale/rental of the listing. The COMPANY reserves the right to list any properties for sale/rent in 'multiple listing service' of
the COMPANY.

4.2 The NEGOTIATOR shall disclose his/her personal interest where he/she has sold his/her personal property during the
term of this Agreement to avoid any conflict of interest.

4.3 Upon termination of this contract, any unexpired listings and/or all unsold properties shall remain the property of the
COMPANY and the NEGOTIATOR agrees that he/she shall have no claim on any professional fees received by the
COMPANY thereafter.

4.4 All listings by the NEGOTIATOR shall be recorded with the COMPANY and shall be in writing in the COMPANY's
Exclusive/General Authorisation forms. However, Exclusive Authorisation to sell/rent shall always take precedence
over a General Authorisation.

4.5 The NEGOTIATOR shall not print and/or distribute flyers, brochures, printed materials and promotional items bearing
the COMPANY's name without written consent from the Principal/Director of the COMPANY. The contents of such
promotional materials shall conform and comply with the BOVEA Rules and Standards.

5. TERM OF CONTRACT FOR SERVICE

5.1 The contract for service is for one (1) year with an automatic yearly renewal subject to termination by both parties
upon giving notice as prescribed herein.

6. TERMINATION/RESIGNATION

6.1 The COMPANY may terminate the services of the NEGOTIATOR by giving 24 hours' notice in writing if satisfied that the
NEGOTIATOR is guilty of misconduct or of conduct detrimental to the COMPANY or having committed any offence or
breached any rules of the COMPANY, Valuers, Appraisers, Estate Agents and Property Managers Act 1981, The Rules
1986, Malaysian Estate Agency Standards 2020, Personal Data Protection Act 2010 and any other gazetted laws.

6.2 The COMPANY may terminate the services of the NEGOTIATOR by giving two(2) weeks’ notice in writing in the event
Clauses 12.12 to 12.15 have not been achieved by the NEGOTIATOR.
6.3 In the event either party wishes to terminate this contract for service, either party shall be required to give one (1)
months’ notice to terminate in writing to the other. The NEGOTIATOR shall hand over his/her Name tag and any other
necessary documents upon leaving the COMPANY. All transactions done during the period of resignation shall be for
the account of the COMPANY. You are not entitled for any claim after your due resignation.

6.4 Upon the effective date of such termination or resignation, the NEGOTIATOR shall not make any representation
whatsoever that he/she is a representative of the COMPANY and shall discontinue the use of all trademarks, service
marks, designs, logos, and business methods of the COMPANY.

6.5 All equipment(s), supplies, reference materials (listing etc.) , website ID and information belonging to the COMPANY
must be immediately returned and the NEGOTIATOR shall not use to his/her own advantage or to the advantage of
any other person or corporation any information gained from the files or business of the COMPANY. The NEGOTIATOR
are not allowed to screenshot or copy any of information from the company medium including whatapps,
Facebook, Instagram, youtube, Linked-In, telegram, twitter and other similar application existing or in future usage. If
the NEGOTIATOR found to, the COMPANY have the right to penalize the NEGOTIATOR of RM10,000 (Ringgit Malaysian
Ten Thousand) for the delinquency.

6.6 The COMPANY has the right to report any misconduct, misdeeds, fiduciary misappropriation and fraud or any acts
detrimental to the professional practice of a real estate agency by the NEGOTIATOR to the Board of Valuers which
may affect the NEGOTIATOR transfer to other firm or being blacklisted by the Board.

7. LEGAL EXPENSES

7.1 It is the COMPANY's policy to avoid litigation wherever possible and the COMPANY reserves the right to determine
whether or not any litigation or dispute will be prosecuted, defended, compromised or settled including the terms
and conditions or any compromise or settlements reached or whether or not legal expenses will be incurred.

7.2 In the event any of the transaction which the NEGOTIATOR is involved and resulted in dispute, the NEGOTIATOR shall
cooperate fully with the COMPANY to share all expenses connected there with in the same proportion if there were
no dispute or litigation.

8. INDEMNITY

8.1 The NEGOTIATOR indemnifies the COMPANY against any legal suit action or any claims wherein the liability that arises
as a result of the acts or omissions by the NEGOTIATOR which are not in accordance with this contract, the
COMPANY's policy, the Valuers, Appraisers and Estate Agents Act 1981, The Rules 1986, the Malaysian Estate Agency
Standards, Personal Data Protection Act 2010 and any other gazetted laws.

8.2 The NEGOTIATOR indemnifies the COMPANY against any fines by the Board of Valuers that arises as a result of the
acts or omissions by the NEGOTIATOR which are not in accordance with the Valuers, Appraisers and Estate Agents
Act 1981, The Rules 1986 and the Malaysian Estate Agency Standards.

8.3 Not with standing clause 7.1, in the event of any dispute, legal action, legal suit that arises out of the NEGOTIATOR
course of work and if any compensation is payable by the COMPANY to another party for the NEGOTIATOR acts,
errors, default or omissions, the amount of compensation payable will be shared by the Company and the
NEGOTIATOR in the same proportion as they would normally share the professional fees.

8.4 Upon termination, the NEGOTIATOR shall still be liable for any legal suit that arises at a later date on any transactions
closed during the period the NEGOTIATOR was with the COMPANY.
9. RIGHT TO PUBLISH

9.1 The COMPANY reserves the right to submit names for any awards or publish the names and/or photographs and or
awards received by the NEGOTIATOR in any publications, brochures or advertisements to advance the cause of the
practice.

10. CONFIDENTIAL RECORDS

10.1 All the records of the COMPANY shall be treated as confidential information including the names and addresses of
the clients, will and shall remain the property of the COMPANY at all times during the continuance of this contract
and after resignation/termination thereof. Neither such records nor any part of them are to be removed by the
NEGOTIATOR from the premises of the COMPANY either in its original form or in duplicated or photocopied form and
other information in such records are not to be transmitted verbally or in writing by the NEGOTIATOR except in the
ordinary course of conducting business for the COMPANY. All of the said records or any part of them are the property
of the COMPANY and shall be treated by the NEGOTIATOR as confidential information of the COMPANY.

11. INCOME TAX, EMPLOYEES PROVIDENT FUND (EPF) AND SOCIAL SECURITY

ORGANIZATION (SOCSO)

11.1 There shall be no deductions made by the COMPANY towards the Income Tax Payee Scheme, EPF and SOCSO for
NEGOTIATOR, but the NEGOTIATOR shall be fully liable for the declaration and payment of income tax earned from
the commissions and any deductions thereof as per the provisions allowable under the Contract For Service.

12. NEGOTIATOR'S COVENANT

The NEGOTIATOR covenants as follows:-

12.1 To familiarize himself/herself with the provisions of the Valuer's, Appraisers,Estate Agents and Property Managers Act
1981, Malaysian Estate Agency Standards 2020, Personal Data Protection Act 2010 and any other gazetted laws
pertaining to this nature of practice.

12.2 To comply with all statutory requirements in respect of this practice;

12.3 To conduct his/her business in a professional manner;

12.4 Not to do any act or use any language which may bring any individuals, clients into dispute;

12.5 Not to make any statements or do any act which will lead to misrepresentation or misleading or contrary of the terms
of any transaction;

12.6 To carry out the responsibility of listing, marketing, selling/rent/lease and provide other real estate services to the best
of his/her ability;

12.7 To negotiate with the Buyers and Sellers, Landlords and Tenants;

12.8 To monitor the progress of properties assigned and to give client(s) weekly report/ update of the property;

12.9 To develop and maintain good rapport with clients;

12.10 To hand in all authorisation letters and relevant documents for registration with the COMPANY within 3 days of
obtaining the listing;

12.11 It is expressly agreed that any monies owed by the NEGOTIATOR to the Company shall be deducted from any
commissions due;

12.12 To meet the minimum requirements of the COMPANY KPIs as set out;
12.13 To achieve a minimum target of RM100,000.00 per annum (ie. 8,333.00 per month) based on COMMISSION EARNED

12.14 To participate all COMPANY training and sharing sessions .

12.16 To obtain a minimum of 20 Exclusive Listings per annum.

13. NEGOTIATOR'S DECLARATION

13.1 He/she declares that he/she is not a bankrupt.

13.2 He/she declares that he/she has not being blacklisted by the Board nor have bad records with previous real estate
agency firm.

13.2 He/she declares that he/she has never had any criminal records with the police.

13.3 He/she declares that he/she is not engaged or related to any illegal operation/activity or illicit immoral conduct.

This Contract for Service shall supersedes any previous agreement(s) or Letter of Appointment/Employment and/or Contracts
between the undersigned NEGOTIATOR and the COMPANY and shall be binding forthwith on both parties.

IN WITNESS WHEREOF the parties hereto have here unto set their hands on the day and year first above written and agreed
on the terms and conditions as set in this Contract for Service for a NEGOTIATOR;
