KNOW ALL MEN BY THESE PRESENTS:

This SALE OF UNDIVIDED SHARE OF LAND, made and executed between:


The legal heirs of Arnaiz Cortez Evangelista, namely Abbie Lyn Dela Rosa
Evangelista, widow, the children, Chloe Dela Rosa Evangelista, Ayessa Prue Dela
Rosa Evangelista and Sophia Raine Dela Rosa Evangelista, all of legal age, with
residence and post office address at No. 32 Everlasting St. Merville Subdivision Tanza
Navotas City, hereinafter referred to as the “VENDORS”
In favor of
HAVILAH HOLDINGS AND DEVELOPMENT CORPORATION, a corporation duly
organized and existing under the law of the Republic of the Philippines, herein
represented by JULIAN GABRIEL E. SANTIAGO, duly authorized by the Board of
Director with office address at No. 60 Everlasting St. Merville Subdivision Tanza,
Navotas City, hereinafter referred to as the “VENDEE”.

WITHNESSETH;

WHEREAS, the VENDORS are the heirs of Arnaiz Cortez Evangelista, who is
the absolute and registered owner of a parcel of land with improvements at Merville
Subdivision Tanza Navotas City, and covered by the Transfer Certificate of Title No.
273292 and more particularly described as follows:

TRANSFER CERTIFICATE OF TITLE NO. 273292


A parcel of land (lot 10, block 3 – B – 1, of the subdivision plan Psd
– 176896, being a portion of block 3 – B – 1, (LRC) Psd – 167518, LRC
Rec. No. H – 9497 and H – 9568, situated in the Barrio of Tanza, Mun. of
Navotas, Province of Rizal, Island of Luzon. Bounded on the NE., points 2
to 3 by Block 3 – 5 – 2 (LRC) Psd – 167518, on the SE., points 3 to 4 by ot
8; on the SW., point 4 to 1 by lot 9; and on the NW., points 1 to 2 by lot 12,
all of Block 3 – B – 1, all of the subd. Plan Beginning at a point marked “1”
on plan being 38 deg. 10 W., 2860.10m from BLLM No. 1, Mp. Of
Malabon Rizal; thence N. 59 deg. 4 E.,10.00 m. to point 3; thence S. 59
deg. 40W., 20.00 m. to point 4; thence N. 30 deg. 20’.,10.00 m. to the
point of beginning; containing an area of TWO HUNDRED (200) SQUARE
METERS more or less.

WHEREAS the VENDEE has offered to purchase TWO HUNDRED (200)


SQUARE METERS of the said property with improvements thereon and the VENDORS
has agreed thereto;

NOW THEREFORE, for and in consideration of the amount of ONE
MILLION (Php 1,000,000.00) PESOS which the VENDORS acknowledges to have
received in full to its entire satisfaction, the VENDORS hereby SELLS, TRANSFER
AND CONVEY unto the VENDEE, their heirs and assigns, the above-described parcel
of land with improvements thereon.

THAT HENCEFORTH exclusive title and ownership of the shares and


interest of the VENDORS in the above realty shall pertain unto the said VENDEE, and
its heirs assigns, free from all liens and encumbrance of whatever kind.

IN WITNESS WHEREOF, the parties hereto signed this Sale of Undivided
