本协议由甲、乙双方遵循平等、自愿原则，经
友好协商签订，并承担本协议所规定的各项责
任和义务。
第一条 合作事项
1、本协议签订的目的在于确定甲乙双方的长
期合作伙伴关系，乙方在授权市场拓展甲方产
品市场业务，包括但不仅限于甲方生产的产品
的宣传、销售、安装、调试、维修、服务等。
2、甲方将在可以达成的范围内给以乙方最大
的业务支持，包括但不仅限于价格、技术资
料、培训、市场推广等；
3、乙方须保证甲方产品使用 “ 韬铂 ” 品牌 ，
不得私自更改 甲方产品的外观、颜色、结构、

第二条 协议执行方式

第七条 甲方义务
1、对乙方人员进行培训，保证其掌握甲方产
品的安装调试方法、结构和工作原理等。甲方
人员可到达乙方现场进行培训；
2、甲方一年一次对乙方为推广甲方品牌或产
品参加的展会或者对于乙方成功召开的现场会
进行支持。
第八条 质量保证、质保期限及服务
1、设备质保期为自发货之日起 18 个月；

site meetings held by Party B successfully. At the

VIII Quality assurance, warranty period and service
1. The equipment warranty period is 18 months from the
date of shipment;

第九条 协议有效期
本协议甲乙双方签字盖章后生效，一式两份，
甲乙双方执壹份，有效期为 1 年，从 2021 年
9 月 5 日到 2022 年 9 月 5 日本协议期满。
第十条 修改和解除
1、 除非双方另行协商一致，任何一方均不得
擅自对本协议主体及附件作任何单方面修改。
如一方有修改建议，应以书面形式通知另一
方，经协商一致后签署修改协议作为本协议的
组成部分。
2、在修改协议签署生效前，任何一方应保证
本协议/采购订单正常执行，不得停止拟修改
内容所涉及的工作。
3、 双方经协商一致可书面解除本协议。
4、协议执行期间，若一方发违约，另一方有
权终止协议，但需要提前三个月提出。
第十一条 不可抗力
1、不可抗力事件是指不能预见、不能避免并
不能克服的客观事件，包括自然灾害、火灾、
水灾、地震、台风、海上风险和意外及其它恶
劣的天气状况、战争、动乱、暴乱、罢工、政
府部门及其授权部门的任何法律、命令、文

Ⅸ Agreement validity
This agreement comes into effect after signed and sealed
by both parties A and B, in duplicate, and each party holds

Ⅹ Modify and cancel
1. Unless both parties agree otherwise, neither party shall
make any unilateral amendments to the main body and
appendix of this agreement without authorization. If one
party has a modification proposal, it shall notify the other
party in writing and sign the modification agreement after
consultation as an integral part of this agreement.
2. Before the modification agreement is signed, either party
shall guarantee the normal execution of this agreement /
purchase order, and shall not stop the work involved in the

3.Both parties can terminate this agreement in writing after
consensus.
4.During the execution of the agreement, if one party
breaches the contract, the other party has the right to
