PLACEMENT SERVICE AGREEMENT

This is a legally binding contract / agreement for recruitment consultancy service. The Professional Service charges
along with Terms and Conditions towards providing recruitment services are as follows: -

1. This Service Agreement is entered into on this day 04/12/2021 between M/s. Wholesome & Forms
located in Bangalore hereinafter referred as Company.

And

iSTATAM LLP is HR Consultancy located in #215, 1st Floor, 9th Main, 9th Block, 2nd Stage, BDA
Layout, Nagarabhavi, Bangalore - 560072. Henceforth referred here as the HR Consultancy.

2. The professional service charge will be @ 8% of the Total Annual Salary package (CTC) for all the
Designations.

3. The fees would be payable after 15 days from the date of the candidate joining the company for which HR
Consultancy will raise an invoice.

4. All payments to be made in favor of iSTATAM LLP.

5. Any resumes received from HR Consultancy by Company will be treated as active for a period of 6
months, during which time, the candidate may be taken on the company roll, the same shall be billed for
payment. However, the Company is at liberty either to accept or to reject the candidate sent by HR
Consultancy, based on the candidate’s performance in the interviews and all other related aspects.

6. Any resumes received from HR Consultancy shall be acknowledged by the Company and in cases where
the resume is claimed by the client to be already existing in the company database shall be informed of the
same within a day time, failing which it shall be treated that the original source of the resume under
consideration/dispute is from HR Consultant.

7. If the selected candidate sent by HR Consultancy resigns or terminated by the Company within a period of
three months from the date of his/her appointment, HR Consultant guarantees free replacement for that
candidate.

8. If the selected candidate joins the company and leave within the first three months, and the said candidate
rejoins the company within the next Three months; the HR Consultancy is liable to get the payment from
the company without giving any replacement.

9. Both parties agree and confirm that they shall not refer or solicit any employees from each other without
the prior knowledge and mutual consent of the other party during the period of this contract (or its earlier
termination) and for a period up to 12 months after termination of this Contract.

10. Either party can revoke this agreement or any terms thereof by giving 1-month intimation in writing. This
agreement stands terminated only when both parties obtain a copy of the termination letter with
representative signatures of both parties indicating mutual consent of termination. All pending invoices
raised before the termination of the contract will be paid by the Client to HR Consultant.

11. The above-mentioned terms will be valid for a period of 1 year commencing from the date of signing the
agreement.

12. All Disputes subject to the jurisdiction of Bangalore city only.
