SERVICE AGREEMENT

This Service Agreement ("Agreement") is entered into as of (2018-07-10) by and between NOW FINANCIAL
SERVICES LLC (hereinafter “NOW BPO”) represented in this act by CHRIS CÁCERES, and <?php echo
$contrato_contratista;?> (hereinafter “CONTRACTOR”), each a "Party" and together the "Parties". The
documents with which NOW BPO LLC accredits its existence and the representation of their representatives for
purposes of signing this agreement are attached to this contract as Schedule I.

WHEREAS, NOW BPO is a company incorporated and existing according to the laws of Florida which main
corporate purpose is to provide Business Process Outsourcing Services in favor of third parties.

WHEREAS, the CONTRACTOR has agreed to provide its services to NOW BPO according to the terms of this
agreement.

NOW, THEREFORE, in consideration of the premises and mutual agreements set forth herein, NOW BPO and the
CONTRACTOR agree as follows:

REPRESENTATIONS AND WARRANTIES


Within the framework of this Agreement, the Parties declare:

FIRST: That they are in full enjoyment of their civil rights and have the legal authority, ability and right to own their
property and assets, and lead and conduct the business and activities that are currently taking place, and are
physically and legally capable of fulfilling this contract.

SECOND: That they are not under any circumstances that would limit their legal capacity to enter into this contract
or to comply its dispositions.

THIRD: That this contract is a source of valid, binding, and enforceable obligations to the Parties.

FOURTH: THE CONTRACTOR represents that has the professional, technical and legal capacity to provide the
services stipulated in this Agreement to the full satisfaction of NOW BPO.

ARTICLES
ARTICLE 1. PURPOSE OF THIS AGREEMENT.

The purpose of this agreement is the providing of professional services by THE CONTRACTOR to NOW BPO as
stipulated bellow.

ARTICLE 2. PROVISION OF SERVICES BY THE CONTRACTOR TO NOW BPO

The CONTRACTOR shall provide the services to NOW BPO in the place designated by the latter, by written
notification.

In order for THE CONTRACTOR to provide its services successfully, NOW BPO will lease office spaces and
modules to a third party that guarantee the necessary conditions, and THE CONTRACTOR must abide by the entry
and stay rules established by the third party in their premises.

Once THE CONTRACTOR has signed this agreement to its complete satisfaction, NOW BPO will send a
notification via email to the third party, to their Administrator, to allow the CONTRACTOR to enter and designate
the space, with the necessary equipment to provide its services.
The services provided by the CONTRACTOR to NOW BPO will be provided at a time determined by the NOW
BPO.

ARTICLE 3. EFFECTIVE DATE

This Agreement shall be effective as of the date set forth above and shall continue for a period of One yearunless
an early termination event occurs as stipulated in article 14 of this Agreement. The contract shall be considered as
automatically renewed for equal periods of time, unless before the termination date any of the parties delivers as
termination notices as per established in article 14 under this agreement.

ARTICLE 4. SERVICE FEE

NOW BPO shall pay to the CONTRACTOR, for the services rendered to NOW BPO´s full satisfaction according to
this agreement and its annexes, a service fee equivalent to $ 6.25 . Such fee shall be paid in US DOLLARS and
shall be deposited in a bank account in BANCO DE LA PRODUCCIÓN (BANPRO) that shall be opened by
CONTRACTOR for this purpose.

Payment of the service fee indicated in the paragraph above shall be made on the Once a Week.

NOW BPO may withhold from the service fee amount to be paid to the CONTRACTOR according to the above, any
of the following:

● Any amount that is obligated to withhold according to the tax laws and regulations to which NOW BPO is
subject.
● In case that the services provided by the CONTRACTOR at any specific moment are not satisfactory to NOW
BPO, then NOW BPO may withhold the payment of the service fee until such service is delivered by the
CONTRACTOR to NOW BPO´s full satisfaction.

ARTICLE 5. TAXES AND SOCIAL SECURITY CONTRIBUTIONS.

Each party shall bear all taxes, duties and other similar charges, imposed as a result of the execution of their
responsibilities under this Agreement, including without limitation sales, use, value-added taxes and/or social
security contributions. In this regard, the CONTRACTOR shall be solely responsible for declaring and /or paying to
the corresponding Nicaraguan government entity, any social security contribution or tax that according to
Nicaraguan law is obligated to pay.

NOW BPO may, at any time request, and CONTRACTOR shall promptly comply with such request, documents that
evidence CONTRACTORs declaration and/or payment of the social security contributions or taxes that according to
Nicaraguan law is obligated to pay.

ARTICLE 6. INDEMNIFICATION

CONTRACTOR shall indemnify, defend, and hold harmless NOW BPO, members of its Board of Directors,
shareholders, officers, employees and /or agents against and from any third-party claims resulting from any breach,
negligence or shelfful misconduct of CONTRACTOR´s obligations under this agreement.

CONTRACTOR shall indemnify, defend, and hold harmless NOW BPO, members of its Board of Directors,
shareholders, officers, employees and /or agents against and from any claims resulting from CONTRACTOR not
complying with its tax and/or social security obligations according to Nicaraguan Law.

ARTICLE 7. COMMERCIAL RELATIONSHIP

The relationship established between the parties under this agreement is a commercial relationship and nothing
under this agreement shall be interpreted as that it creates an employment relationship between NOW BPO and
CONTRACTOR.

In this regard, CONTRACTOR understands and accepts that the relationship that is born under this contract with
NOW BPO is a commercial relationship and, therefore, may not request, require or in any way demand NOW BPO
members of its Board of Directors, shareholders, officers, employees and /or agents for the payment of work
benefits or social security benefits of any kind. The CONTRACTOR understands and accepts that it is his obligation
to register under the corresponding social security regime according to Nicaraguan Law and shall provide, upon
NOW BPO´s request, proof of such registration.

ARTICLE 8. APPLICABLE LAW AND JURISDICTION

This agreement is subject to the laws of the State of Florida, United States of America and to the jurisdiction of its
courts.

ARTICLE 9. CONFIDENTIAL INFORMATION NONDISCLOSURE

To the fullest extent allowed by law, the provision of this Agreement and any information disclosed by NOW BPO to
CONTRACTOR by virtue of this agreement or that is accessed by CONTRACTOR by virtue of this agreement,
shall be deemed as Confidential Information and therefore, shall be subject to the stipulations contained herein.

CONTRACTOR shall maintain in secret any Confidential Information to which he has access as a result of the
providing of services to NOW BPO or its clients and shall use the Confidential Information solely for the purpose of
carrying out his obligations under this Agreement. The term Confidential Information means any oral or written
information, (including without limitation, computer programs, code, instructions, manuals, procedures, lists of
clients, strategies of any kind, know-how and similar) which is made available by NOW BPO or its clients to
CONTRACTOR, regardless of the manner in which such information is furnished as long as such information is in
any way connected to this agreement and the relationship established by it between the parties.

With regards to the Confidential Information the CONTRACTOR undertakes the following:

1. 1. Not to disclose to any third party such confidential information unless expressly authorized in writing by
NOW BPO through an authorized representative.
2. 2. To require prior written authorization from NOW BPO prior to disclosing confidential information to which he
has access.
3. 3. Not to grant, transfer, disseminate, assign, provide, dispose of, procure or obtain in favor of himself or third
party, any right, privilege, benefit or gain derived or assumed by virtue of the confidential information to which
he has access.
4. 4. Not to use such confidential information to initiate or get involved, directly or indirectly, in any business
venture, operation or project related to the BPO industry.

Any breach of the CONTRACTOR of the aforementioned obligations, will result in immediate termination by NOW
BPO of this agreement without any liability to NOW BPO and also in the payment of a monetary compensation by
CONTRACTOR to NOW BPO in concept of the damages that the NOW BPO considers that have been caused by
said breach. Said compensation must be made in the manner and term that NOW BPO stipulates in the
corresponding requirement. The foregoing will be without prejudice to the civil and / or criminal legal actions that
NOW BPO decides to initiate depending on the case.

ARTICLE 9. CONFIDENTIAL INFORMATION NONDISCLOSURE

All understandings, representations, warranties, agreements and any referenced attachments, if any, existing
between the Parties regarding the subject matter hereof are merged into this Agreement, which fully and
completely express the agreement of the Parties with respect to the subject matter hereof. (this should be another
per our conversation doc, where the contractor can acknowledge and agreed with the terms, besides the contract)

ARTICLE 10. NONWAIVER

The failure of a Party to insist upon or enforce strict performance of any of the terms of this Agreement or to
exercise any rights herein shall not be construed as a waiver or relinquishment to any extent of its right to enforce
such terms or rights on any future occasion.

ARTICLE 11. SEVERABILITY

Any provision of this Agreement prohibited or rendered unenforceable by operation of law shall be ineffective only
to the extent of such prohibition or unenforceability without invalidating the remaining provisions of this Agreement.

ARTICLE 12. ENTIRE AGREEMENT/DOCUMENTS INCORPORATED BY REFERENCE

All understandings, representations, warranties, agreements and any referenced attachments, if any, existing
between the Parties regarding the subject matter hereof are merged into this Agreement, which fully and
completely express the agreement of the Parties with respect to the subject matter hereof.

ARTICLE 13. OTHER AGREEMENTS

This Agreement does not address or govern the Parties relationships not specifically identified herein. All such
relationships not addressed or governed by this Agreement shall be governed and controlled by a separate
agreement or tariff specifically addressing and governing those relationships or by applicable Laws or orders.

ARTICLE 14. TERMINATION

NOW BPO may immediately terminate this agreement at any time by providing a termination notice to
CONTRACTOR. CONTRACTOR may terminate this agreement by providing at any moment as long as a
termination notice is delivered to NOW BPO no later than 30 calendar days prior to the effective date of
termination.

ARTICLE 15. ASSIGNMENT

NOW BPO can assign this contract to any third party without need to request authorization from CONTRACTOR. In
such case NOW BPO shall notify of the assignment within 5 calendar days since said assignment has been
perfected. CONTRACTOR cannot assign this contract unless CONTRACTOR obtains a prior written authorization
from NOW BPO.

ARTICLE 16. ACCEPTANCE

Parties accept this agreement in its entirety and proceed to sign it.

This agreement has been duly executed on behalf of the Parties as follows:
