Pursuant to section 2.3.2.2 of the Distributorship Agreement, any Distributor
Purchase Orders issued to Nortel under this Distributor Product Catalog shall be
considered issued and placed if sent to the address detailed below. Failure by
Distributor to place orders in accordance with this section will directly impact
firm Purchase Commitments under section 2.3.2.5 or other market program-
related volume purchases.

Nortel Networks issues price updates through this product catalog. Any prices
obtained from the automated pricing tools or included in purchase orders (POs),
bulletins, or presentations do not govern or subordinate the prices contained in
this catalog. If there is a conflict, the prices in this catalog will be used.
The pricing sections in this catalog include product pricing, as well as repair
pricing, support and service fees, licensing and transaction fees, plus Standard
Price Items. The product prices listed are Commercial List Prices (CLP).
Distributor Discounts
Product prices can be discounted; service fees, licensing fees, transaction fees,
standard price items, and freight prices cannot.

Old software media must be returned within forty-five (45) days of replacement
media shipment from Santa Clara, Nashville, or RTP; otherwise applicable
software RTU fees will be invoiced.
When a system is upgraded and/or the software is updated, and the existing
software media are returned to Nortel Networks, the one fee/one system
relationship is maintained and the value of all RTU fees on the former system are
transferred at existing price levels to the new system.
Order placement
Each order transaction type requires distributors to contact the appropriate

Order acknowledgement
Nortel Networks may acknowledge order acceptance via verbal communication,
written notification and/or electronically. Order acknowledgment includes ship
date, content, and official pricing.
Note 1: After Cutover, Class "A" stock becomes classified as "B" stock and
is, therefore, not eligible for credit.
The distributor may also be 100% liable for the price of any hardware unique to
the customer's order, provided that such hardware cannot be applied to other
customer orders within six (6) months from the notice of such cancellation.

Definitions
System
A Meridian SL-100 System is defined as a new Cabinet or Supernode, which
includes a core module containing the CPU, memory, network and I.O.D.
interfaces. Auxiliary module additions can be made to the core module, which
include providing power, mass storage, and peripheral equipment.
Extension
A MSL-100 Extension is defined as any addition to a MSL-100 switch that is in-
service at the time the work is performed, and which requires engineering or
installation labor. With certain exceptions, the typical Extension extends the
wired-for capacity of the system. Examples of an Extension are as follows:
Nortel Networks prepays the common carrier and invoices distributors for all
merchandise shipping charges. Standard shipping method is "best way" surface
freight, unless distributors specify air or other commercially available shipping
method; Nortel Networks invoices freight accordingly.
Examples of merchandise are: line cards, station sets and spare parts.

Warranty
NT Material
The warranty period for Nortel Networks Material shall be a period of fifteen
months from the date of shipment to Distributor, or for a period of twelve
months from the date such Hardware is first placed in service with an End-User,
whichever period expires first, unless a shorter period is specified in this Product
Catalog.
Software
Software is warranted by Nortel Networks as follows: Provided such Software
is not altered by Distributor, there shall be, during the warranty period no failure
of such Software to function as specified in the applicable NTPs, which failure
shall materially affect use by an End-User of the Designated Hardware system
for which such Software was licensed. The warranty period for all such
Software ordered as part of a system order shall be a period of fifteen months
from the date of shipment to Distributor or a period of twelve months from the
date the Software is first placed in service with an End-User, whichever period
expires first. The warranty period for all such Software ordered as "Extended
Software" to be added to an existing system shall be a period of one year from
the date the software is placed in service or end of initial switch warranty,
whichever is later. The addition of Extended Software to a system shall not
extend the warranty period on any previously ordered or installed Software of
that system.
Training
Distributors must complete all training courses included in the Contract Price
prior to the expiration of the specified warranty period for Hardware. In the
event such training courses are not completed within this time frame, Nortel
Networks shall be relieved of its obligation to provide such training (including
delivery of any associated educational material), and the price for such training
will not be credited back to the Distributor.

Freight
To allow for the additional and variable expenses associated with overseas
freight costs, MSL-100's policy for freight expenses is to provide a quote based
on material weight, location and method of shipment on a per-job basis.
Product availability
During the product life, it may become necessary for Nortel Networks to limit
product availability. The following product statuses indicate product availability:
Controlled release Product available on limited basis only. Distributors must secure
controlled release approval from product management prior to
order acceptance.
New system sale Product available with new system sales only.
Additions & maintenance Product available for installed base sales only.
Manufacture discontinued Product is no longer manufactured or offered by Nortel Networks

Preparation
It is the overall responsibility of the Nortel Networks Program Manager to
prepare and submit the JCO to the MSL-100 Division. The Divisional Project
Manager is responsible for interpreting the customer's requirements, interfacing
with the Engineering Department for system configuration, coordinating
installation and commissioning efforts, and developing system milestones.
Pricing policies
The MSL-100 Pricing Department will provide pricing detail for all MSL-100
JCO products and services, and must approve pricing on all JCO worksheets.
Initial System
• "At CI": JCOs initiated before or at Customer Information (CI) are priced at
CLP less the Distributor Discount less the Product/VPP discount. The
*original market adjustment discount, if any, will also be included,
provided that the net CI price change does NOT exceed five percent
(5%) of the *original purchase price (i.e., the net pricing effect with
market adjustment discount applied does not exceed plus or minus
$5,000 on a $100,000 original order value).
Note: "Original" market adjustment discount and purchase price may be
located in the applicable b-form booked at the purchase amount (excluding
optional items) per the Distributor's purchase order.

Deletions/Credits
Each JCO is considered to be an order and is, therefore, subject to the applicable
cancellation/restocking fees as noted earlier in this section on page 2-13.
JCO approvals
All JCOs must be signed by the Senior Managers of Program Management and
Pricing, in addition to the proper approvals as noted below:
The cutoff date for origination of JCO transactions (through customer signature)
is determined by the Firm Configuration Date, or K-8 weeks, whichever is later.

B-Form revisions
A revised B-form may be requested by the Nortel Networks Program Manager
for any single JCO or net cumulative JCOs which impact the contract/job value
as contained in the latest B-form by +/- 5%, or any single JCO with a net price in
excess of $100,000.
Customer signature
All JCOs require customer signature or a customer Purchase Order. The
customer has fifteen (15) business days from the date on the JCO to reply.
Nortel Networks has the right to withdraw the proposed JCO if not accepted
within that time frame. It is imperative that JCOs be correct and have all
approvals prior to presentation to the customer for signature.

At any given time, each release falls into one of three software categories:
Current, Active, or Retired.
Software Support
Current release
TAS provides full support for each Current release.
Active release
When a load is designated as Active, TAS continues to offer technical support
for critical, major, and minor priority levels. Patch support is provided during
the software warranty period (12 months after in-service date).
Retired release
A software release is Retired two years after it goes into production. TAS
support is limited to "reasonable effort" only on Retired loads. Critical only is
supported. Patch support is not available.

Software upgrades
To ensure that the Meridian SuperNode is operating with the current software
and that the desired level of support is maintained, each site should be upgraded
to the current production release. A Retired release is not recommended for use
with an in-service switch, because TAS support is limited to "reasonable effort"
only and emergency support is limited to outage situations. If a switch requires
full technical support, it should be equipped with a Production or Active load.

Software warranty

Software patches
Software patches are normally developed to correct service affecting deficiencies
identified in software loads which are operating in a live environment.
Deficiencies are reported through the Customer Service Report (CSR) system,
and are classified as Critical (CR), Major (MJ) and Minor (MN) so that
corrective development can be prioritized. Deficiencies classified as Minor are
normally corrected in a subsequent MSL release.
In-warranty
During the software warranty period, the site is maintained on a twenty-eight
(28) day schedule to receive released patches. Emergency patches are spooled
within 48 hours and are applied according to predetermined site-specific
procedures. Software related technical assistance support (TAS) is covered
during the software warranty period as part of software warranty, except as
specified in the “Service Billing Guidelines” in NTP 555-4001-011.
Out-of-warranty
Beyond the software warranty period, the site is removed from the 28-day patch
schedule, unless covered under an Extended Service Plan (ESP). Software
related technical assistance support (TAS) beyond the software warranty period
is billable at the then current TAS rates. Patches if available per support
category, as defined in Table 1, are applied as part of Customer Service Report
(CSR) resolution. Emergency patches are spooled immediately at no charge.

Memory and other hardware requirements associated with a BCS upgrade vary
with each switch and, therefore, are quoted on a site-by-site basis. Sites which

Power Plant/Batteries
To interpret Power Plant models, please note the following: the letter at the end
of the model number, either A or C, represents the type of battery.
• A = Absolyte II (GNB);
• C = Lead Calcium (Exide).
The number immediately preceding this letter represents the number of reserve
hours provided by the battery. The choices are three, four, or eight hour
reserve.
Any digits preceding the number of reserve hours represents the AMPS provided
by the power plant, which range from 50 to 2,000 AMPS.

Training center location
The Nortel Networks Training Center is located at 1057 Sherman St.,

Scheduling policies
Prepayment of classes is required, with payment forms of purchase order, credit
(VISA, MC or AMEX), check, money order, contract number or department
number to be charged accepted. NOTE: The training center will work with the
distributor/customer on payment of invoice.
Local transportation
Transportation in the Richardson area is limited to taxi or rental car services.
Expenses incurred for this transportation are the responsibility of the students or
their organization.
Meals
The Training Center is also equipped with vending machines for light snacks and
beverages.
Dress

For any BCS/MSL upgrade, one copy of the CD-ROM Compact Disk (PMI No.
7299) will be included with the implementation or BCS/MSL upgrade, which
includes the latest version of the CD-ROM application software program.
Again, when ordering, please specify the customer/location. Additional copies
may be purchased for $850 each (PMI No. 7299).
Network
Should the user want a LAN configuration, it will be necessary to purchase the
CD-ROM Compact Disk (PMI No. 7287) for $4,165. It will also be necessary

$490 per concurrent user.
EMAP workstation
The Enhanced Maintainance Administration Position (EMAP) is an integrated
package of hardware and software which combines the conventional MSL-100
MAP Visual Display Unit (VDU) and a CD-ROM drive. This enables the ability
to access HELMSMAN, the electronic documentation delivery system used to
read Northern Telecom Publications (NTPs) on CD-ROM.

Warranty Services
Warranty services introduce Nortel Networks' commitment to maintaining one
standard of distributor support: excellence. During the first year that a system
is in-service, warranty services provide routine Repair and Replacement
Services, Technical Assistance Services (TAS) and Design Change Support for
hardware and software. These services supply the expertise and resources to
establish a level of support that remains solid long after the initial warranty
ends.

Routine service
Routine repair service is available during Nortel Networks' business hours,
Monday through Friday, 8 AM to 5 PM, Central Time. Calls received after
business hours are forwarded to a TAS representative who determines the
needs and priority of a situation.
Emergency service
Emergency service is available 24 hours per day, 7 days per week for defective
parts that are vital to the systems call processing ability. One or more of the
following conditions could signal the need for emergency service:
• The last spare of a circuit pack has been used to replace a defective pack in
the switch, and all similar packs in the switch are carrying live traffic.
• TAS determines that emergency service is required to correct the situation.
Nortel Networks will either repair the defective equipment on-site or ship a
like-for-like part within 24 hours of the request. The customer is responsible
for sending the defective part back to Nortel Networks within 30 days of the
shipment date. Nortel Networks does not require that the defective part be
received from the customer before sending the like-for-like part.

Nortel Networks will provide technical assistance free of charge, during the
initial warranty period, or ESP as it is defined in the terms and conditions of the
service contract or program. Some situations may arise during this no-charge
warranty period that will result in a service request being considered as billable.

Hardware warranty
There are two types of hardware warranty situations:
• initial and extension hardware: twelve (12) months from the date of
turnover to customer ("K" date), unless otherwise defined in purchase
agreement
• repaired or replaced hardware: thirty (30) days from the date of shipment or
remainder of the twelve (12) month initial warranty, whichever is greater
The defective part must be returned within 30 days of Nortel Networks ship date
or the current purchase price will be invoiced for the replacement part.
Hardware
Hardware design changes are applied when feature enhancement or product
evolution affects Nortel Networks equipment. The Extended Product
Inventory Control (EPIC) database is used to coordinate change control.
EPIC is a distributor accessible database that represents the specific site
inventory and revision status of Nortel Networks hardware. EPIC compares

inventory and revision status data to base line release levels and provides
notification of design changes.
The EPIC database is used to identify the packs, modules, or frames requiring
upgrades when design changes are identified. The database contains the
Product Engineering Code (PEC), release level, frame, shelf and slot location
obtained from physical audits of the on-site Nortel Networks equipment.
The field change applications function applies the design changes while
performing Design Change Application - related hardware modifications and
feature enhancements.
Software
Software enhancements or design modifications between MSL software
releases are called Post Release Software Units (PRSUs). Nortel Networks
downloads and applies all available software PRSUs on a monthly basis. In-
warranty sites receive available emergency and routine PRSUs as part of their
warranty service. Having a set process for spooling PRSUs to site databases
ensures that the operational software load will always be up to date.
Support categories
Nortel Networks provides the following three levels of support categories for
installed MSL software which is covered by a current Nortel Networks
Software License Agreement.
Current (C)
Production software available for shipment with new systems and MSL
upgrade orders. Feature and operational functionality and PRSU activity
supported by Nortel Networks TAS and PRSU Administration.

Active (A)
No longer available for shipment with new system orders. May be purchased as a
MSL upgrade. Feature packages which are part of the base release may be

No longer available for purchase. Nortel Networks TAS support limited to
problem diagnosis on a "reasonable effort" basis only. PRSUs and feature
packages are not available.

Meridian SL-100 Software Status
Software warranty
Provided such Software is not altered there shall be, during the warranty period, no
failure of such Software to function as specified in the applicable NTPs, which
failure shall materially affect use by an End-User of the Designated Hardware
system for which such Software was licensed. The warranty period for all such
Software ordered as part of a system order shall be a period of 15 months from the
date of shipment or a period of 12 months from the date the software is first placed
in service with an End-User, whichever period expires first, unless stated as a
shorter period of time in this product catalog. The warranty period for all such
Software ordered as "Extended Software" to be added to an existing system shall
be a period of 12 months from the date the software is placed in service. The
addition of Extended Software to a system shall not extend the warranty period on
any previously ordered or installed Software of that system.

Offered on a one-year minimum basis and is renewable with 90 days notice, the
ESP has significant benefits for the distributor:
• By periodic billing, predetermined monthly costs are identified for the
complete calendar year. Periodic billing eases distributor planning and
budgeting for maintenance expenses.
• Working relationships established with the distributor during the warranty
continue; no momentum is lost during a transition.
• ESP sites continue to receive all available software enhancements
downloaded and applied on a monthly basis; post warranty, non-ESP
services are purchased on a per-occurrence basis at non-discounted rates.

distributor support: EXCELLENCE.

100. For example, Meridian Mail GPs increases the technical complexity to the
basic Meridian SL-100 host. A lower Core Support pricing is also available on

Nortel Networks' PCP Repair and Replacement service provides timely and
efficient service for units during (and beyond) the ESP—in routine and
emergency situations. In emergency situations, necessary replacements are
shipped from Nortel Networks within 24 hours. Routine like-for-like
replacements have a target turnaround of 3 days for failed equipment like
hardware assemblies and circuit cards.
Routine service
Routine repair service is available during Nortel Networks' business hours,
Monday through Friday, 8 AM to 5 PM, Central Time. Calls received after
business hours are forwarded to a TAS representative who determines the needs
and priority of a situation.
Emergency service
Emergency service is available 24 hours per day, 7 days per week. Defective
parts that are vital to the call processing ability of the system qualify as
"Emergency" parts. An emergency surcharge of $50 will be assessed for each
order. One or more of the following conditions could signal the need for
emergency service:
• The last spare of a circuit pack has been used to replace a defective pack in
the switch, and all similar packs in the switch are carrying live traffic.
• TAS determines that emergency service is required to correct the situation.
Nortel Networks will either repair the defective equipment on-site or ship a like-
for-like part within 24 hours of the request. The customer is responsible for
sending the defective part back to Nortel Networks within 30 days of shipment
date. Nortel Networks does not require that the defective part be received from
the customer before sending the like-for-like part.

Depot repair/replacement
Provides routine depot level, mail-in repair and replacement service, 8:00 AM–
5:00 PM, Central Time, Monday through Friday. Emergency support is
available 24 hours a day, 7 days a week. Requests for on-site repair will be
invoiced at the depot repair rate plus actual time and travel expenses at the then
current rates, plus a 30% service charge per service request.

Note: These responses are based upon the equipment site being within the basic
support zone 1(0-75 miles). Zone 2 (76-126 miles) add 42%. Zone 3 (beyond
126 miles) standard rate plus time and travel. On-site coverage is not available
outside CONUS (Continental United States). Equipment is subject to on-site
inspection and inventory. Nortel Networks reserves the right to exclude
certain equipment from ESP coverage.

Remote Maintenance
Remote Maintenance includes all features and benefits delivered by the other
remote service (Remote Surveillance), adding important corrective and
preventive remote controls. First, service-affecting conditions are not only
detected; action is taken to see they are corrected. A single point of contact is
appointed to track and report troubles, supplying assistance and corrective
action to both distributor and technicians throughout the escalation-resolution
process.
Access to the system is controlled via security modem using a password for
preprogrammed dialback. Call-out procedures will be initiated as necessary. As
an additional service, distributors can request that Nortel Networks provide
technicians to support the call-out requirement.

Performance support
Business expects a communication system to do more than just work. It must
perform. Performance of a system depends largely on how well it is maintained.
Nortel Networks offers complementary services that provide distinct paths
leading to peak performance.
Translation support
Preparing the database and routing selection is a vital step in achieving and
maintaining peak performance of switching systems. Translation support involves
having Nortel Networks personnel optimize the system database so that the
configuration provides efficient traffic routing and utilization of features and
facilities. This service also offers assistance with new software features and
rerouting of specific traffic (for example, call blocked at peak traffic hours despite
ample trunking facilities).

On-site services
Distributors can make it our business to support all their business information
systems. Nortel Networks On-Site Services provides on-site support based on
customer-defined requirements and time intervals. With resources available in
over 100 cites, 24 hours a day, 365 days a year, On-Site Services supply the
short- or long-term expertise to cover unusual or unplanned situations and to fill
specialized needs. Trained and experienced Nortel Networks On-Site Service
Representatives are resources that complement the knowledge of the existing
maintenance staff, as both business systems advisors and service engineers.

Data Services provides fields service representatives trained to service data
processing and telecommunications systems, office automation products, local
and wide-area networks, and personal computers. A single, toll-free call to our
National Dispatch Center—open 24 hours a day, 365 days a year—-brings a
Nortel Networks field service representative to the end users site.
Data Services assures end users of prompt and complete service, not only on
equipment produced by Nortel Networks, but on compatible equipment
purchased through other companies—including service of all major personal
computers.
Among the Nortel Networks products serviced: Norstar and Vantage Key
systems, Enhanced Operator Service, and Data Packet Network (DPN) Packet

Billing recovery
Lost billing data means lost revenue to MSL-100 system operators. In
response to this, Nortel Networks has developed the AMA Recovery service
which can potentially reduce or prevent such loses due to disk drive
corruption.
If the need for AMA recovery is previously determined, Customer Service may
be contacted directly.
The requester is issued an order ID# and is instructed to return the damaged
disk drive to Nortel Networks Customer Service. Once received by Customer
Service, the disk drive is attached to a captive office and a proprietary recovery
application is administered. If successful, the recovered records are captured
to magnetic tape and returned to the requester.
The typical turn around time is two days, however this may vary, depending on
the severity of the corruption and the number of records to be recovered. Due
to the varying degrees of corruption, Nortel Networks does not in any way
guarantee that full or partial recovery will be successful.

AMA recovery is available at no charge for sites within the original switch
warranty period and for those disk drives specified within a current ESP. The
