AUTHORITY TO NEGOTIATE

SALE OF PROPERTY

ROMULO L. LENG, herein duly represented1 to by MA. CORAZON LAVESTRE YAP.

This is to authorize MARILOU E. PARIÑAS, hereby known as the broker, to procure a buyer
and negotiate the sale of the property described hereunder, under the following terms and
conditions.

Location and Description:

The property is located at BAYUGAN, AGUSAN DEL SUR, consisting of FIVE HUNDRED
NINETY-FIVE SQ. M. (595 sq. m.) covered by OCT No. P-24071

Conditions of Authority:

By virtue of my fiduciary trust and in consideration of your acceptance of my offer, I hereby give
you SIXTY (60) days from the date of this authority to offer my property for sale, under the
following terms and conditions, to wit:

I. PROPERTY DETAILS:

1. Title No. : P-24071


2. Registered Owner : ROMULO L. LENG
3. Total Lot Area : FIVE HUNDRED NINTY FIVE (595) SQUARE METERS
4. Location : TAGLATAWAN, BAYUGAN, AGUSAN DEL SUR
5. Price : ____________________________________________

II. PERIOD OF AUTHORITY & COMMISSIONS

1. If a deed of sale, or an instrument of conveyance, is executed within SIXTY (60)


DAYS from the date of this authority, the broker shall have a share of FIVE
PERCENT (5%) of the PURCHASE PRICE;

2. However, if a deed of sale, or an instrument of conveyance, is executed after


SIXTY (60) DAYS from the date of this authority, the broker shall only have a
share of THREE PERCENT (3%) of the PURCHASE PRICE; and

3. In case a sale is made more than value of the PURCHASE PRICE, in a manner
so-called an “overprice”, the broker shall not have a share nor commissions in
the PURCHASE price, but the said broker will be entitled to the difference in
value between the ACTUAL PURCHASE PRICE paid by the BUYER of the
property and the PURCHASE PRICE agreed in this authority;

III. TAXES & FEES

1. The ATTORNEY’S FEES for the DEED OF SALE shall be paid by the BUYER;

2. The REGISTRATION FEES, and any or all NECESSARY EXPENSES for the
transfer of title from the SELLER to the BUYER shall be paid by the BUYER; and

3. The CAPITAL GAINS TAX, TRANSFER TAXES, RELOCATION SURVEY


EXPENSES, and other INCIDENTAL COST in relation to the above-described
property shall be shouldered, as well, by the BUYER;
Validity:

The authority to negotiate the sale shall remain in full force and effect for a period of SIXTY (60)
days upon signing of the parties, considered the date of this authority, unless revoked earlier
through the grounds and manner allowed by law.
Hold-Over Clause :

The broker shall be credited with the sale of this property and therefore, will be entitled to the
above-agreed commissions even if the sale is perfected or consummated after the expiration of
this Authority, provided the buyer was formally registered by the broker to herein MA.

Acknowledgement of the person or entity


that proceeds with the sale :

Registration of name of the person or entity whose name was made known to MA. CORAZON
LAVESTRE YAP by the broker, shall be done in writing the name of the buyer to the Ma.
Corazon Lavestre Yap, and will be effective only once acknowledged, through likewise, a written
communication that the name of the prospective buyer is already registered.
