Please read the terms carefully as they govern your use of UAB services. As with any asset, the values of
digital assets (as defined below) may fluctuate significantly and there is a substantial risk of economic losses
when purchasing, selling, holding or investing in digital currencies. By making use of Bifinity UAB services, you
acknowledge and agree that: (1) you are aware of the risks associated with transactions of digital assets; (2)
you shall assume all risks related to the use of Bifinity UAB services and transactions of digital currencies; (3)
Bifinity UAB shall not be liable for any such risks or adverse outcomes; and (4) you should obtain independent
legal and/or financial advice before entering into any transaction and/or using Bifinity UAB services.
These Bifinity UAB Terms of Use are entered into between you (hereinafter referred to as “you” or “your”)
and Bifinity UAB. By accessing, downloading, using or clicking on “I agree”, “I accept”, “Start” to accept any
UAB Services (as defined below) provided by Bifinity UAB (as defined below), you agree that you have read,
understood and accepted all of the terms and conditions stipulated in these Bifinity UAB Terms of Use
(hereinafter referred to as “Terms”) as well as our Privacy Policy as available from time to time. In addition,
when using some features of the Services, you may be subject to specific additional terms and conditions
applicable to those features.
By accessing, using or attempting to use UAB Services in any capacity, you acknowledge that you accept and
agree to be bound by these Terms. If you do not agree, do not access Bifinity UAB or utilize UAB Services in
any way.
1 Definitions
In these Terms, the following defined terms shall have the meaning ascribed to them below:
“Available Fiat" means fiat currencies, as designated or varied by Bifinity UAB from time to time.
“Bifinity” refers to Bifinity UAB website and its owned and/or operated domains and or sub-domain (whose
domain names include but are not limited to https://www.bifinity.com/en/terms), mobile applications, clients,
applets and other applications that are developed to offer Bifinity Services. Bifinity might integrate and/or use
other operator’s services to provide products or services through these operators.
“Bifinity UAB” means Bifinity UAB (registration number: 305595206), company established under the laws
of the Republic of Lithuania and having its registered office at Didžioji st. 18, Vilnius, Republic of Lithuania.
“Bifinity Website” means the user interface made available for use by Users at www.bifinity.com

“Bifinity Website Rules” means all rules, interpretations, announcements, statements, letters of consent
and other contents that have been and will be subsequently released by Bifinity UAB, as well as all
regulations, implementation rules, product process descriptions, and announcements published in the [Help
Center] or within products or service processes.
“Buy Crypto with Debit/Credit card” means spot transactions in which Digital Currencies are
exchanged for fiat currencies through payment by Debit/Credit card.
“Digital Assets” means Digital Currencies, their derivatives or other types of digitalized assets with a
certain value.
“Digital Currencies” means encrypted or digital tokens or cryptocurrencies with a certain value that are
based on blockchain and cryptography technologies and are issued and managed in a decentralized form.
“Fiat Trading” means spot transactions in which Digital Currencies are exchanged for Available Fiat or vice
versa.
“Fiat Trading Pairs” means the trading pairs as quoted on the Bifinity Website which involves a fiat
currency on one hand and a Digital Currencies on the other.
“UAB Accounts” refer to the foundational virtual accounts, including main accounts and subaccounts,
which are opened by Bifinity UAB for Users to record on Bifinity UAB their usage of UAB Services,
transactions, asset changes and basic information. UAB Accounts serve as the basis for Users to enjoy and
exercise their rights on Bifinity UAB.
“UAB Services” means such services as set forth in Article 3 (UAB Services) below.
“Users” means all individuals, institutions or organizations that access, download or use Bifinity UAB or UAB
Services and who meet the criteria and conditions stipulated by Bifinity UAB.
2 Disposições Gerais

2.1.1 Relação Contratual.
Estes Termos constituem um acordo legal e criam um contrato vinculativo entre você e a Bifinity UAB.
2.1.2 Termos Suplementares.
Devido ao rápido desenvolvimento das Moedas Digitais e da Bifinity UAB, estes Termos entre você e a Bifinity
UAB não enumeram ou cobrem todos os direitos e obrigações de cada parte, e não garantem o alinhamento
total com as necessidades decorrentes de desenvolvimentos futuros. Portanto, a política de privacidade, as
regras da plataforma Bifinity UAB e todos os outros contratos celebrados separadamente entre você e a
Bifinity UAB, são considerados termos complementares que são parte integrante destes termos e terão o
mesmo efeito jurídico. Ao utilizar os serviços Bifinity UAB, será considerada a sua aceitação dos termos
suplementares descritos acima.
2.1.3 Alterações nestes termos.
A Bifinity UAB reserva-se o direito de alterar ou modificar estes termos a seu critério, a qualquer momento. A
Bifinity UAB notificará tais mudanças atualizando os termos em seu website e modificando a data da “última
revisão” exibida nesta página. Todas e quaisquer modificações ou alterações referentes a estes termos
entrarão em vigor após a publicação no site ou liberação para os usuários. Ao utilizar os serviços Bifinity UAB,
será considerada a sua aceitação dos termos e regras modificados. Se você não concordar com quaisquer
alterações referentes a estes termos, você deve parar de usar os serviços da Bifinity UAB imediatamente.
Recomendamos a leitura frequente destes termos para garantir a compreensão dos termos e condições que
se aplicam ao acesso e ao uso dos serviços da Bifinity UAB.
2.1.4 Proibição de uso.
Ao acessar e usar os serviços da Bifinity UAB, você declara e garante que não foi incluído em nenhuma lista
de embargo comercial ou lista de sanções econômicas (ou outras sanções), lista de cidadãos especialmente
designados mantida pelo OFAC (The Office of Foreign Assets Control of The U.S. Department of The
Treasury), ou outra lista de sanções emitida e/ou aplicável na União Europeia e/ou República da Lituânia. A
Bifinity UAB reserva-se o direito de recusar, a seu critério, a prestação dos serviços da Bifinity UAB a
determinadas empresas e/ou indivíduos.
2.2 Sobre a Bifinity UAB.

2.2.1 Para fornecer Serviços UAB, a Bifinity UAB pode efetuar negociações em uma plataforma online para
trading de ativos digitais, fornecida pela Bifinity.
2.2.2 A Bifinity UAB fará o possível para manter a precisão das informações fornecidas através dos Serviços
UAB. No entanto, a Bifinity UAB não pode garantir a sua precisão, aplicabilidade, confiabilidade, integridade,
desempenho ou adequação. A Bifinity UAB não será responsável por qualquer perda ou dano causado direta
ou indiretamente pelo uso desses conteúdos. As informações sobre os Serviços UAB podem ser alteradas
sem aviso prévio, e o principal objetivo de fornecer tais informações é ajudar os Usuários a tomarem decisões
independentes. A Bifinity UAB não fornece consultoria de investimentos ou consultoria de qualquer tipo e
não é responsável pelo uso ou interpretação de informações fornecidas pela Bifinity UAB ou qualquer outro

2.3 Registro de Conta e Requisitos.
2.3.1 Registro.
Antes de usar os serviços UAB, todos os usuários devem registrar uma conta UAB no respectivo link URL. Ao
registrar uma conta UAB, você deve fornecer seu nome real, endereço de e-mail e senha, e aceitar estes
Termos, a Política de Privacidade e outras Regras do site da Bifinity. A Bifinity UAB pode, a seu próprio
critério, recusar a abertura de contas. Você garante que todas as informações fornecidas por você para o
registro de uma conta UAB são verdadeiras, completas e precisas e concorda em atualizar regularmente
todas as informações fornecidas à Bifinity UAB para manter a integridade e consistência das mesmas.
Apenas um usuário pode ser registrado por vez e cada usuário individual (incluindo qualquer usuário de
empresa ou pessoa jurídica) pode manter apenas uma conta principal. Usuários institucionais (incluindo
usuários de empresas e outras pessoas jurídicas) podem abrir uma ou mais subcontas na conta principal,
com o consentimento da Bifinity UAB. Para determinados Serviços UAB, pode ser necessário configurar uma
conta especial independente de sua conta UAB, com base nas disposições destes Termos ou dos Termos
Suplementares. O registro, o uso, a proteção e o gerenciamento das contas de trading são igualmente regidos
pelas disposições deste Artigo e do Artigo 6 (Rescisão de Contrato) salvo disposição contrária nestes Termos
pelas disposições deste Artigo e do Artigo 6 (Rescisão de Contrato), salvo disposição contrária nestes Termos
ou nos Termos Suplementares.
2.3.2 Elegibilidade.
(a) Ao se registrar para usar uma conta UAB, você declara e garante que (1) como pessoa física, você tem
pelo menos 18 anos ou é maior de idade para firmar um contrato de acordo com as leis aplicáveis na data do
registro; (2) como pessoa física, jurídica ou outra organização, você tem plena capacidade jurídica e
autorizações suficientes para celebrar estes Termos; (3) você não foi anteriormente suspenso ou proibido de
usar os Serviços UAB; (4) você ainda não possui uma conta UAB; (5) você não é um usuário dos Estados
Unidos, da Malásia, de Cingapura ou de Ontário (Canadá) (ou residente em qualquer um dos territórios
anteriores); e não está agindo em nome de um usuário dos Estados Unidos, da Malásia, de Cingapura ou de
Ontário (Canadá) (ou de qualquer residente em qualquer um dos territórios anteriores). Se você atuar como
funcionário ou agente de uma pessoa jurídica e celebrar estes Termos em seu nome, você declara e garante
que tem todos os direitos e autorizações necessários para atuar em nome de tal pessoa jurídica; e (6) o seu
uso dos Serviços UAB não violará nenhuma das leis e regulamentos aplicáveis a você, incluindo, mas não se
limitando a, regulamentos de combate à lavagem de dinheiro, combate à corrupção e combate ao
financiamento do terrorismo.
(b) Note que alguns produtos e serviços podem não estar disponíveis em certas jurisdições ou regiões ou
para certos usuários. A Bifinity UAB reserva-se o direito de alterar, modificar ou impor restrições adicionais a
seu critério, a qualquer momento.
2.3.3 Verificação de Identidade do Usuário.
(a) Ao se registrar com uma conta Bifinity UAB, você declara que concorda em fornecer as informações
pessoais necessárias para verificação de identidade. Essas informações serão usadas para verificar a
identidade dos usuários, identificar possíveis atividades relacionadas à lavagem de dinheiro, financiamento
do terrorismo, fraudes e outros crimes financeiros através da Bifinity UAB ou ainda para outros fins legais
declarados pela Bifinity UAB. Vamos coletar, usar e compartilhar essas informações de acordo com nossa
Política de Privacidade.
(b) Além de concordar com o fornecimento de tais informações, você consente com a manutenção dos
registros dessas informações durante o período em que sua conta estiver ativa e dentro de oito (8) anos após
o encerramento de sua conta, em conformidade com os padrões globais relacionados ao armazenamento de
dados . Você também nos autoriza a conduzir as investigações necessárias (diretamente ou por meio de
terceiros) para verificação de identidade ou para proteger você e/ou nossa empresa de crimes financeiros e
fraudes. As informações que solicitamos para verificar sua identidade podem incluir, mas não se limitam a,
seu nome, sobrenome, número de registro/código pessoal emitido pelo governo e/ou data de nascimento,
cidadania, endereço de e-mail, informações de contato, número de telefone, nome de usuário, documento de
identidade e outras informações coletadas durante o registro da conta. Ao fornecer as informações
necessárias para fins de verificação de identidade do usuário, você confirma e declara que todas as
informações fornecidas por você são verdadeiras, completas e precisas.
(c) Após o registro, quando houver alterações das informações, você deve garantir que as mesmas sejam
verdadeiras, completas e atualizadas em tempo hábil. Se houver qualquer fundamento para acreditar que
alguma das informações fornecidas são incorretas, falsas, desatualizadas ou incompletas, a Bifinity UAB
reserva-se o direito de enviar-lhe um aviso para exigir a correção, excluir diretamente as informações
relevantes e/ou, dependendo do caso, encerrar todos ou parte dos serviços da Bifinity UAB oferecidos você.
Se alguma das informações fornecidas por você for falsa ou incompleta, ou se não formos capazes de
contatá-lo com as informações de contato fornecidas, você será totalmente responsável por qualquer perda
ou despesa causada ao Bifinity UAB durante o uso dos serviços da Bifinity UAB. Você, por meio deste,
reconhece e concorda que tem a obrigação de atualizar todas as informações caso haja alguma alteração Ao

registrar uma conta, você autoriza a Bifinity UAB a conduzir investigações que a Bifinity UAB considere

usuários e/ou A Bifinity UAB de fraudes ou outros crimes financeiros, e tomar as medidas necessárias com
base nos resultados de tais investigações. Você também declara estar ciente e concordar que suas
informações pessoais podem ser divulgadas a agências de crédito e agências para prevenção de fraudes e
crimes financeiros, que podem responder às nossas investigações na íntegra.
2.3.4 Requisitos de Uso da Conta.
Se você suspeitar ou identificar qualquer uso não autorizado de seu nome de usuário e senha, você deve
notificar a Bifinity UAB imediatamente. A Bifinity UAB não assume nenhuma responsabilidade por qualquer
perda ou dano decorrente do uso da conta UAB por você ou qualquer terceiro, com ou sem a sua autorização.
2.3.5 Segurança da Conta.
(a) A Bifinity UAB tem o compromisso de manter a segurança dos fundos confiados pelo usuário e
implementou o sistema de proteção padrão da indústria para os Serviços UAB. No entanto, as ações de
usuários podem representar riscos. Você concorda em gerenciar suas credenciais de acesso (como nome de
usuário e senha) e informações confidenciais e não divulgar tais informações a terceiros. Você também
concorda em ser o único responsável por tomar as medidas de segurança necessárias para proteger sua
conta UAB e suas informações pessoais.
(b) Você é o único responsável por manter sua conta UAB e senha seguras e é responsável por todas as
transações em sua conta UAB. A Bifinity UAB não assume nenhuma responsabilidade por quaisquer perdas
ou consequências causadas pelo uso autorizado ou não autorizado de suas credenciais de conta, incluindo,
mas não se limitando a, divulgação de informações, consentimento ou envio de regras e acordos no site,
renovação de contrato online, etc.
(c) Ao criar uma Conta UAB, você declara e concorda que:
(i) você notificará a Bifinity UAB imediatamente se estiver ciente de qualquer uso não autorizado da sua
conta/senha da UAB ou qualquer outra violação das regras de segurança;
(ii) você obedecerá estritamente a todos os mecanismos ou procedimentos da Bifinity UAB em relação à
segurança, autenticação, negociação, cobranças e saques; e;
(iii) você tomará as medidas adequadas para encerrar a sessão da Bifinity UAB ao final de cada acesso.
2.3.6 Dados Pessoais

3 Serviços UAB
3.1 Geral
Após a conclusão do registro e verificação de identidade da sua conta UAB, você pode usar vários serviços
UAB de acordo com as disposições destes Termos (incluindo Regras do site Bifinity e outros acordos
individuais). A Bifinity UAB tem o direito de:
3.1.1 fornecer, modificar ou encerrar, a seu próprio critério, quaisquer Serviços UAB com base em seu plano

(a) Contanto que você cumpra os termos e condições expressos declarados nestes Termos em todos os
momentos durante o seu uso, a Bifinity UAB concede a você uma licença revogável, limitada, livre de
royalties, não exclusiva, intransferível e não sublicenciável para acessar e usar os Serviços UAB através de
seu computador ou dispositivos compatíveis com a Internet para seus fins pessoais. Você está proibido de
usar os Serviços UAB para revenda ou fins comerciais, incluindo transações em nome de outras pessoas ou
entidades. As ações mencionadas acima são expressamente proibidas e constituem uma violação material
destes Termos. O layout do conteúdo, formato, função e direitos de acesso relativos aos Serviços UAB devem
ser estipulados a critério da Bifinity UAB. A Bifinity UAB reserva-se todos os direitos não expressamente
concedidos nestes Termos. Portanto, você está proibido de usar os Serviços UAB de qualquer forma não
expressamente autorizada por estes Termos.
(b) Estes Termos concedem apenas uma licença limitada para acessar e usar os Serviços UAB. Portanto, você
concorda que, ao usar os Serviços UAB, a Bifinity UAB não transfere os Serviços UAB ou a propriedade ou
direitos de propriedade intelectual da Bifinity UAB para você ou qualquer outra pessoa. Todos os textos,
gráficos, interfaces de usuário, interfaces visuais, fotos, sons, diagramas de fluxo de processo, códigos de
computador (incluindo código html), programas, software, produtos, informações e documentos, bem como
design, estrutura, seleção, coordenação, expressão, aparência e layout de qualquer conteúdo incluído nos
Serviços UAB, são de propriedade exclusiva, controlada e/ou licenciada pela Bifinity UAB e/ou seus
membros, empresas controladoras, licenciados ou afiliados.
(c) A Bifinity UAB detém quaisquer feedbacks, sugestões, ideias ou outras informações e materiais
(doravante referidos coletivamente como “Feedback”) sobre a Bifinity UAB ou Serviços UAB fornecidos por
e-mail, uso dos Serviços UAB ou outras formas. Por meio deste, você transfere todos os direitos, propriedade
e interesses relativos ao Feedback e todos os direitos de propriedade intelectual relacionados para a Bifinity
UAB. Você não tem direito e renuncia a qualquer pedido de reconhecimento ou compensação e quaisquer
modificações com base em qualquer Feedback.
3.2.2 Restrições. Ao usar os Serviços UAB, você concorda e se compromete a cumprir as seguintes
disposições:
(a) Durante a utilização dos Serviços UAB, todas as atividades que você realiza devem cumprir os requisitos
das leis e regulamentos aplicáveis, incluindo estes Termos e as diretrizes da Bifinity UAB;
(b) O uso dos Serviços UAB não deve violar os interesses públicos, a moral pública ou os interesses legítimos
de terceiros, incluindo quaisquer ações que possam interferir, perturbar, afetar negativamente ou proibir
outros Usuários de usar os Serviços UAB;
(c) Você concorda em não usar os serviços para manipulação de mercado (como esquemas de pump and
dump, wash trading, self-trading, front running, quote stuffing e spoofing ou layering, independentemente de
serem proibidos por lei);
(d) Sem o consentimento por escrito da Bifinity UAB, os seguintes usos comerciais de dados da Bifinity UAB
são proibidos:
(i) Serviços de trading/negociação que fazem uso de cotações da Bifinity UAB ou informações do quadro de
avisos do mercado;
(ii) Serviços de fornecimento de dados ou straming/transmissão que fazem uso de qualquer dado de
mercado da Bifinity UAB; e/ou
(iii) Quaisquer outros sites/aplicativos/serviços que cobram ou lucram a partir de (incluindo por meio de
publicidade ou taxas de indicação) dados de mercado obtidos da Bifinity UAB,
(e) Sem o consentimento prévio por escrito da Bifinity UAB, você não pode modificar, replicar, duplicar, copiar,
baixar, armazenar, transmitir, disseminar, transferir, desmontar, transmitir, publicar, remover ou alterar
qualquer declaração de direitos autorais ou rótulo, ou licença, sub- licenciar, vender, espelhar, projetar, alugar,
arrendar, usar nome de marcas, conceder direitos de garantia nas propriedades ou qualquer parte das
propriedades, ou criar suas obras derivadas ou, de outra forma, tirar vantagem de qualquer parte das
propriedades;
(f) Você não pode (1) usar links diretos, rastreadores da web, bots, spiders ou outros dispositivos
automáticos, programas, scripts, algoritmos ou métodos, ou quaisquer processos manuais semelhantes ou
equivalentes para acessar, obter, copiar ou monitorar qualquer parte das propriedades, ou replicar ou
trespassar a estrutura de navegação ou apresentação dos Serviços UAB de qualquer forma, a fim de obter ou
tentar obter quaisquer materiais, documentos ou informações fornecidas pela Bifinity UAB para conceder
acesso aos Serviços UAB; (2) tentar acessar qualquer parte ou função das propriedades sem autorização, ou
conectar-se aos serviços UAB ou quaisquer servidores da Bifinity UAB ou quaisquer outros sistemas ou redes
de serviços UAB fornecidos através dos serviços, por meio de hacking, mineração de senha ou qualquer outro
meio ilegal ou proibido; (3) sondar, verificar ou testar as vulnerabilidades dos Serviços UAB ou de qualquer
rede conectada às propriedades, ou violar quaisquer medidas de segurança ou autenticação nos Serviços
UAB ou em qualquer rede conectada aos Serviços UAB; (4) fazer pesquisa reversa, rastrear ou buscar rastrear
qualquer informação de quaisquer outros usuários ou visitantes dos Serviços UAB; (5) tomar quaisquer ações
que imponham uma carga não razoável ou desproporcionalmente grande na infraestrutura dos sistemas ou
redes dos Serviços UAB ou da Bifinity UAB, ou na infraestrutura de quaisquer sistemas ou redes conectadas
aos serviços daBifinity UAB; (6) usar quaisquer dispositivos, software ou programas de rotina para interferir
com o funcionamento normal dos Serviços UAB ou quaisquer transações nos Serviços UAB, ou o uso de
qualquer outra pessoa dos Serviços UAB; (7) falsificar cabeçalhos, falsificar a identidade ou manipular a
identificação, disfarçar sua identidade ou a origem de quaisquer mensagens ou transmissões que você enviar
para a Bifinity UAB e/ou (8) usar os Serviços UAB de forma ilegal.
(g) Ao acessar os Serviços UAB, você concorda que a Bifinity UAB tem o direito de investigar qualquer
violação destes Termos, determinar unilateralmente se você violou estes Termos e tomar medidas sob os
regulamentos relevantes sem o seu consentimento ou aviso prévio. Exemplos de tais ações incluem, mas não
se limitam a:
(i) Bloquear ou encerrar ordens;
(ii) Congelamento da conta;
(iii) Reportar incidente a autoridades;
(iv) Publicar as supostas violações e ações tomadas;
(v) Excluir todas as informações que você publicou que sejam consideradas violações.
3.2.3 Trading Fiduciário

(a) Após a conclusão do registro e verificação de identidade de sua conta UAB, o usuário poderá utilizar os
serviços de Trading Fiduciário (Fiat) no site da Bifinity:
(i) compra de Moedas Digitais através de pagamento via cartão de Débito/Crédito;
(ii) venda de Moedas Digitais via Pares de Trading Fiduciário; e
(iii) depósito de moedas fiduciárias para a carteira Bifinity Merchant Wallet e compra de Moedas Digitais ou
Ativos Digitais via Pares de Trading Fiduciários.
(b) Para os fins de Serviços UAB estabelecidos nas subcláusulas 3.3.3(a)(ii) e 3.3.3(a)(iii) acima, você declara
estar de acordo com a parceria entre a Bifinity UAB e outros provedores de serviços terceirizados que
oferecem Serviços UAB.
3.2.4 Serviços de Trading Cripto-Cripto.
Não obstante quaisquer outras disposições contrárias, [os seguintes Serviços UAB estão disponíveis apenas
para Usuários que residem em certas jurisdições (a lista de jurisdições é determinada pela Bifinity UAB e
pode ser alterada sem aviso prévio)], e termos como “você” ou “seu” devem ser interpretados apenas como
referência a tais usuários. Após a conclusão do registro e verificação de identidade da sua conta UAB, você
pode conduzir operações de trading (negociações) de criptomoedas (crypto-to-crypto) na Bifinity, de acordo
com as disposições destes Termos e Regras da plataforma Bifinity.
(a) Ordens. Após o envio de uma instrução de uso dos Serviços UAB para trading de criptomoedas (uma

Ordem não corresponde total ou parcialmente à Ordem de outro Usuário, mas coincide com outra ordem
registrada na carteira de ordens da Bifinity, a Bifinity UAB executará a Transação em seu nome e executará
uma transação back-to-back com os respectivos usuários na carteira de ordens da Bifinity. Assim que a
Transação for executada, sua conta será atualizada para refletir que a Ordem foi totalmente executada e
fechada, ou parcialmente executada. A Ordem permanecerá incompleta até que seja totalmente executada
ou cancelada, de acordo com o parágrafo (a) abaixo. Para concluir uma transação, você autoriza a Bifinity a
controlar temporariamente as moedas digitais envolvidas em sua transação.
(b) Cancelamento. Ordens iniciadas através dos Serviços UAB só poderão ser canceladas antes de
encontrarem correspondência (ou seja, serem combinadas) com as Ordens de outros Usuários. Uma vez que
sua ordem foi combinada com a ordem de outro usuário, você não poderá alterar, revogar ou cancelar a
autorização da Bifinity para concluir a ordem. Para qualquer Ordem parcialmente correspondida, você pode
cancelar a parte não correspondida da mesma. A Bifinity reserva-se o direito de rejeitar qualquer
cancelamento relacionado a uma ordem enviada por você. Se sua conta UAB não tiver quantidade suficiente
de moedas digitais para executar uma ordem, a Bifinity UAB pode cancelar a ordem ou executar parte da
mesma com a quantidade de moedas digitais disponíveis em sua conta, a nosso exclusivo critério (quaisquer
taxas relacionadas à transação, pagáveis à Bifinity, serão deduzidas conforme indicado no parágrafo (a)
abaixo).
(c) Taxas. Você concorda em pagar à Bifinity UAB as taxas que podem ser exigidas e devem ser definidas e
divulgadas regularmente no site www bifinity com A Bifinity UAB pode a seu critério atualizar as taxas a
divulgadas regularmente no site www.bifinity.com. A Bifinity UAB pode, a seu critério, atualizar as taxas a
qualquer momento. Quaisquer taxas atualizadas serão aplicadas a quaisquer vendas ou outras Transações

condições estabelecidos em "Termos de Uso de Serviços de Custódia de Criptomoedas" disponíveis em
domínio(s)/subdomínio(s) de propriedade e/ou operados pela Bifinity UAB.
4 LIABILITIES
4.1 Disclaimer of Warranties
4.1.1 To the maximum extent permitted under applicable laws, UAB services, Bifinity UAB materials and any
product, service or other item provided by or on behalf of bifinity uab are offered on an “as is” and “as
available” basis, and bifinity uab expressly disclaims, and you waive, any and all other warranties of any kind,
whether express or implied, including, without limitation, warranties of merchantability, fitness for a
particular purpose, title or non-infringement or warranties arising from course of performance, course of
dealing or usage in trade. without limiting the foregoing, Bifinity UAB does not represent or warrant that the
site, uab services or Bifinity UAB materials are accurate, complete, reliable, current, error-free, or free of
viruses or other harmful components. Bifinity UAB does not guarantee that any order will be executed,
accepted, recorded or remain open. Except for the express statements, agreements and rules set forth in
these terms, you hereby acknowledge and agree that you have not relied upon any other statement or
agreement, whether written or oral, with respect to your use and access of uab services. without limiting the
foregoing, you hereby understand and agree that bifinity uab will not be liable for any losses or damages
arising out of or relating to: (a) any inaccuracy, defect or omission of digital assets price data, (b) any error or
delay in the transmission of such data, (c) interruption in any such data, (d) regular or unscheduled
maintenance carried out by bifinity uab and service interruption and change resulting from such
maintenance, (e) any damages incurred by other users’ actions, omissions or violation of these terms, (f) any
damage caused by illegal actions of other third parties or actions without authorized by Bifinity UAB; and (g)
other exemptions mentioned in disclaimers and platform rules issued by Bifinity UAB.
4.1.2 the disclaimer of implied warranties contained herein may not apply if and to the extent it is prohibited
by applicable law of the jurisdiction in which you reside.
4.2 Disclaimer of Damages and Limitation of Liability

4.2.1 To the maximum extent permitted by applicable laws, in no event will Bifinity UAB, its affiliates and their
respective shareholders, members, directors, officers, employees, attorneys, agents, representatives,
suppliers or contractors be liable for any incidental, indirect, special, punitive, consequential or similar
damages or liabilities whatsoever (including, without limitation, damages for loss of data, information,
revenue, profits or other businesses or financial benefits) arising out of UAB services, any performance or
non-performance of UAB services, or any other product, service or other item provided by or on behalf of
Bifinity UAB and its affiliates, whether under contract, statute, strict liability or other theory even if Bifinity
UAB has been advised of the possibility of such damages except to the extent of a final judicial determination
that such damages were a result of Bifinity UAB’s gross negligence, fraud, willful misconduct or intentional
violation of law. for jurisdictions that do not allow the foregoing exclusion or limitation of incidental or
oa o o a o ju sd c o s a do o a o e o ego g e c us o o a o o c de a o
consequential damages, such exclusion or limitation ímay not apply to you.
4.2.2 notwithstanding the foregoing, in no event will the liability of Bifinity UAB, its affiliates and their
respective shareholders, members, directors, officers, employees, attorneys, agents, representatives,
suppliers or contractors arising out of services offered by or on behalf of Bifinity UAB and its affiliates, any
performance or non-performance of uab services, or any other product, service or other item, whether under
contract, statute, strict liability or other principles of law, exceed the amount of the fees paid by you to Bifinity
UAB under these terms in the twelve-month period immediately preceding the event giving rise to the claim
for liability.
4.3 Indemnification
You agree to indemnify and hold harmless Bifinity UAB, their affiliates, contractors, licensors, and their
respective directors, officers, employees and agents from and against any claims, actions, proceedings,
investigations, demands, suits, costs, expenses and damages (including attorneys’ fees, fines or penalties
imposed by any regulatory authority) arising out of or related to:
4.3.1 your use of, or conduct in connection with, UAB Services;
4.3.2 your breach or our enforcement of these Terms, or
4.3.3 your violation of any applicable law, regulation, or rights of any third party during your use of UAB
Services. If you are obligated to indemnify Bifinity UAB, their affiliates, contractors, licensors, and their
respective directors, officers, employees or agents pursuant to these Terms, Bifinity UAB will have the right, in
its sole discretion, to control any action or proceeding and to determine whether Bifinity UAB wishes to settle,
and if so, on what terms.
5 Announcements
Please be aware that all official announcements, news, promotions, competitions and airdrops, should they
become effective, will be listed on www.bifinity.com. USERS UNDERTAKE TO REFER TO THESE MATERIALS
REGULARLY AND PROMPTLY. Bifinity UAB WILL NOT BE HELD LIABLE OR RESPONSIBLE IN ANY MANNER OF
COMPENSATION SHOULD USERS INCUR PERSONAL LOSSES ARISING FROM IGNORANCE OR FAILURE TO
REMAIN UPDATED IN RESPECT OF THE ANNOUNCEMENTS.
6 Termination of Agreement
6.1 Suspension of UAB Accounts

6.1.1 You agree that Bifinity UAB shall have the right to immediately suspend your UAB Account (and any
accounts beneficially owned by related entities or affiliates), freeze or lock the Digital Assets or funds in all
such UAB Accounts, and suspend your access to Bifinity UAB for any reason including if Bifinity UAB suspects
any such accounts to be in violation of these Terms, our Privacy Policy, or any applicable laws and regulations.
You agree that Bifinity UAB shall not be liable to you for any permanent or temporary modification of your
UAB Account, or suspension or termination of your access to all or any portion of UAB Services. Bifinity UAB
shall reserve the right to keep and use the transaction data or other information related to or derived from
such UAB Accounts. The above account controls may also be applied in the following cases:
6.1.2 The UAB Account is subject to a governmental proceeding, criminal investigation or other pending
liti ti
litigation;
6.1.3 We detect unusual activities in the UAB Account;
6.1.4 We detect unauthorized access to the UAB Account; and/or
6.1.5 We are required to do so by a court order or command by a regulatory/government authority.
6.2 Cancellation of UAB Accounts

6.2.1 In case of any of the following events, Bifinity UAB shall have the right to directly terminate these Terms
by cancelling your UAB Account, and shall enjoy the right but not the obligation to permanently freeze or
cancel the authorizations of your UAB Account on Bifinity UAB and withdraw the corresponding UAB Account
thereof:
(a) after Bifinity UAB terminates services to you;
(b) you allegedly register repeatedly, or register in any other person’s name as a UAB User, directly or
indirectly;
(c) the information that you have provided is untruthful, inaccurate, outdated or incomplete;
(d) when these Terms are amended, you state your unwillingness to accept the amended Terms by applying
for cancellation of your UAB Account or by way of other conduct or means;
(e) you request that UAB Services be terminated; and
(f) any other circumstances where Bifinity UAB deems it should terminate UAB Services.
6.2.2 Should your UAB Account be terminated, the account and transactional information that meet data
retention standards will be securely stored for 8 years. In addition, if a transaction is unfinished during the
account termination process, Bifinity UAB shall have the right to notify your counterparty of the situation at
that time. You acknowledge that a user-initiated account exit (right to erasure under GDPR or other
equivalent regulations) will also be subjected to the termination protocol stated above.
6.2.3 If Bifinity UAB is informed that any Digital Assets or funds held in your UAB Account are stolen assets or
otherwise are not lawfully possessed by you, Bifinity UAB may, but has no obligation to, place an
administrative hold on the affected Digital Assets, funds, and/or your UAB Account. If Bifinity UAB does lay
down an administrative hold on some or all of your funds, Digital Assets and/or UAB Account, Bifinity UAB
may continue such hold until such time as the dispute has been resolved and evidence of the resolution
acceptable to Bifinity UAB has been provided to Bifinity UAB in a form acceptable to Bifinity UAB. Bifinity UAB
will not involve itself in any such dispute or the resolution of the dispute. You agree that Bifinity UAB will have
no liability or responsibility for any such hold, or for your inability to withdraw Digital Assets or funds or
execute trades during the period of any such hold.
6.3 Remaining Funds After UAB Account Termination

Except as set forth in Section 6.4 below, once a UAB Account is terminated/closed/withdrawn, all fees,
expenses, charges, liabilities and any other amount owed to Bifinity UAB as of the date of
termination/closure/withdrawal shall become payable immediately to Bifinity UAB, and you hereby authorise
Bifinity UAB to set off such amount from your UAB Account without further notice. Upon payment of all
outstanding charges to Bifinity UAB (if any), the relevant User shall withdraw all Digital Assets or funds from
the UAB Account within ten (10) Business Days after such payment

6.4 Remaining Funds After UAB Account Termination Due to Fraud, Violation of Law, or Violation of These
Terms
Bifinity UAB maintains full custody of the Digital Assets, funds and User data/information which may be
turned over to governmental authorities in the event of UAB Accounts’ suspension/closure arising from fraud
investigations, investigations of violation of law or violation of these Terms.
7 No Financial Advice
Bifinity UAB is not your broker, intermediary, agent, or advisor and has no fiduciary relationship or obligation
to you in connection with any trades or other decisions or activities effected by you using UAB Services. No
communication or information provided to you by Bifinity UAB is intended as, or shall be considered or
construed as, investment advice, financial advice, trading advice, or any other sort of advice. Unless otherwise
specified in these Terms, all trades are executed automatically, based on the parameters of your order
instructions and in accordance with posted trade execution procedures, and you are solely responsible for
determining whether any investment, investment strategy or related transaction is appropriate for you
according to your personal investment objectives, financial circumstances and risk tolerance, and you shall
be solely responsible for any loss or liability therefrom. You should consult legal or tax professionals
regarding your specific situation. Bifinity UAB does not recommend that any Digital Asset should be bought,
earned, sold, or held by you. Before making the decision to buy, sell or hold any Digital Asset, you should
conduct your own due diligence and consult your financial advisors prior to making any investment decision.
Bifinity UAB will not be held responsible for the decisions you make to buy, sell, or hold Digital Asset based on
the information provided by Bifinity UAB.
8 Compliance with Local Laws

It is Users’ responsibility to abide by local laws in relation to the legal usage of UAB Services in their local
jurisdiction as well as other laws and regulations applicable to Users. Users must also consider, to the extent
of their local laws, all aspects of taxation, the withholding, collection, reporting and remittance to their
appropriate tax authorities. All users of UAB services acknowledge and declare that their funds come from
legitimate sources and do not originate from illegal activities; users agree that Bifinity UAB will require them
to provide or otherwise collect the necessary information and materials as per relevant laws or government
orders to verify the legality of the sources and use of their funds.Bifinity UAB maintains a stance of
cooperation with law enforcement authorities globally and will not hesitate to seize, freeze, terminate Users’
accounts and funds which are flagged out or investigated by legal mandate.
9 Privacy Policy
Access to UAB Services will require the submission of certain personally identifiable information. Please
review Bifinity UAB’s Privacy Policy as available from time to time for a summary of Bifinity UAB’s guidelines
regarding the collection and use of personally identifiable information.
10 Resolving Disputes: Forum, Arbitration, Class Action Waiver
10.1 Notice of Claim and Dispute Resolution Period.

10.1.1 Please contact Bifinity UAB first! Bifinity UAB wants to address your concerns without resorting to
formal legal proceedings, if possible. If you have a dispute with Bifinity UAB, then you should contact Bifinity
UAB and a ticket number will be assigned. Bifinity UAB will attempt to resolve your dispute internally as soon
as possible The parties agree to negotiate in good faith to resolve the dispute (which discussions shall

remain confidential and be subject to applicable rules protecting settlement discussions from use as
evidence in any legal proceeding).
10.1.2 In the event the dispute cannot be resolved satisfactorily, and you wish to assert a legal claim against
Bifinity UAB, then you agree to set forth the basis of such claim in writing in a “Notice of Claim,” as a form of
prior notice to Bifinity UAB. The Notice of Claim must (a) describe the nature and basis of the claim or dispute,
(b) set forth the specific relief sought, (c) provide the original ticket number, and (d) include your Bifinity UAB
account email. The Notice of Claim should be submitted to an email address or hyperlink provided in your
correspondence with Bifinity UAB. After you have provided the Notice of Claim to Bifinity UAB, the dispute
referenced in the Notice of Claim may be submitted in writing (“Notice of Arbitration”) by either Bifinity
UAB or you to arbitration in accordance with Section 10.1 of this Article 10 below. You agree that the
submission of a dispute to Bifinity UAB for resolution internally and the delivery of a Notice of Claim to Bifinity
UAB are prerequisites to commencement of an arbitration proceeding (or any other legal proceeding). During
the arbitration, the amount of any settlement offer made by you or Bifinity UAB shall not be disclosed to the
arbitrator.
10.2 Agreement to Arbitrate and Governing Law.
10.2.1 Agreement to arbitrate. You and Bifinity UAB agree that, subject to Section 14.1 above, any
dispute, claim, or controversy between you and Bifinity UAB arising in connection with or relating in any way
to these Terms or to your relationship with Bifinity UAB as a User of UAB Services (whether based in contract,
tort, statute, fraud, misrepresentation, or any other legal theory, and whether the claims arise during or after
the termination of these Terms) will be determined by mandatory final and binding individual (not class)
arbitration, except as set forth below under “Exceptions to Agreement to Arbitrate”.
10.2.2 Jurisdiction of the Tribunal. You and Bifinity UAB further agree that the arbitrator shall have the
exclusive power to rule on his or her own jurisdiction, including without limitation any objections with respect
to the existence, scope or validity of the agreement to arbitrate, or to the arbitrability of any claim or
counterclaim. Arbitration is more informal than a lawsuit in court. There is no judge or jury in arbitration, and
court review of an arbitration award is limited. There may be more limited discovery than in court. The
arbitrator must follow this agreement and can award the same damages and relief as a court (including, if
applicable, attorney fees), except that the arbitrator may not award declaratory or injunctive relief in favour of
anyone but the parties to the arbitration.
10.2.3 Arbitration Tribunal. The arbitration provisions set forth in this Section will survive termination of
these Terms. Arbitration Rules. The arbitration shall be subject to the Rules of the Arbitration Centre
(“Arbitration Rules”) in force when the Notice of Arbitration is submitted, as modified by this Article [10].
The arbitration will be administered by the Hong Kong International Arbitration Centre (“Arbitration
Centre”). Unless the parties agree otherwise, there shall be only one (1) arbitrator appointed in accordance
with the Arbitration Rules. Any arbitration will be conducted in the English language. Regardless of the
manner in which the arbitration is conducted, the arbitrator shall issue a reasoned written decision sufficient
to explain the essential findings and conclusions on which the decision and award, if any, are based.
10.2.4 Limitation Period. Judgment on any arbitral award may be given in any court having jurisdiction
over the party (or over the assets of the party) against whom such an award is rendered. Time for filing: any
arbitration against bifinity uab must be commenced by filing a notice of arbitration within one (1) year, after
the date the party asserting the claim first knows or reasonably should know of the act, omission or default
giving rise to the claim; and there shall be no right to any remedy for any claim not asserted within that time
period. This one year limitation period is inclusive of the internal dispute resolution procedure set forth in
section 14.1 of this article above. there shall be no right to any remedy for any claim not asserted within that
time period. If applicable law prohibits a one-year limitation period for asserting claims, any claim must be
asserted within the shortest time period permitted by applicable law.
10.2.5 Process; Notice. The party who intends to seek arbitration after procedures set forth in Section 14.1
above has been completed, such party must submit a Notice of Arbitration to the Arbitration Centre in
accordance with the Arbitration Rules. If we request arbitration against you, we will give you notice at the
email address or mailing address you have provided. You agree that any notice sent to this email or mailing
address shall be deemed effective for all purposes, including without limitation to determinations of
adequacy of service. It is your obligation to ensure that the email address and/or mailing address on file with
Bifinity UAB is up-to-date and accurate.
10.2.6 Seat of Arbitration. The seat of the arbitration shall be Hong Kong.
10.2.7 Place of Hearing. The location of any in-person arbitration hearing shall be Hong Kong, unless
otherwise agreed to by the parties.
10.2.8 Governing Law. These Terms (except for this arbitration agreement) shall be governed by, and
construed in accordance with laws of the Republic of Lithuania. Arbitration agreement is subject to Hong
Kong Administrative Region of People’s Republic of China (“Hong Kong”).
10.2.9 Confidentiality. The parties agree that the arbitration shall be kept confidential. The existence of
the arbitration, any non-public information provided in the arbitration, and any submissions, orders or awards
made in the arbitration (together, the “Confidential Information”) shall not be disclosed to any person other
than the parties involved in the relevant dispute, except to the extent necessary to the tribunal, the
Arbitration Centre, the parties, their counsel, experts, witnesses, accountants and auditors, insurers and
reinsurers, and any other person(s) necessary to the conduct of the arbitration. Notwithstanding the
foregoing, a party may disclose Confidential Information to the extent that disclosure may be required to
fulfill a legal duty, protect or pursue a legal right, or enforce or challenge an award in bona fide legal
proceedings. This confidentiality provision shall survive termination of these Terms and of any arbitration
brought pursuant to these Terms.
10.3 Class Action Waiver.

10.3.1 You and Bifinity UAB agree that any claims relating to these Terms or to your relationship with Bifinity
UAB as a User of UAB Services (whether based in contract, tort, statute, fraud, misrepresentation, or any
other legal principles, and whether the claims arise during or after the termination of these Terms) shall be
brought against the other party in an arbitration on an individual basis only and not as a plaintiff or class
member in a purported class or representative action. You and Bifinity UAB further agree to waive any right
for such claims to be brought, heard, or arbitrated as a class, collective, representative, or private attorney
general action, to the extent permissible by applicable law. Combining or consolidating individual arbitrations
into a single arbitration is not permitted without the consent of all parties, including Bifinity UAB.
10.4 Modifications.
Bifinity UAB reserves the right to update, modify, revise, suspend, or make any future changes to Article 10
regarding the parties’ agreement to arbitrate, subject to applicable law. You hereby consent and agree that it
is your responsibility to ensure that your understanding of this Article 10 is up to date. Subject to the
applicable law, your continued use of your Bifinity UAB account shall be deemed to be your acceptance of any
modifications to Article 10 regarding the parties’ Agreement to Arbitrate. You agree that if you object to the
modifications to Article 10 Bifinity UAB may block access to your account pending closure of your account In

such circumstances, the Terms of Use prior to modification shall remain in full force and effect pending
closure of your account.
10.5 Severability.
If any portion of these Terms are adjudged to be invalid or unenforceable for any reason or to any extent, the
remainder of these Terms will remain valid and enforceable and the invalid or unenforceable portion will be
given effect to the greatest extent permitted by law.

4. Ao clicar em "Confirmar" para prosseguir com suas Transações de Compra Recorrente, você autoriza tais
Transações. É importante que você verifique regularmente o status das Transações. Não seremos obrigados a
verificar as informações e detalhes das Transações de Compra Recorrente fornecidas por você. Todas as
informações e detalhes fornecidos das Transações de Compra Recorrente por você serão consideradas
precisas e completas.
5. A Bifinity não é responsável por quaisquer perdas incorridas a você como resultado de transações não
autorizadas ou incorretas ou transações com falha devido à circunstância em relação a informações
incompletas ou desatualizadas, incluindo, mas não limitado a, informações inválidas fornecidas de cartão de
crédito, fundos insuficientes em seu método de pagamento, um pagamento feito a partir do método de
pagamento revertido ou o país emissor ou banco emissor do seu provedor de pagamento são incompatíveis e
não suportados. É sua responsabilidade manter um saldo adequado e/ou limites de crédito suficientes para
evitar o cheque especial, fundos insuficientes ou taxas semelhantes cobradas pelo seu provedor de
pagamento. Não seremos responsáveis pelo atraso causado (se houver) na execução das Transações de
Compra Recorrente por qualquer motivo. Além disso, não seremos responsáveis por quaisquer transações
iniciadas pelo comerciante.
6. Para fazer qualquer alteração em suas Transações de Compra Recorrente, você deve encerrar as
Transações de Compra Recorrente na aba "Gerenciar seus Detalhes Recorrentes" em sua Conta Bifinity e
fazer uma nova ordem de Transação de Compra Recorrente.
7. Reservamo-nos o direito de recusar processar, cancelar, encerrar ou reverter quaisquer Transação de

Compra Recorrente a nosso exclusivo critério, mesmo após os fundos terem sido debitados da sua(s)
conta(s). Se suspeitarmos que a transação envolve (ou tem alto risco de envolvimento em) lavagem de
dinheiro, financiamento do terrorismo, fraude ou qualquer outro tipo de crime financeiro; em resposta a uma
intimação ordem judicial ou outra ordem governamental; se suspeitarmos razoavelmente que a transação é
intimação, ordem judicial ou outra ordem governamental; se suspeitarmos razoavelmente que a transação é
errônea; ou se suspeitarmos que a transação esteja relacionada a quaisquer Restrições aplicáveis. Nesses
casos, reverteremos a transação e não temos obrigação de permitir que você restabeleça uma ordem de
compra ou venda pelo mesmo preço ou nos mesmos termos da transação cancelada ou quaisquer danos ou
